Item: Modification of Participating Agreement Between Mason County and The United States
Department of Agriculture Invasive Plant Inventory Prevention and Control in Mason County-
Agreement 24-PA-11060900-042.
Background/Executive Summary: This modification to Agreement 24-PA-11060900-042 will add
$4,192 to current agreement and extend the expiration date to February 29t'',2028.Agreement 24-PA-
11060900-042 was finalized on May 25, 2024, and was previously set to expire on September 30,2026.
The $4,192 in additional funds will be used for survey and control of invasive plants in the Bear Gulch
fire area.This agreement allows Mason County Noxious Weed Control Board to control noxious weeds in
Mason County and adjacent Federal Lands.This project is a continuation of a program for noxious weed
control on Federal Lands within Mason County.The project includes activities to survey,identify,control
and prevent the introduction and spread of noxious weeds, enhance and restore degraded land, coordinate
actions and communication between local and Federal jurisdictions, and engage and educate the public.
Budget Impact(amount, funding source,budget amendment, etc.): This will provide $4,192 to be used
during FY27.There will be no impact on the 2026 budget.This funding will help to support our extra-
help specialist and inspector positions.

MODIFICATION
OF
AGREEMENT
The purpose of this modification is to change performance period to February 29, 2028, and add
an additional $4,192 in funding. These funds will be used to inventory, monitor, and treat weeds
in areas associated with the 2025 Bear Gulch fire. We anticipate that at least 15 acres will be
treated.
Effective upon the execution of this modification, the following terms are incorporated into the
grant or agreement. If any duplications or contradictions are identified by applying these new
requirements, the USDA and Forest Service General Terms and Conditions and the FS-1500-
0100 take precedence.
A. U.S. DEPARTMENT OF AGRICULTURE GENERAL TERMS AND
CONDITIONS. In accordance with Secretarial Memorandum 1078-021, the
USDA General Terms & Conditions Mutual Interest Agreements, dated
December 31, 2025, and its implementing regulations, 2 CFR 400, apply to
the Cooperator and any sub-awardees and/or sub-contractors under this
agreement. These Departmental policies and regulatory requirements are
incorporated by reference into this agreement as if fully set forth in this

Item: Homeless Response System Services&Affordable Housing RFP—Funding Recommendations
Background/Executive Summary:
Two requests for proposals were released on July 7,2026: one for Homeless Crisis Response System
Services and one for the Acquisition,Development,or Preservation of Affordable Housing. The Homeless
Crisis Response System RFP is funded through the Consolidated Homeless Grant(CHG) and Local
Document Recording Fees(RCW 36.22.179—.1791),which are administered by Mason County. These
funding sources support programs and services that address the immediate needs of individuals and
families experiencing homelessness while helping them obtain and maintain stable housing.Additionally,
the funding opportunity for projects that expand, develop, acquire, or preserve affordable housing
supports community efforts to prevent and end homelessness by increasing access to safe, stable, and
healthy housing for extremely low-income and very low-income individuals and families. Five proposals
were submitted for the homeless response system services RFP,and 3 proposals were submitted for the
affordable housing RFP. The Housing&Behavioral Health Advisory Board reviewed and scored
applications and has made the following funding recommendations:

Recreation Commission. The agreement authorizes Mason County Public Works to provide chip sealing
services on Walter Scott Road on Harstine Island, as described in Exhibit A of the agreement.
Amendment#1 adds additional road preparation work to the scope of services to be performed by Mason
County Public Works. The amendment also increases the agreement's not-to-exceed amount by$2,000,
from$67,000 to $69,000.
The agreement remains in effect through June 30, 2027,unless amended or terminated earlier in
accordance with the agreement terms.
To streamline the process for future work requested by Washington State Parks,the Board is also being
asked to authorize the County Engineer to execute subsequent amendments to the agreement for
additional work,without requiring each amendment to return to the Board for separate approval. Any
additional work will be performed in accordance with the terms of the agreement and will be reimbursed
by Washington State Parks.
Associated Costs/Budget Impact:
Amendment#1 increases the estimated compensation under the agreement by$2,000,bringing the total
not-to-exceed amount from$67,000 to $69,000. Washington State Parks and Recreation Commission will
fully reimburse Mason County Public Works for all work performed under the agreement.
Any future amendments authorized under the proposed delegation will be for additional work requested
by Washington State Parks and will include reimbursement to Mason County for the additional work.

THIS AGREEMENT is made and entered into by and between the Washington State Parks and
Recreation Commission, hereinafter referred to as "State Parks," and Mason County Public Works
Department hereinafter referred to as the "Contractor".
This agreement is authorized to be entered into through Chapter 39.34 RCW, the Interlocal
Cooperation Act.
IT IS THE PURPOSE OF THIS AGREEMENT to provide the professional expertise that does not
exist within the limited staff availability of State Parks and that the Contractor can perform on a
mutually beneficial basis.
THEREFORE, IT IS MUTUALLY AGREED THAT:
STATEMENT OF WORK
The Contractor shall furnish the necessary personnel, equipment, material, and/or services and
otherwise do all things necessary for or incidental to the performance of the work set forth in
Exhibit "A" attached hereto and incorporated herein.
PERIOD OF PERFORMANCE
Subject to its other provisions, the period of performance of this Agreement shall commence on the
date signed by State Parks, and be completed on, unless terminated sooner as provided herein.
Agreement shall automatically expire on June 30th, 2027 (06/30/2027), unless otherwise extended
by amendment.
PAYMENT
Compensation for the work provided in accordance with this agreement has been established
under the terms of RCW 39.34.130. The parties have estimated that the cost of accomplishing the
work herein will not exceed Sixty-Seven Thousand And No/100ths Dollars ($67,000.00).
Payment for satisfactory performance of the work shall not exceed this amount unless the parties
mutually agree to a higher amount prior to the commencement of any work which will cause the
maximum payment to be exceeded. Compensation for services shall be based on the following
rates and in accordance with the following terms, or as set forth in accordance with the budget in
Exhibit "B" which is attached hereto and incorporated herein.
BILLING PROCEDURE
The Contractor shall submit invoices no more often than monthly. Payment to the Contractor for
approved and completed work will be made by warrant or account transfer by State Parks within
30 days of receipt of the invoice. Upon expiration of the contract, any claim for payment not

already made shall be submitted within 30 days after the expiration date or the end of the fiscal
year, whichever is earlier.
RECORDS MAINTENANCE
The parties to this contract shall each maintain books, records, documents and other evidence
which sufficiently and properly reflect all direct and indirect costs expended by either party in the
performance of the services described herein. These records shall be subject to inspection, review
or audit by personnel of both parties, other personnel duly authorized by either party, the Office of
the State Auditor, and federal officials so authorized by law. All books, records, documents, and
other material relevant to this Agreement will be retained for six years after expiration and the
Office of the State Auditor, federal auditors, and any persons duly authorized by the parties shall
have full access and the right to examine any of these materials during this period.
Records and other documents, in any medium, furnished by one party to this agreement to the
other party, will remain the property of the furnishing party, unless otherwise agreed. The receiving
party will not disclose or make available this material to any third parties without first giving notice
to the furnishing party and giving it a reasonable opportunity to respond. Each party will utilize
reasonable security procedures and protections to assure that records and documents provided by
the other party are not erroneously disclosed to third parties.
RIGHTS IN DATA
Unless otherwise provided, data which originates from this Agreement shall be "works for hire" as
defined by the U.S. Copyright Act of 1976 and shall be owned by the state of Washington. Data
shall include, but not be limited to, reports, documents, pamphlets, advertisements, books
magazines, surveys, studies, computer programs, films, tapes, and/or sound reproductions.
Ownership includes the right to copyright, patent, register, and the ability to transfer these rights.
INDEPENDENT CAPACITY
The employees or agents of each party who are engaged in the performance of this Agreement
shall continue to be employees or agents of that party and shall not be considered for any purpose
to be employees or agents of the other party.
AGREEMENT ALTERATIONS AND AMENDMENTS
This agreement may be amended by mutual agreement of the parties. Such amendments shall
not be binding unless they are in writing and signed by personnel authorized to bind each of the
parties.
TERMINATION
Either party may terminate this Agreement upon 30 days' prior written notification to the other
party. If this Agreement is so terminated, the parties shall be liable only for performance rendered
or costs incurred in accordance with the terms of this Agreement prior to the effective date of
termination.

INDEMNIFICATION
Each party shall be responsible for the actions and inactions of itself and its own officers,
employees, and agents acting within the scope of their authority.
TERMINATION FOR CAUSE
If for any cause, either party does not fulfill in a timely and proper manner its obligations under this
Agreement, or if either party violates any of these terms and conditions, the aggrieved party will
give the other party written notice of such failure or violation. The responsible party will be given
the opportunity to correct the violation or failure within fifteen (15) working days. If failure or
violation is not corrected, this Agreement may be terminated immediately by written notice of the
aggrieved party to the other.
DISPUTES
In the event that a dispute arises under this Agreement, it shall be determined by a Dispute Board
in the following manner: Each party to this agreement shall appoint one member to the Dispute
Board. The members so appointed shall jointly appoint an additional member to the Dispute
Board. The Dispute Board shall review the facts, contract terms and applicable statutes and rules
and make a determination of the dispute. The determination of the Dispute Board shall be final
and binding on the parties hereto. As an alternative to this process, either of the parties may
request intervention by the Governor, as provided by ROW 43.17.330, in which event the
Governor's process will control.
GOVERNANCE
This contract is entered into pursuant to and under the authority granted by the laws of the state of
Washington and any applicable federal laws. The provisions of this agreement shall be construed
to conform to those laws.
In the event of an inconsistency in the terms of this Agreement, or between its terms and any
applicable statute or rule, the inconsistency shall be resolved by giving precedence in the following
order:
a. applicable state and federal statutes and rules;
b. statement of work; and
c. any other provisions of the agreement, including materials incorporated by reference.
ASSIGNMENT
The work to be provided under this Agreement, and any claim arising thereunder, is not assignable
or delegable by either party in whole or in part, without the express prior written consent of the
other party, which consent shall not be unreasonably withheld.
WAIVER
A failure by either party to exercise its rights under this agreement shall not preclude that party
from subsequent exercise of such rights and shall not constitute a waiver of any other rights under

this Agreement unless stated to be such in a writing signed by an authorized representative of the
party and attached to the original Agreement.
SEVERABILITY
If any provision of this Agreement or any provision of any document incorporated by reference
shall be held invalid, such invalidity shall not affect the other provisions of this Agreement which
can be given effect without the invalid provision, if such remainder conforms to the requirements of
applicable law and the fundamental purpose of this agreement, and to this end the provisions of
this Agreement are declared to be severable.
ALL WRITINGS CONTAINED HEREIN
This Agreement contains all the terms and conditions agreed upon by the parties. No other
understandings, oral or otherwise, regarding the subject matter of this Agreement shall be deemed
to exist or to bind any of the parties hereto.
PROJECT MANAGEMENT
The project representative for each of the parties shall be responsible for and shall be the contact
person for all communications and billings regarding the performance of this Agreement.

established under the terms of ROW 39.34.130. The parties have estimated that the cost of
accomplishing the additional work herein will not exceed Two Thousand and No/100ths
Dollars ($2,000.000).
Unless otherwise amended in writing, total compensation under this Agreement shall not now
exceed Sixty-Nine Thousand and No/100ths Dollars ($69,000.00).
Contractor will continue to document time and expenses in accordance with the terms of

Background/Executive Summary:
The new SR 3 Freight Corridor project is designed to alleviate traffic congestion in Belfair associated
with high volumes of daily travelers and oversized freight loads.An access hearing is necessary for new
state highways, and in accordance with RCW 47.52.131,WSDOT provided the proposed access control
information for review and comment by September 25,2026.
Comments are to be made on PDFs provided by WSDOT and submitted by email to the SR 3 Freight
Corridor Design Team Leader. Public Works and Planning will review and prepare draft comments for
Board review on September 14,2026.
Once comments are returned,WSDOT will respond and follow up with an Access Hearing Plan,notices
of hearing, and formal notification letters.

Item: Road Fund Budget Forecast
Backtround/Executive Summary:
The preliminary budget submittal assumes a Road Fund diversion of$2.16 million. The 6-Year
Transportation Improvement Plan assumes the same. The amount diverted impacts the construction
budget and overall Road Fund health. The purpose for this briefing is to share those projected impacts for
years 2027—2032.
Associated Costs/Budget Impacts:
A review of prior years' actual revenue and expenditures and 6-year projections indicate corrective action
is needed if the diversion remains at$2.16 million or increases. The correction timing and severity depend
on the amount diverted.
Operating expenses are growing faster than operating revenues,with an operating deficit projected in
2031 and restricted capital balance gone by 2032. Multiple actions to prevent financial imbalance have
previously been taken: increased operational efficiencies; heavy leveraging of county forces and grants;
leaving vacant positions unfilled; and surplusing land,timber, and equipment.

On March 3, 2026,the Commissioners approved the updated Memorial Hall Rental Policy and
Procedures,which included a discounted rental rate for qualifying non-profit organizations.
Following the adoption of the updated policy,a non-profit organization has continued to utilize Memorial
Hall and currently has an outstanding balance of$700. Staff is requesting direction from the Commission
on how to proceed with the outstanding balance, future potential outstanding balances, and continued use
of Memorial Hall. Should organizations be permitted to continue reserving Memorial Hall while a large
balance remains outstanding or should the balance be required to be paid before further use?

Rental Policy and Procedures
1. Reservations and Payment Procedures
a. Reservations will be accepted on a first-come, first-serve written application basis only using the
Facility Use Agreement form. Electronic and telephone inquiries are welcome. For more
information,please call(360)427-9670 ext. 419.
b. Reservations are requested to be made a minimum of thirty(30) days in advance. Confirmation of
rental will take place with the receipt of a $50.00 non-refundable advance deposit that will be
applied to the rental fee.
c. Before final approval of the rental application, the applicant shall furnish to the County evidence
that they have in full force and effect a general liability policy with Mason County as an additional
insured as indicated on the Facility Use Agreement. This insurance may be obtained through the
individual's own insurance agent. Please inquire with your insurance agent that `Event Insurance'
is available through your renters/homeowner's policy prior to submitting your rental application.
d. Payment procedures:
i. The rental fee must be paid in full ten(10) days prior to the event. If payment is not received
within the time limit,your reservation may be subject to cancellation. If a reservation is made
within ten(10)days of the event,confirmation of rental will take place with receipt of the rental
fee paid in full to include a$50.00 non-refundable advance rental deposit.Applicants' $50.00
non-refundable deposit will go towards their rental balance. Please make checks payable to
Mason County.Payments must be made at the Commissioner's Office, located at 411 North 5th
Street, Shelton.
ii. A refundable damage/cleaning deposit of$300.00 will be charged for some events and is due
with the rental fee,payable with a separate check ten(10)days prior to the event.To ensure the
return of the damage/cleaning deposit,please clean the facility before you leave. If there is no
damage and the facility is clean,the deposit will be returned to you within thirty(30)days after
the scheduled event.
iii. Cancellations can be made two (2) weeks prior to the event and must be in writing.
Cancellations made after that time will result in twenty-five percent (25%) of the rental fee
being retained or the $50.00 non-refundable deposit retained, whichever is less.
Damage/cleaning deposits will be refunded in full if the facility is left clean.
iv. Rental hours are consecutive and must include time for delivery of supplies, set up,take down,
and clean up.
v. The applicant must be at least 21 years of age,must have a valid state issued identification,and
must be present during the event. The individual signing the rental agreement will be
considered the responsible party in case of damage, theft, or any other disturbance during the
rental event.
e. County and Veteran organizations are exempt from the payment of fees and deposits unless
otherwise assessed and take precedence over other groups and rentals. 501(c)3 organizations shall
be verified.
f. This policy and procedure are targeted towards, but is not limited to, all events and meetings that
are not veteran related events such as wedding receptions,family reunions,family parties,birthday
events, political gatherings, and similar activities, events that have the potential to attract large
numbers of participants, and events where food and/or alcohol may be served or allowed.

The tables and chairs at Memorial Hall are the sole property of the American Legion and Veterans of
Foreign Wars posts. Any damage to the tables and/or chairs will be reimbursable to the American
Legion and VFW. Damaged tables will be valued at $125.00 per table and damaged chairs will be
valued at$40.00 per chair.
3. General Rules
a. Use of rice,birdseed, confetti,or like materials inside or outside of the facility is prohibited.
b. Decorations may only be attached to walls,windows,ceilings,or other surfaces with painters(blue)
masking tape or similar non-marring material.
c. Any use of flammable materials, such as candles, is regulated by the Shelton Fire Department.
Renters are limited to three (3) candles per table. Candles must be placed on a non-combustible
surface. Candles used in a center piece surrounded by combustible materials must be contained in
a votive or similar container. Food warming appliances must be used in accordance with the
manufacturer's recommendations. Sterno is acceptable.
d. Use of illegal drugs, smoking, vaping, and/or gambling are not permitted in or on Memorial Hall
grounds.
e. Only those areas specified on the agreement will be available for use by the renting party.
f. Alcoholic beverages are allowed inside Memorial Hall if the following requirements are met:
i. A Washington State Special Occasion Liquor License or Banquet Permit is obtained and
displayed in the room for the entirety of the event. A copy of the license or permit must
accompany the rental payment. Application forms are available through the Washington State
Liquor and Cannabis Board. Interested parties must check online for information at
https://lcb.wa.gov/.
ii. A Banquet Permit is needed for all private functions where liquor is served and for business or
social organization functions where alcohol is served at no charge and/or brought in by its
members. The function cannot be open to the general public. No alcohol may be sold under a
Banquet Permit.
iii. Non-profit organizations planning to sell alcohol for profit must obtain a Special Occasion
Liquor License.
iv. All alcohol service must end no later than 9:00 p.m.No alcohol will be allowed to be dispensed
after this time. Failure to do so will result in closure of Memorial Hall and forfeiture of the
damage/cleaning deposit.
v. All persons being served alcohol and/or consuming alcohol must be 21 years of age or older.
g. All minors on the premises must have adequate adult supervision.
h. Renters are welcome to use kitchen appliances. Silverware, dishes, towels, glasses, and other
kitchen supplies are not available.
i. Mason County cannot be responsible for accidents, injury, or loss of property.
4. Set Up and Clean Up
a. All items brought into Memorial Hall by renters must be removed by the end of the rental period.
Applicants are asked to remove food, materials, equipment, furnishings, decorations, and/or
garbage left after use of the facility.The renter is responsible for cleaning floors,tables,and kitchen.
This includes sweeping, vacuuming, mopping, and wiping down surfaces. The facility must be
returned to the same or better condition.
b. All trash must be taken with the renter after the event.
c. In signing the Facility Use Agreement,the renter agrees to pay the cost of any cleaning or damage
to Memorial Hall during their event.
5. Facility Information
Memorial Hall has one (1) main area available for rent. There is 1,600 square feet of space available
consisting of a large,hardwood floor area with a seating capacity of 200.
The facility may be available for rent on:
Weekdays 5:00 p.m.- 10:00 p.m.
Weekends 9:00 a.m.- 10:00 p.m.
Parking spaces are available on adjacent City streets.

Update on The Youth Connection American Rescue Plan Act(ARPA)Award
Background/Executive Summary:
In November 2022,Mason County awarded The Youth Connection up to $722,000 in ARPA funds for the
acquisition of its building and installation of an elevator. The original contract has since been amended to
include renovation costs and to extend the project completion date from June 30,2024,to October 31,
2026. Project delays have occurred due to the initial project costs being underestimated, and The Youth
Connection has sought and received additional funding from other sources to complete the project.
The Youth Connection has recently been working to provide the County with A-19 reports and supporting
documentation for the expenditure of the ARPA funds. During August,The Youth Connection submitted
documentation supporting an additional $83,574.01 in allowable project expenditures.
Associated Costs/Budget Impact(amount, funding source,budget amendment, etc.):
The$722,000 ARPA award was advanced to The Youth Connection in 2022. Prior to August 2026,
$400,796.18 of the award had been documented as expended on allowable project costs. During August,
an additional$83,574.01 in allowable expenditures was documented,bringing the total documented
expenditures to$484,370.19. The remaining$237,629.81 has not yet been supported by expenditure
documentation and must still be documented to the County.

Mason County Real Estate Professional Services
Purpose of Request
Mason County Support Services is requesting proposals for the furnishing of all staffing and services
necessary to provide real estate services at a competitive level for 2027-2028. The Mason County Real
Estate Professional contract will be issued no later than December 31,2026,with an option for the
County to extend the agreement for an additional two years.The Mason County Real Estate Professional
contractor and the Mason County Board of Commissioners will review the contractual arrangement as
needed. The County's needs are outlined in the following Request for Proposal(RFP).Real Estate
Services desired are for the contractor to market and offer for sale current Mason County surplus
properties and additional services as might be deemed necessary.

• All proposals must be in a sealed envelope and clearly marked in the lower left-hand comer:RFP-
Mason County Real Estate Professional Services.All proposals must be received by 3:00 p.m.
on October 30,2026. Two(2)copies of the RFP must be presented.No faxed or telephone
proposals will be accepted.
• Proposals should be prepared simply and economically,providing a straightforward, concise
description of provider capabilities to satisfy the requirements ofthe request. Special bindings,
colored displays,promotional materials, etc. are not desired. Emphasis should be on completeness
and clarity ofcontent.
All proposals must include the following information:
• The names of individuals from the firm who will be working on the project and their areas of
responsibility.
• A proposal of any program requirements the proposer would recommend based on a one-year contract.
• Proposed financial agreement for real estate services.
• A sample property marketing and sales strategy.
• A short narrative of how the proposer intends to implement a real estate program for the County.
• An explanation of needs or requirements the contractor would need from the County.
• Acknowledgement that employees may be required to pass a criminal background check to access any
County buildings,especially the courthouse.
• Disclosure of any conflict of interest.
• Current list of County Surplus Real Estate is available on request.
• Proposer to submit Attachment"A"Acknowledgement with proposal.
IV. Selection Criteria
The ultimate objective of this RFP is to provide quality and dependable services to the Mason County
Board of Commissioners.Accordingly,the County will select the successful contractor after evaluation
of the following RFP elements:
1. Compensation to the County-financial proposal 50%
Competitiveness of the proposed contract cost of the same or
superior quality as those offered by competing proposers.
Proposer should state the sales percentage of each sale the
contractor desires form each transaction.
2. Marketing Plan for the sale of County Real Estate 25%
3. Experience of contractor and knowledge of local real estate market 25%
Total criteria weight 100%
V. Terms and Conditions
• The County reserves the right to reject any and all proposals and to waive minor irregularities in any
proposal.
• The County reserves the right to request clarification of information submitted and to request additional
information from any proposer.
• The County reserves the right to award any contract to the next most qualified contractor if the
successful contractor does not execute a contract within thirty(30)days after the award of the proposal.
• Any proposal may be withdrawn,up until the date and time set for opening of the RFP's.Any RFP not
so timely withdrawn shall constitute and irrevocable offer for a period of ninety(90)days,to sell to the
County the services described in the attached specification,or until one or more of the proposals have
been approved by the County Commissioners,whichever occurs first.
• The contract resulting from acceptance of a RFP by the County,shall be in a form supplied or approved
by the County and shall reflect the specifications in this RFP.The County reserves the right to reject
any proposed agreement or contract that does not conform to the specifications contained in this RFP
and which is not approved by Mason County.
• The County shall not be responsible for any costs incurred by the firm in preparing,submitting or
presenting its response to the RFP.
• Failure to submit all required items in response to this RFP shall result in rejection of any proposal not
so complying.
VI. Scope of Services
The proposer shall provide services of the highest quality and dependability,during the days and hours
listed below:
Mason County Real Estate Professional Services: Work to be completed at discretion of
the contractor
January 1,2027 to December 31,2029 with an option for the County to extend the agreement for an
additional two years.
VII. Compensation
• Please present detailed information on the firm's proposed fee schedule(percentage or
per transaction)for the specifications proposed and for any variation for non-routine
services, inclusive ofany other applicable governmental charges.
• In the event of a contract award,proposers shall be required to submit an itemized statement in
the form specified by the County and approved by the appropriate County representative,which
shall specifically set forth the services performed and the applicable fee charged by the
contractor.
VIII. Contractor Insurance Requirements.All insurance provided shall be primary and non-contributory.
1. Commercial General Liability.Limits shall be no less than$1,000,000 per occurrence for all covered
losses and no less than$2,000,000 general aggregate;
2. Workers'Compensation. Workers'compensation on a state-approved policy form providing
statutory benefits as required by law with employer's liability limits no less than$1,000,000 per
accident for all covered losses;
3. Business Auto Coverage. $1,000,000 combined single limit per accident for bodily injury
and property damage;
4. Excess or Umbrella Liability Insurance. If used to meet the limit requirements, shall provide
coverage at least as broad as specified for the underlying coverages.
5. Contractor Errors and Omissions Liability. $1,000,000 per occurrence and as an annual
aggregate.
IX. Independent Contractor
It is the intention and understanding of the County that the Contractor shall be an independent
contractor and that the County shall be neither liable for nor obligated to pay sick leave,vacation
pay or any other benefit of employment,nor to pay any social security or other tax that may arise
as an incident of employment. Contractor shall pay all income and other taxes as due. Industrial or
other insurance that is purchased for the benefit of Contractor shall not be deemed to convert this
Contract to any employment contract. It is recognized that Contractor may or will be performing
services during the term of the Contract for other parties and that the County is not the exclusive
user of the Contractor's services.
