CRIMI general contractor/owner, hereinafter referred to as Client) and D & M Consultants, project management firm, ( hereinafter referred to as D & M) pertaining to the construction project located at: LOT 42 OF LAKF C MTSTINE FIRST ADDITION AS PFR PTAT TPFRFnF PPCnRnFn IN VnLs 6 nF PLATS PACF. 95 whereby D & M will act as the construction foreman of the above project, and will have the powers and limitations over the project as listed below. A ) D & M will act as agent foreman to Client, and will represent Client to the appropriate vendors and suppliers at all times during the construction project. In the ev t that D & M I'1 have the option to add s e wholesale cost. D ) All cost savings resulting from D & M budgeting efforts discussed above in subletter C , shall remain with Client. E ) D & M shall warrant, for a period of one year, that it shall use reasonable diligence in coordinating subcontractors/ vendors to assure that it' s products and/or services are merchantable . In addition, D & M shall have sole authority to deal with the above warranty. 2 - total budget fee shall be held in es parties names for a pe of year to back the 'above warranty. Principal interest sha aid to D & M, and said fee be put in escrow upon D & M' s receipt of total fee . -2- -------------- F ) D & M shall leave the control of all final decisions on products , supplies , changes and designs to Client, ( subject to UBC codes and D & M Warranty) . After such approval by Client, each party/vendor employed by the project shall be under the direct supervision of D & M. Those private parties chosen by Client to do particular work on the project shall be under direct supervision of D & M. G ) D & M shall make a monthly cost analysis and budget report to Client regarding the project. H) Client shall pay $3,500 and no/100 for D & M' s services regarding this project. Payment shall be made as follows: Client shall pay D & M 50% of the estimated budget amount up front at the time this contract is signed by both parties . Such retainer shall be billed against Client as the project progresses and the bank percentage completion shall apply. Client shall pay according to the bank percentage completions by the 1Oth of each month. -3- I I ) Client, as general contractor, will be responsible for paying all bills, invoices, and statements directly to vendors after approval by D & M. In addition, all payments made to vendors will be strictly by D & M' s authorization upon the invoice. If Client pays the vendor without written authority of D & M, the above warranty listed in subsection E shall be void. J) Upon both parties signing this contract, D & M will be legal agent for Client, with a limited power of attorney per project to act on Client' s behalf. K) D & M and Client will consult regarding the budget preparations per project and Client shall expressly approve that budget in writing. L) Pursuant to this contract, any information pertaining to this project that is obtained by Client from D & M Services shall not be used by Client for 180 days for any other purpose EXCEPT the completion of this project pursuant to this contract.
