Background/Executive Summary:
RCW 84.69.020 states in part that the county treasurer shall make all refunds to be determined by this
section,and by the first Monday in February of each year,report to the county legislative authority a list
of all refunds made under this section during the previous year.

BOARD OF COMMISSIONERS
ACKNOWLEDGMENT OF RECEIPT
According to RCW 84.69.020, the county treasurer shall make all refunds to be
determined by this section, and by the first Monday in February of each year, report to
the county legislative authority a list of all refunds made under this section during the
previous year. The list is to include the name of the person receiving the refund, the
amount of the refund, and the reason for the refund.
The Mason County Board of Commissioners hereby acknowledges they are in
receipt of the attached Treasurer's Refund Report (attachment"A")to support the refunds
made to taxpayers during the year of 2024.

Background/Executive Summary:
RCW 84.56.240 states in part that if the county treasurer is unable for the want of goods to chattels
whereupon to levy,to collect by distress or otherwise,the taxes, or any part thereof,which may have been
assessed upon the personal property of any person or corporation...........,the treasurer shall file with the
county legislative authority,on the first day of February following, a list of such taxes.

WHEREAS, RCW 84.56.240 states in part that if the county treasurer is unable for the want of

which may have been assessed upon the personal property of any person or corporation........., the
treasurer shall file with the county legislative authority, on the first day of February following, a list of
such taxes.
THEREFORE, pursuant to RCW 84.56.240, 1 Elisabeth (Lisa) Frazier, Mason County Treasurer, and
or my deputy entrusted with the collection of the taxes have made a diligent search and inquiry for
goods and chattels wherewith to make such taxes, and was unable to make or collect the same as
shown on attachment "A".
NOW THEREFORE,the Mason County Board of County Commissioner's hereby accepts the
affidavit of the Mason County Treasurer and hereby approves the cancellation of uncollectible personal
property taxes as shown on attachment"A".

Discussion on desirability of conducting further inmate outsourcing.
Background/Executive Summary:
The BOCC approved the outsourcing of inmates to the Nisqually Jail in an effort to increase safety and
security within the Mason County Jail. The decision to outsource was made in response to low staffing in
a time of extreme difficulty in finding applicants for Correction Deputy positions. The Mason County Jail
has had success in hiring Corrections Deputies and has, as of January 15, increased minimum staffing in
the jail from 3 to 4 COs per shift. The increased staffing allows Mason County to bring back the
remaining inmates from Nisqually and effectively eliminate outsourcing,however,once the inmates are
brought back from Nisqually,we will be near operational capacity which would once again necessitate the
implementation of periodic booking restrictions.
We feel it is important to have a discussion with the BOCC to collaboratively determine booking limits,
either solely within the MC Jail or with outsourcing,to best serve the criminal justice needs of our
citizens.

The budget impact will be determined based on the accepted level of outsourcing, if any,based on the
decisions reached in this meeting.

Conversion of a deputy position to a sergeant position to serve as the supervisor in the Administrative
Division under Chief Beyer.
Background/Executive Summary:
In the process of preparing the 2025 budget the MCSO Command Staff discussed with the BOCC the
success of our supervisory position in the Administrative Division. The position was staffed for the 2024
calendar year by supervisors from the patrol division as a proof-of-concept. This supervisor provided
direct oversight to the staff in the Administrative Division which allowed Chief Deputy Beyer to focus her
work more directly on high liability duties, such as the high volume of Public Disclosure Requests, and
the work she does directly with the Risk Manager in HR to manage lawsuits. In addition to the first-line
supervisory duties,the individual in this position also assists the Chief Deputy with managing the PDR
workload, an area of high liability for the MCSO and the county in general. Based on the critical need to
maintain this position,we had asked the BOCC for a deputy position as a"place holder"until we
determined whether this position should be a corporal or a sergeant,with the intent to come back after the
beginning of the year to ask for a position conversion. The BOCC agreed with this proposition and
graciously gave us the deputy"place holder"position.
We have determined that for operational reasons it is best to have a sergeant in this supervisory position.
This is based upon the need for supervisory experience which is best matched to the"sergeant"job
description. The position not only needs to have supervisory oversight of the personnel within the
Administrative Division,but this person also needs to have sufficient rank within the patrol division in
order to have the authority necessary to ensure the civil process is carried out.
Budget Impact(amount, funding source,budget amendment, etc.):
The approximate difference between a step 3 deputy and a step 1 sergeant is $25,678 annually.

News Release for rescheduled Allyn UGA Community Input Meeting
Background/Executive Summary:
Staff began advertising an Allyn UGA community input meeting for February 6 and February 13, 2025.
We have had to reschedule and now are confirmed for February 27,2025 6-8p. Since the original
advertisement already went out in the North Bay Review, staff is trying to update as many news sources
as possible to make sure the change is circulated.

RE: ALLYN UGA COMMUNITY INPUT MEETING -RESCHEDULED
The Mason County Community Development Department previously ran an advertisement
in the North Bay Review regarding a community input meeting for the Allyn UGA. The
meeting dates advertised were February 6, 2025 and February 13, 2025. Staff has had to
reschedule the meetings. The new meeting date is February 27, 2025 and is scheduled to
run from 6pm to 8pm.
The focus for this meeting will be the Allyn Urban Growth Area zoning and development
regulations, any comments on land use within the UGA are welcome.
The meeting will be held at the Port of Allyn Meeting Room, address 18560 E State Route
3, Allyn, Wa 98524.
This meeting is part of the County's community outreach plan for the Comprehensive Plan
Periodic Update process. Additional information on the update process can be found on the

Order of Sale for 2025 Tax Title Auction to Sell Parcels on Bid4Assets.com
Background/Executive Summary:
Pursuant to RCW 36.35.120,real property acquired by foreclosure of delinquent taxes may be sold by order of
the County legislative authority if it is deemed in the County's best interests to sell the real property. The first
step to begin the process is for the Commissioners to approve an Order of Sale. The Treasurer will then
arrange an online sale with Bid4Assets.com.
Budget Impact(amount, funding source,budget amendment, etc.):
If all parcels sold for the minimum bid(excluding listing and recording fees)the total would be$49,642.99.
This amount would first go towards delinquent taxes,penalties,and any other fees owed for the parcel. After
the sale,these parcels will go back onto the tax roll. Should any parcels not sell,they will be listed with
Richard Beckman Realty,LLC.
Recording fee: $304.50 per parcel(estimated two pages of recorded documents)
Affidavit fee: $10.00 per parcel
Public Outreach:
If approved,the notice will be emailed to any interested parties that have signed up for notification as well as
posted on the County website,Facebook page,and various postings by Bid4Assets.com.
Requested Action:
Approval of the Order of Sale allowing the Mason County Treasurer to schedule an online auction with
Bid4Assets.com to sell certain Tax Title properties.

Active Threat/Shooter Training
Background/Executive Summary:
The recent increase in active shooter incidents nationwide has heightened the need for preparedness within
public spaces,including government facilities. Government buildings are potential targets due to their public
accessibility and symbolic significance. Implementing yearly active threat/shooter training ensures employees
are equipped with the knowledge, skills,and tools to respond effectively and safely during an emergency,
thereby mitigating risks to life and property.
Key components of the proposed training include:
Awareness and prevention: recognizing early warning signs and implementing preventative measures.
Evacuation and shelter strategies: identifying safe routes and effective sheltering tactics.
Communication protocols: ensuring staff understand the chain of command and how to alert law enforcement.
Hands-on practice: scenario-based training for rapid decision-making under stress.
For Building 1,this will need to be coordinated between the Assessor,Auditor,Commissioner,and Treasurer
offices. This simulation/training would be provided in coordination with the Sheriff's Office and would
include the"closure"of the building for either a half or full day.

Mason County Law Enforcement Officers'and Firefighters'(LEOFF)Plan 1 Disability Board
Background/Executive Summary:
The Mason County LEOFF Board was established pursuant to the authority of RCW 41.26 and its powers,
duties and responsibilities are established by state law. This board has jurisdiction over the law enforcement
and fire agencies in Mason County and City of Shelton.
Membership is as follows:
One elected law enforcement officer from agencies under the board's jurisdiction
One elected fire fighter from agencies under the board's jurisdiction.
One member from the County legislative body;to be selected by the County legislative body.

BY-LAWS OF THE MASON COUNTY LEOFF DISABILITY BOARD
ARTICLE 1, AUTHORITY
The Mason County LEOFF Disability Board(LEOFF Disability Board) is established
pursuant to RCW 41.26.110
ARTICLE 2, PURPOSE
All claims for disability shall be acted upon and either approved or disapproved by the
LEOFF Disability Board. The LEOFF Disability Board shall designate the medical
services available to any sick or disabled member.
ARTICLE 3, MEMBERSHIP
The LEOFF Disability Board so created shall be composed of five members to be chosen
as follows: One member of the legislative body of the county to be appointed by the
county legislative body; one member of a city or town legislative body located within the
county which does not contain a city disability board, one active firefighter or retired
firefighter employed by or retired from an employer within the county to be elected by
the firefighters employed or retired from an employer within the county who are subject
to the jurisdiction of that board; one law enforcement officer or retired law enforcement
officer employed by or retired from an employer within the county to be elected by the
law enforcement officers employed in or retired from an employer within the county who
are subject to the jurisdiction of that board; and one member from the public at large who
resides within the county but does not reside within a city in which a city disability board
is established, to be appointed by the other four members designated in this subsection.
Summary: One County Commissioner; one City of Shelton Council Member; one
firefighter representative; one law enforcement representative; one at-large citizen.
ARTICLE 4, MEETINGS
Meetings of the LEOFF Disability Board shall be held monthly on the 1st Tuesday of the
month at 8:00 a.m. in the Mason County Commission Chambers, 411 North 5th Street,
Shelton, WA. Special meetings may be held upon the call of the Chairperson. The initial
agenda shall be set by the Chairperson,but may be amended at the meeting without
special notice. Three days written notice of meetings and the meeting agenda shall be
provided to each member via email. Meetings are covered under the Washington Open
Public Meetings Act.
ARTICLE 5, QUORUM
A majority of three members shall constitute a quorum for the transaction of any business
that may come before any monthly or special meeting of the LEOFF Disability Board.
ARTICLE 6, VOTING
Each regularly appointed member shall be entitled to one vote on any matter that may
come before the LEOFF Disability Board. The majority vote of quorum present of the
LEOFF Disability Board shall be necessary to decide any question.

ARTICLE 7, OFFICERS
The elected officer of the LEOFF Disability Board shall be the Chairperson. The Chair
shall be elected at the regular meeting in December of each calendar year and shall hold
office until their successors have been elected and qualified. The Chair shall be
responsible for conduct of the meetings and for setting the agenda. A Chair pro tem can
be selected by the LEOFF Disability Board when the Chairperson is absent.
ARTICLE 8, ATTENDANCE
Regular attendance is required from all Board members. 3 unexcused absences within I
calendar year will result in said member becoming subject to termination.
ARTICLE 9, RECORDS AND CORRESPONDENCE.
The LEOFF Disability Board shall establish and maintain an official mailing address to
receive correspondence, which will be 411 North 5th Street, Shelton, WA 98584.
Minutes shall be kept and are considered a public record.
ARTICLE 10, SIGNATURE AUTHORITY
The Chairperson is authorized to sign any necessary documents and only one signature is
required.
ARTICLE 11, TRAVEL
Members shall be reimbursed for all expenses incidental to such service as to the amount
authorized by law,pursuant to RCW 41.26.110 (2)
ARTICLE 12, TRAINING
Your participation is dependent upon attending certain trainings made available by the
County during regular business hours (such as Open Public Meetings Act and Public
Records). The trainings are available at no cost to you.
ARTICLE 13, AMENDMENTS
The LEOFF Disability Board on thirty days written notice to the membership, may
amend these By-Laws at any regular or special meeting.

THIS AGREEMENT, is made and entered by and between Mason County hereinafter
referred to as “COUNTY” and the Thurston-Mason Behavioral Health Administrative Services
Organization, a quasi-governmental entity formed pursuant to the Interlocal Cooperation Act,
chapter 39.34 RCW, hereinafter referred to as “TMBH-ASO.”
1. PURPOSE
The purpose of this Agreement is to define and fund judicial services provided by the Mason
County Clerk’s Office, the Mason County Superior Court, the Mason County Prosecutor’s Office
and the Mason County Office of Public Defense for those individuals involuntarily detained to
Mason County due to a behavioral health disorder per chapters 71.05 and 71.24 RCW.
2. DURATION OF AGREEMENT
This Agreement shall be effective January 1, 2025, and shall terminate on December 31, 2025,
unless otherwise amended. This agreement may be extended for a period not to exceed three
(3) months for the purpose of accommodating amendments and revisions pursuant to a renewal
or replacement of this agreement. The Extension shall be in writing and agreed upon by the
County and TMBH-ASO prior to the termination date set forth herein.
This agreement supersedes any other agreement for the reimbursement of judicial services for
individuals involuntarily detained effective on or after January 1, 2025.
3. SERVICES
Services to be provided are those defined in chapters 71.05 and 71.24 RCW. Involuntary
Treatment Court will be provided as established by a majority vote of the sitting judges of Mason
County Superior Court hearings and may be held either remotely via approved video streaming
service or in person at the location of the Evaluation and Treatment Facility. Jury trials shall be
held at the Mason County Courthouse. The location of the Evaluation and Treatment Facility is:
a. Mason County Evaluation and Treatment Facility

The Court shall operate two to three days a week or as necessary to meet the statutory
requirements. Days and hours shall be determined by TMBH-ASO, the Treatment Provider at the
Facility location and Superior Court.
Additionally, at this site, the judges of the Mason County Superior Court by majority vote may
authorize behavioral health commissioners, appointed pursuant to RCW 71.05.135, to perform
any or all of the following duties:
a. Receive all applications, petitions, and proceedings filed in the Superior Court for the
purpose of disposing of them pursuant to this chapter;

b. Investigate the facts upon which to base warrants, subpoenas, orders to directions in
actions, or proceedings filed pursuant to this chapter;
c. For the purpose of this chapter, exercise all powers and perform all the duties of a
Court Commissioner appointed pursuant to RCW 2.24.010;
d. Hold hearings in proceedings and make written reports of all proceedings under this
chapter which shall become a part of the record of Superior Court;
e. Provide such supervision in connection with the exercise of its jurisdiction as may be
ordered by the presiding judge; and
f. Cause the orders and findings to be entered in the same manner as orders and
findings are entered in cases in the superior court.
4. FUNDING
Funding for court services shall be in accordance with RCW 71.05.730:
A countywide rate per case of $817.00 is set for the period January 1, 2025 through December
31, 2025. The rate is based on an average of the expenditures per case for judicial services for
civil commitment cases within the county over the past three years, excluding indirect costs.
A civil commitment case, also known as a petition, is defined in RCW 71.05.730(3)(a): all
judicial hearings related to a single episode of hospitalization or less restrictive alternative
treatment, except that the filing of a petition for a one hundred eighty-day commitment which
shall be considered to be a new case regardless of whether there has been a break in
detention.
The number of filings shall be documented and submitted with each invoice.
The total amount of this contract shall not exceed $175,000.
Thurston Mason BH-ASO reserves the right to withhold payment until such time that adequate
back up documentation is provided to support the invoice. The number of filings will be reviewed
every six months to evaluate the need to adjust the contract maximum amount for the total
number of filings expected.
The Mason County Clerk is authorized to provide information in order for TMBH-ASO to pay for
Mason County for judicial services as provided for in RCW 71.05 and related audit functions or
for seeking reimbursement for judicial services as provided for in RCW 71.05.73.0 from the BH-
ASO that serves the county residence of the individual who is the subject of the Civil

5. INVOICING FOR SERVICES RENDERED
The COUNTY will provide a quarterly invoice for services provided to TMBH-ASO. Invoices
must be accompanied by case filing information. The invoice is due by the 10th of the month
following the end of the quarter. Invoices shall be submitted to invoices@tmbho.org.
6. COMPLIANCE WITH LAWS
Each Party shall comply with all applicable federal, state, and local laws, rules, and regulations
and will maintain all necessary certifications, licenses, and accreditation that may be required to
perform such Party’s obligations under this Agreement.
Pursuant to RCW 71.05.740, all behavioral health administrative service organizations in the
state of Washington must forward historical behavioral health involuntary commitment
information retained by the organization, including identifying information and dates of
commitment to the authority. As soon as feasible, the behavioral health administrative services
organizations must arrange to report new commitment data to the authority within twenty-four
hours. Commitment information under this section does not need to be resent if it is already in
the possession of the authority. Behavioral health administrative services organizations and the
authority shall be immune from liability related to the sharing of commitment information under
this section.
The Clerk of the Court must share commitment hearing outcomes in all hearings under this
chapter with the local behavioral health Administrative Services Organization that serves the
region where the Superior Court is located, including in cases in which the Designated Crisis
Responder investigation occurred outside the region. The hearing outcome data must include
the name of the facility to which the person has been committed
7. CONFIDENTIALITY
The Parties shall use Personal Health Information (PHI) only for the purpose of the services
outlined in this Agreement. TMBH-ASO, county employees, or any other service provider shall
not disclose, transfer, or sell any such information to any other Party, except as provided by law,
or in the case of PHI, without the written prior consent of the person to whom the PHI pertains.
The Parties also agree not to use or disclose PHI other than as permitted or required by this
Agreement, HIPAA, and the Health Information Technology for Economic and Clinical Health
Act (HITECH). The Parties shall use and disclose PHI only if such use or disclosure,
respectively, is in compliance with federal and state local laws, including, but not limited to
codes of conduct governing the individual parties. The Parties shall maintain the confidentiality
of all PHI and other information gained by reason of this Agreement and shall return or certify
the destruction of such information if requested in writing by the Party to this Agreement that
provided the information.

TMBH-ASO and Clerk shall protect all PHI, records, and data from unauthorized disclosure in
accordance with all applicable federal, state, and local laws regarding HIPAA confidentiality
requirements.
8. HOLD HARMLESS AND INDEMNIFICATION
Each Party to this Agreement shall be responsible for its own wrongful and negligent acts or
omissions, or those of its officers, officials, agents, or employees to the fullest extent required by
law, and shall indemnify, defend, and hold the other Party harmless from and against all claims,
suits, actions, liabilities, losses, expenses, damages, and judgments including costs and
attorney’s fees, for injury, illness, disability, or death to any person or persons or damage to
property caused by, arising out of, or resulting from the performance of this Agreement by the
Party, that Party’s officers, officials, agents, and/or employees.
In the case of negligence of more than one Party, any damages allowed shall be levied in
proportion to the percentage of negligence attributable to each Party, and each Party shall have
the right to seek contribution from the other Party in proportion to the percentage of negligence
attributable to the other Party.
9. INSURANCE
Each Party shall, at its own cost and expense, obtain and maintain in force during the term of
this Agreement professional and general liability insurance with limits of $1,000,000 per
occurrence, $3,000,000 annual aggregate. Such insurance shall be provided by insurance
company(ies) or self-insurance mutually acceptable to the parties. Each Party shall provide the
other with a certificate of insurance (or copy of the insurance policy) verifying such coverage
upon the other Party’s request.
10. THIRD PARTY CLAIMS HOLDING
A. The Party seeking indemnification hereunder shall promptly notify the other Party from
whom indemnification is sought in writing of any claim asserted against it and promptly
deliver a true copy of any summons or other process, pleading or notice issued in any
lawsuit or claim.
B. Where acceptance of its obligation to indemnify is deemed proper by the indemnifying Party,
said Party reserves the right to control the investigation, trial and defense of such lawsuit or
action (including all negotiations to effect settlement), any appeal arising from it and employ
or engage attorneys of its own choice.
C. The Party seeking indemnification may, at its sole cost, participate in such investigation, trial
and defense of such lawsuit or action and any appeal arising from same.
D. Each Party to this Agreement, its employees, agents, servants and representatives shall
provide full cooperation to the other at all times during the pendency of the claim or lawsuit,
including, without limitation, providing one another with all available information concerning
the claim.

11. NONDISCRIMINATION
TMBH-ASO, its assignees, delegates or subcontractors shall not discriminate against any
person in the performance of any of its obligations hereunder on the basis of race, color, creed,
ethnicity, religion, national origin, age, sex, marital status, veteran status, sexual orientation or
the presence of any disability. Implementation of this provision shall be consistent with RCW
49.60.400.
12. WITHDRAWAL
Any party hereto shall have the right to withdraw from this Agreement at any time, PROVIDED
that the remaining party to this Agreement shall have received written notification of the other
party’s intention to withdraw at least 120 days prior to the proposed effective date of such
withdrawal; and PROVIDED FURTHER, that such notification is received at least 120 days prior
to the expiration of the current fiscal year period.
13. PROHIBITION AGAINST ASSIGNMENT
The obligations and duties under this Agreement shall not be assigned, delegated, or
subcontracted to any other person, firm or entity without the prior express written consent of the
TMBH-ASO.
14. CHOICE OF LAW, JURISDICTION AND VENUE
A. This Agreement has been and shall be construed as having been made and delivered within
the State of Washington, and it is agreed by each party hereto that this Agreement shall be
governed by the laws of the State of Washington, both as to its interpretation and
performance.
B. Any action at law, suit in equity, or judicial proceeding arising out of this Agreement shall be
instituted and maintained only in any of the courts of competent jurisdiction in Thurston
County.
15. SEVERABILITY
If a court of competent jurisdiction holds any part, term or provision of this Agreement to be
illegal, or invalid in whole or in part, the validity of the remaining provisions shall not be affected,
and the parties’ rights and obligations shall be construed and enforced as if the Agreement did
not contain the particular provision held to be invalid.
If any provision of this Agreement is in direct conflict with any statutory provision of the State of
Washington, that provision which may conflict shall be deemed inoperative and null and void
insofar as it may conflict and shall be deemed modified to conform to such statutory provision.

16. COUNTERPARTS
This Agreement may be signed in counterpart or duplicate copies, and any signed counterpart
or duplicate copy shall be equivalent to a signed original for all purposes. This Agreement shall
be effective upon its execution by the two named Parties.
17. FILING OF AGREEMENT
A copy of this Agreement shall be filed with the County Auditor of Mason County or,
alternatively, listed by subject on a public agency’s web site or other electronically retrievable
public source, as required by RCW 39.34.040.
18. AMENDMENT
All amendments to this Agreement shall be in writing and mutually agreed upon and signed by
both Parties.
19. TERMINATION
This Agreement may be terminated by either party by giving (120) one hundred days written
notice of termination to the other Party.
20. ENTIRE AGREEMENT
The parties agree that this Agreement is the complete expression of its terms and conditions.
Any oral or written representations or understandings not incorporated in this Agreement are
specifically excluded.
21. NOTICES
Any notices shall be effective if personally served upon the other Party or if mailed by registered
or certified mail, return receipt requested, to the addresses set out on the cover page. Notice
may also be given by facsimile with the original to follow by regular mail. Notice shall be
deemed to be given three days following the date of mailing or immediately if personally served.
For service by facsimile, service shall be effective upon receipt during working hours. If a
facsimile is sent after working hours, it shall be effective at the beginning of the next working
day

SERVICE CONTRACT
This CONTRACT is made and entered into by and between Mason County, hereinafter referred
to as"COUNTY"and North Mason Little League, referred to as"CONTRACTOR"collectively
referred to as"parties."
RECITALS:
WHEREAS, COUNTY desires to retain a person or firm to provide the following service: Food
and beverage concessions at Sandhill County Park; and
WHEREAS,CONTRACTOR warrants that it is qualified and competent to render the aforesaid
services.
NOW,THEREFORE,for and in consideration of the CONTRACT made the parties agree to the
following:
Special Conditions
Concession Site:
CONTRACTOR will operate and manage the COUNTY provided concession stand at Sandhill
County Park. CONTRACTOR will not make any alterations, additions or improvements to the
site without prior approval from the Parks and Trails Manager or designee.
Concessions by Contract:
Through this CONTRACT COUNTY grants concessions by contract, not lease. CONTRACTOR
understands that concession contracts only confer permission to occupy and use the premises
for concession purposes.
Compliance:
1, CONTRACTOR shall comply with and perform the services in accordance with all applicable
Federal, State, and County laws including, without limitation, ail codes, ordinances, standards
and policies, as now existing or hereafter adopted or amended, including but not limited to the
following: Federal, State, and local health, safety and licensing laws relating to the sale of
concession goods; County codes.
2. CONTRACTOR is solely responsible for collecting and remitting sales tax and all other
applicable governmental charges as required by the Washington State Department of Revenue
(DOR) or other state or County agencies. Vendors will be solely responsible for remitting
Leasehold excise Tax payments to the DOR.
3.CONTRACTOR may not sell,transfer or give the concession rights to anyone else without
prior written approval from COUNTY.
4. CONTRACTOR agrees to allow and cooperate with any inspections by COUNTY prior to,
during the season, at the conclusion of seasonal operations and other times as requested.
5. Concessions area is for concessions sales only and is not to be used for storage of items
other than what is necessary for concession operations.
6. CONTRACTOR will comply with all Mason County Department of Public Health requirements

Service Provision:
CONTRACTOR will provide services at regularly scheduled games,tournaments, special events
and daily activities as mutually agreed with COUNTY, This CONTRACT does not grant
exclusive rights to distribute services or products at the parks.As determined by COUNTY
additional vendors may be contracted to provide food, beverage and other services during
tournaments and/or special events as required to meet the needs of participants. COUNTY may
elect to give CONTRACTOR the right of first refusal to provide the additional services.
Compensation:
CONTRACTOR will remit$900.00 to COUNTY at the end of the recreational season.
Customer Service:
CONTRACTOR will ensure that its volunteers, agents or representatives provide quality
customer service and treat all customers with courtesy and respect,
Employee Appearance:
CONTRACTOR will ensure that volunteers are appropriately dressed and appear neat and
sanitary.
Staffing:
CONTRACTOR will ensure that the concession services is adequately staffed preventing undue
delays to the public in the form of long and/or slow-moving service lines.
Menu and Pricing:
COUNTY reserves the right to request menu and/or pricing changes including but not limited to:
adding items, limiting items, removing items.
Removal of Equipment:
CONTRACTOR will remove its equipment and supplies from the concession stand at the end of
the recreational season or upon notification from COUNTY due to contract termination.
Maintenance:
CONTRACTOR at its sole cost and expense shall maintain the concession stand, equipment
and concession site including maintaining a clean and sanitary appearance.
Signs:
CONTRACTOR will not place signs other than on the concession stand or food truck without the
prior approval of the Parks and Trails Manager or designee.
General Conditions
Term:
The performance period for this CONTRACT is the 2022 and 2023 recreational season.The
COUNTY reserves the option, at COUNTY s sole discretion,to extend this contract for up to
three additional years.
Independent Contractor:
CONTRACTOR's services shall be fumished by the CONTRACTOR as an independent
contractor, and nothing herein contained shall be construed to create a relationship of
employer-employee.

Taxes:
CONTRACTOR understands and acknowledges that COUNTY will not withhold Federal or
State income taxes.Where required by State or Federal law,the CONTRACTOR authorizes
COUNTY to withhold for any taxes other than income taxes(i.e., Medicare),All compensation
received by the CONTRACTOR will be reported to the Internal Revenue Service at the end of
the calendar year in accordance with the applicable IRS regulations. It is the responsibility of
the CONTRACTOR to make the necessary estimated tax payments throughout the year, if any,
and the CONTRACTOR is solely liable for any tax obligation arising from the CONTRACTOR's
performance of this CONTRACT. The CONTRACTOR hereby agrees to indemnify COUNTY
against any demand to pay taxes arising from the CONTRACTOR's failure to pay taxes on
compensation earned pursuant to this CONTRACT.
Labor Standards:
CONTRACTOR agrees to comply with all applicable state and federal requirements, including
but not limited to those pertaining to payment of wages and working conditions, in accordance
with ROW 39.12,040, the Prevailing Wage Act; the Americans with Disabilities Act of 1990;the
Davis-Bacon Act; and the Contract Work Hours and Safety Standards Act providing for weekly
payment of prevailing wages, minimum overtime pay, and providing that no laborer or mechanic
shall be required to work in surroundings or under conditions which are unsanitary, hazardous,
or dangerous to health and safety as determined by regulations promulgated by the Federal
Secretary of Labor and/or the State of Washington.
Assignment and Subcontracting:
No portion of this CONTRACT may be assigned or subcontracted to any other individual or
entity without the express and prior written approval of COUNTY.
Non-Discrimination in Employment:
COUNTY's policy is to provide equal opportunity in all terms, conditions and privileges of
employment for all qualified applicants and employees without regard to race, color, creed,

CONTRACTOR shall comply with all laws prohibiting discrimination against any employee or

bona fide occupational qualification. Such action shall include, but not be limited to: advertising,
hiring, promotions, layoffs or terminations, rate of pay or other forms of compensation benefits,

The foregoing provisions shall also be binding upon any sub-contractor, provided that the
foregoing provision shall not apply to contracts or subcontractors for standard commercial
supplies or raw materials, or to sole proprietorships with no employees.

Non-Discrimination in Client Services:
CONTRACTOR shall not discriminate on the grounds of race, color, creed, religion, national
origin, sex, age, marital status, sexual orientation, disability, or veteran status; or deny an
Individual or business any service or benefits under this CONTRACT; or subject an individual or
business to segregation or separate treatment in any manner related to histherlits receipt any
service or services or other benefits provided under this CONTRACT; or deny an individual or
business an opportunity to participate in any program provided by this CONTRACT.
Right to Review:
This CONTRACT is subject to review by any Federal, State or COUNTY auditor. COUNTY or
its designee shall have the right to review and monitor the financial and service components of
this program by whatever means are deemed expedient by the Administrative Officer or by
COUNTY's Auditor's Office. Such review may occur with or without notice and may include, but
is not limited to, on-site inspection by COUNTY agents or employees, inspection of all records
or other materials which COUNTY deems pertinent to the CONTRACT and its performance, and
any and all communications with or evaluations by service recipients under this CONTRACT.
CONTRACTOR shall preserve and maintain all financial records and records relating to the
performance of work under this CONTRACT for six(6)years after CONTRACT termination, and
shall make them available for such review,within Mason County, State of Washington, upon
request. CONTRACTOR also agrees to notify the Administrative Officer in advance of any
inspections, audits,or program review by any individual, agency, or governmental unit whose
purpose is to review the services provided within the terms of this CONTRACT. If no advance
notice is given to CONTRACTOR, then CONTRACTOR agrees to notify the Administrative
Officer as soon as it is practical.
Insurance Requirements:
At a minimum,CONTRACTOR shall provide insurance that meets or exceeds the requirements
detailed in "Exhibit A Insurance Requirements."
Proof of Insurance:
A Certificate of Insurance naming COUNTY as the Certificate Holder must be provided to
COUNTY within five(5)days of CONTRACT execution.
Industrial Insurance Waiver:
With respect to the performance of this CONTRACT and as to claims against COUNTY, its
officers, agents and employees, CONTRACTOR expressly waives its immunity under Title 51 of
the Revised Code of Washington,the Industrial Insurance Act,for injuries to its employees and
agrees that the obligations to indemnify, defend and hold harmless provided in this CONTRACT
extend to any claim brought by or on behalf of any employee of CONTRACTOR.This waiver is
mutually negotiated by the parties to this CONTRACT.
CONTRACTOR Commitments,Warranties and Representations:
Any written commitment received from CONTRACTOR concerning this CONTRACT shall be
binding upon CONTRACTOR, unless otherwise specifically provided herein with reference to
this paragraph. Failure of CONTRACTOR to fulfill such a commitment shall render
CONTRACTOR liable for damages to COUNTY. A commitment includes, but is not limited to,
any representation made prior to execution of this CONTRACT,whether or not incorporated
elsewhere herein by reference, as to performance of services or equipment, prices or options
for future acquisition to remain in effect for a fixed period, or warranties.

Defense and Indemnity Contract:
1. Indemnificabon by CONTRACTOR.To the fullest extent permitted by law,
CONTRACTOR agrees to indemnify, defend and hold COUNTY and its departments, elected
and appointed officials, employees, agents and volunteers, harmless from and against any
and all claims,damages, losses and expenses, including but not limited to court costs,
attorney's fees and alternative dispute resolution costs, for any personal injury, for any bodily
injury, sickness, disease or death and for any damage to or destruction of any property(including
the Foss of use resulting therefrom)which 1)are caused in whole or in part by any act or
omission, negligent or otherwise, of the CONTRACTOR, its employees, agents or volunteers
or C,ONTRACTOR's subcontractors and their employees, agents or volunteers; or 2) are
directly or Indirectly arising out of, resulting from, or in connection with performance of this
CONTRACT; or 3) are based upon CONTRACTOR's or its subcontractors' use of, presence
upon or proximity to the property of COUNTY,This indemnification obligation of
CONTRACTOR shall not apply in the limited circumstance where the claim, damage, loss or
expense is caused by the sole negligence of COUNTY, This indemnification obligation of the
CONTRACTOR shall not be limited in any way by the Washington State Industrial Insurance
Act, RCW Title 51, or by application of any other workmen's compensation act, disability benefit
act or other employee benefit act, and the CONTRACTOR hereby expressly waives any
immunity afforded by such acts. The foregoing indemnification obligations of the
CONTRACTOR are a material inducement to COUNTY to enter into this CONTRACT, are
reflected in CONTRACTOR's compensation, and have been mutually negotiated by the
parties,
2. Participation by County—No Waiver, COUNTY reserves the right, but not the obligation,to
participate in the defense of any claim, damages, losses or expenses and such participation
shall not constitute a waiver of CONTRACTOR's indemnity obligations under this CONTRACT,
3. Survival of CONTRACTOR's Indemnity Obligations, CONTRACTOR agrees all
CONTRACTOR's indemnity obligations shall survive the completion, expiration or termination of
this CONTRACT.
4. Indemnity by Subcontractors. In the event the CONTRACTOR enters into subcontracts to
the extent allowed under this CONTRACT, CONTRACTOR's subcontractors shall indemnify
COUNTY on a basis equal to or exceeding CONTRACTOR's indemnity obligations to COUNTY.
Compliance with Applicable Laws, Rules and Regulations:

Except as set forth elsewhere in the CONTRACT, for all purposes under this CONTRACT
except service of process, notice shall be given by CONTRACTOR to COUNTY s Administrative
Officer under this CONTRACT. Notices and other communication may be conducted via
e-mail, U.S. mail, fax, hand-delivery or other generally accepted manner including
delivery services.
Modifications:
Either party may request changes in the CONTRACT.Any and all agreed modifications,to be
valid and binding upon either party, shall be in writing and signed by both of the parties.
Termination for Default:
If CONTRACTOR defaults by failing to perform any of the obligations of the CONTRACT or
becomes insolvent or is declared bankrupt or commits any act of bankruptcy or insolvency or
makes an assignment for the benefit of creditors,COUNTY may,by depositing written notice to
CONTRACTOR in the U.S. mail,terminate the CONTRACT, and at COUNTY'S option,obtain
performance of the work elsewhere.CONTRACTOR shall bear any extra expenses incurred by
COUNTY in completing the work, including all increased costs for completing the work, and all
damage sustained, or which may be sustained by COUNTY by reason of such default.
If a notice of termination for default has been issued and it is later determined for any reason
that CONTRACTOR was not in default,the rights and obligations of the parties shall be the
same as if the notice of termination had been issued pursuant to the Termination for Public
Convenience paragraph hereof.
Termination for Public Convenience:
COUNTY may terminate this CONTRACT in whole or in part whenever COUNTY determines, in
Its sole discretion, that such termination is in the interests of COUNTY. Termination of this
CONTRACT by COUNTY at any time during the term,whether for default or convenience, shall
not constitute breach of CONTRACT by COUNTY.
Disputes:
Differences between the CONTRACTOR and COUNTY, arising under and by virtue of the
CONTRACT shall be brought to the attention of COUNTY at the earliest possible time in order
that such matters may be settled or other appropriate action promptly taken.
Arbitration:
Other than claims for injunctive relief brought by a party hereto(which may be brought either in
court or pursuant to this arbitration provision), and consistent with the provisions hereinabove,
any claim, dispute or controversy between the parties under, arising out of, or related to this
CONTRACT or otherwise, including issues of specific performance, shall be determined by
arbitration in Shelton,Washington, under the applicable American Arbitration Association (AAA)
rules in effect on the date hereof,as modified by this CONTRACT.There shall be one arbitrator
selected by the parties within ten (10) days of the arbitration demand, or if not, by the AAA or

any other group having similar credentials.Any issue about whether a claim is covered by this
CONTRACT shall be determined by the arbitrator. The arbitrator shall apply substantive law
and may award injunctive relief, equitable relief(including speck performance), or any other
remedy available from a judge, including expenses, costs and attorney fees to the prevailing
party and pre-award interest, but shall not have the power to award punitive damages. The
decision of the arbitrator shall be final and binding and an order confirming the award or
judgment upon the award may be entered in any court having jurisdiction. The parties agree
that the decision of the arbitrator shall be the sole and exclusive remedy between them
regarding any dispute presented or pled before the arbitrator. At the request of either party
made not later than forty-five(45)days after the arbitration demand, the parties agree to submit
the dispute to nonbinding mediation,which shall not delay the arbitration hearing date; provided,
that either party may decline to mediate and proceed with arbitration.
Any arbitration proceeding commenced to enforce or interpret this CONTRACT shall be brought
within six(6)years after the initial occurrence giving rise to the claim, dispute or issue for which
arbitration is commenced, regardless of the date of discovery or whether the claim, dispute or
issue was continuing in nature. Claims, disputes or issues arising more than six (6) years prior
to a written request or demand for arbitration issued under this CONTRACT are not subject to
arbitration.
Venue and Choice of Law:
In the event that any litigation should arise concerning the construction or interpretation of any
of the terms of this CONTRACT,the venue of such action of litigation shall be in the courts of
the State of Washington and Mason County. Unless otherwise specified herein, this
CONTRACT shall be governed by the laws of the State of Washington.
Severability:
If any term or condition of this CONTRACT or the application thereof to any person(s)or
circumstances is held invalid, such invalidity shall not affect other terms, conditions or
applications which can be given effect without the invalid term, condition or application. To this
end,the terms and conditions of this CONTRACT are declared severable,
Waiver:
Waiver of any breach or condition of this CONTRACT shall not be deemed a waiver of any prior
pr subsequent breach. No term or condition of this CONTRACT shall be held to be waived,
modified or deleted except by an instrument, in writing, signed by the parties hereto. The failure
of COUNTY to insist upon strict performance of any of the covenants of this CONTRACT, or to
exercise any option herein conferred in any one or more instances, shall not be construed to be
a waiver or relinquishment of any such, or any other covenants or contracts, but the same shall
be and remain in full force and effect.
Order of Precedence:
A. Applicable federal, state and county statutes, regulations, policies, procedures,federal Office

INSURANCE REQUIREMENTS
A. MINIMUM Insurance Requirements:
1. Commercial General Liability Insurance using Insurance Services Office"Commercial
General Liability"policy form CO 00 011 with an edition date prior to 2004, or the exact
equivalent. Coverage for an additional insured shall not be limited to its vicarious liability.
Defense costs must be paid in addition to limits. Limits shall be no less than$1,000,000 per
occurrence for all covered losses and no less than$2,000,000 general aggregate,for bodily
injury, personal injury, and property damage, including without limitation, blanket contractual
liability.
2. Workers'Compensation on a state-approved policy form providing statutory benefits as
required by law with employer's liability limits for CONTRACTOR's, with two(2) or more
employees and/or volunteers, no less than$110001000 per accident for all covered losses.
3. Business Auto Coverage on ISO Business Auto Coverage form CA 00 01 including owned,
non owned and hired autos,or the exact equivalent. Limits shall be no less than$1100%000 per
accident, combined single limit. If CONTRACTOR owns no vehicles, this requirement may be
satisfied by a non-owned auto endorsement to the general liability policy described above. If
CONTRACTOR or CONTRACTOR's employees will use personal autos in any way on this
project, CONTRACTOR shall obtain evidence of personal auto liability coverage for each such
person.
4. Excess or Umbrella Liability Insurance(Over Primary)if used to meet limit requirements, shall
provide coverage at least as broad as specked for the underlying coverages. Such policy or
policies shall include as insureds those covered by the underlying policies, including additional
insureds. Coverage shall be"pay on behalf, with defense costs payable in addition to policy
limits. There shall be no cross liability exclusion precluding coverage for claims or suits by one
insured against another. Coverage shall be applicable to COUNTY for injury to employees of
CONTRACTOR, subcontractors or others involved in the Work. The scope of coverage provided
is subject to approval of COUNTY following receipt of proof of insurance as required herein.
B.Certificate of Insurance:
A Certificate of Insurance naming COUNTY as the Certificate Holder must be provided to
COUNTY within five(5)days of CONTRACT execution.
C. Basic Stipulations:
1. CONTRACTOR agrees to endorse third party liability coverage required herein to include as
additional insureds COUNTY, its officials, employees and agents, using ISO endorsement CO
20 10 with an edition date prior to 2004. CONTRACTOR also agrees to require all
subcontractors,and anyone else involved in this CONTRACT on behalf of the CONTRACTOR
(hereinafter"indemnifying parties")to comply with these provisions.
2. CONTRACTOR agrees to waive rights of recovery against COUNTY regardless of the
applicability of any insurance proceeds, and to require all indemnifying parties to do likewise.
3. All insurance coverage maintained or procured by CONTRACTOR or required of others by I
CONTRACTOR pursuant to this CONTRACT shall be endorsed to delete the subrogation
condition as to COUNTY, or must specifically allow the named insured to waive subrogation
prior to a loss.

4.All coverage types and limits required are subject to approval, modification and additional

coverage that may affect COUNTYs protection without COUNTY's prior written consent,

to self-insure its obligations to COUNTY. If CONTRACTOR's existing coverage includes a self-
insured retention,the self-insured retention must be declared to the COUNTY.The COUNTY
may review options with CONTRACTOR,which may include reduction or elimination of the self-
insured retention, substitution of other coverage, or other solutions,
8. CONTRACTOR will renew the required coverage annually as long as COUNTY,pursuant to o this r its
employees or agents face an exposure from operations of any type
CONTRACT.This obligation applies whether or not the CONTRACT is canceled or terminated
for any reason.Termination of this obligation is not effective until COUNTY executes a written
statement to that effect.
g,The limits of insurance as described above shall be considered as minimum requirements.
Should any coverage carried by CONTRACTOR or a subcontractor of any tier maintain
insurance with limits of liability that exceed the required limits or coverage that is broader than
as outlined above,those higher limits and broader coverage shall be deemed to apply for the
benefit of any person or organization included as an additional insured and those limits shall
become the required minimum limits of insurance in all Paragraphs and Sections of this
CONTRACT.
10. None of the policies required herein shall be in compliance with these requirements if

in writing.
11. The requirements in this Exhibit supersede all other sections and provisions of this
CONTRACT to the extent that any other section or provision conflicts with or impairs the
provisions of this Exhibit.
12. Unless otherwise approved by COUNTY, insurance provided pursuant to these
requirements shall be by insurers authorized to do business in Washington and with a minimum

13, All insurance coverage and limits provided by CONTRACTOR and available or applicable to
this CONTRACT are intended to apply to the full extent of the policies. Nothing contained in this
CONTRACT limits the application of such insurance coverage.
14. CONTRACTOR agrees to provide prompt notice to COUNTY of any notice of cancellation of
any required policy or of any material alteration or non-renewal of any such policy, other than for
non-payment of premium. CONTRACTOR shall assure that this provision also applies to any of
its employees, agents or subcontractors engaged by or on behalf of CONTRACTOR in relation
to this CONTRACT.
16.COUNTY reserves the right at any time during the term of the CONTRACT to change the
amounts and types of insurance required by giving the CONTRACTOR ninety (90)days
advance written notice of such change, If such change results in substantial additional cost to
the CONTRACTOR,the COUNTY and CONTRACTOR may renegotiate CONTRACTOR's
compensation.
16. Requirements of specific coverage features are not intended as limitation on other
requirements or as waiver of any coverage normally provided by any given policy. Speck
reference to a coverage feature is for purposes of clarification only as it pertains to a given issue
and is not intended by any party or insured to be all-inclusive.
17. CONTRACTOR agrees to provide immediate notice to COUNTY of any claim or loss against
CONTRACTOR arising out of the work performed under this CONTRACT, COUNTY assumes
no obligation or liability by such notice, but has the right (but not the duty)to monitor the
handling of any such claim or claims if they are likely to involve COUNTY.

Background/Executive Summary:
Friends of Foothills Dog Park would like to help the County enhance the useability of the existing dog
park at Foothills County Park by donating a portion(to be determined)of the costs associated with
making the dog park ADA compatible by adding a concrete walkway and entrance area to the existing
park.The proposed concrete walkway would be approximately 11 Oft leading from the entrance of the dog
enclosure to the parking area, and a 10'x10'concrete pad within the main entrance of the enclosure.

ment,which are to be paid by the donor at the time when the County determines replacement is
needed.
Interpretive Signs
Interpretive signs may be installed at sites that are appropriate for describing the history,geology,
environment,flora, and fauna of a particular area. Interpretive signs shall be of a size that is in keep-
ing with the character of the site. Interpretive signs shall be designed to meet requirements for
access to the disabled. Interpretive signs shall be designed in a manner that is consistent with other
interpretive signs on the site. Interpretive signs shall be constructed of materials that are of high
quality,vandal resistant,and able to withstand harsh environmental conditions.

Item: Purchase of a new John Deere 135 P-Tier Excavator for the Public Works Solid
Waste Division
Background/Executive Summary:
After a thorough evaluation of the current excavator's condition and consideration of both repair
and replacement options, it is recommended to purchase a new John Deere 135 Excavator for the
Eells Hill Transfer Station.
The existing excavator has exceeded 10,000 operating hours, surpassing the expected service life
of 7,000 to 10,000 hours per John Deere's guidelines. The estimated repair costs for the current
machine are $196,805.58, with an additional $9,700 per month required to rent a replacement
unit during the repair period.
Given the machine's age and extensive wear, replacing it with a new unit is a more cost-effective
option. The John Deere 135 Excavator is priced at $273,430.08 with a $50,000 trade-in
allowance for the existing unit. This brings the total purchase cost, including tax and delivery, to
$243,345.07.
The new excavator will be compatible with our existing attachments and specifically designed to
handle solid waste at the transfer station. This new excavator ensures continued operational
efficiency and eliminates rental costs and disruption to service when the current unit is down.

The excavator will be purchased off of the Sourcewell joint cooperative purchasing contract from
Pape Machinery.

What Extended Warranty is
The Extended Warranty Program is for the reimbursement on parts and labor for covered components that fail
due to faulty material or original workmanship that occur beyond the John Deere Basic Warranty coverage period.
The agreement is between Deere & Company and the owners of select John Deere Construction and Forestry
equipment,who purchase the Extended Warranty Plans for the desired coverage as indicated in this proposal.
What Extended Warranty is not:
Extended Warranty is not insurance. It also does not cover routine maintainance or high wear items,or insurance-
related risks/perils such as collision, overturn, vandalism, wind, fire, hail, etc. It does not cover loss of income
during or after an equipment failure. See the actual product-specific Extended Warranty agreement for a
complete listing of covered components, and limitations and conditions under the program.
FeatureslBenefits:
• Extended Warranty includes the following features and benefits under the program
• Pays for parts and labor costs incurred on failed covered components(less any applicable deductibles),
• Does not require pre-approval before repairs are made by the authorized John Deere dealership,
• Payments are reimbursed directly to the dealership with no prepayment required by the contract holder.
