Alpine Ductless,LLt(Alpine Ductless)shall provide the equipment and installation services described In the Scope of Work above. Alpine Ductless may refer to the Ductless Heat Pump Proposal acknowledged by OWNER,which is attached hereto as Exhibit 1,and incorporated by reference into this agreement. 2. OWNER shall abide by the Payment Terms described above. In the event that full payment is not paid within thirty(30)days after it Is due,the amount not paid shalt accrue interest at 1.5%per month and Alpine Ductless may take any remedies available under the law to enforce its rights hereunder. 3. The ductless heat pump(OH P)compressor is warranted for- :years;other system parts are warranted for l2 years. OWNER's sole remedy for any claim for breach of any warranty,express or implied,with respect to the ductless heat pump system shall be with the manufacturer(s)of the system and notAipine Ductless. 4. Gold Service Guarantee: For three years:from the date of installation,over and above the manufacturer's guarantee,If there's a mechanical defect with your ductless heat pump Alpine Ductless will replace the unit,including the associated labor,free of charge. Beyond the three year period,any labor necessary to install any portion of the DHP system that has been replaced under a manufacturer's warranty shall require payment of an additional labor fee. 5. Alpine Ductless and Alpine Ductless'selected sub-contractors shall install the ductless heat pump in a workmanlike manner and in compliance with local building codes. Notwithstanding anything in this agreement,Alpine Ductless makes no other representations or warranties of any kind with respect to the goods and services and hereby disclaims any and all other warranties,express or implied,including the warranty of merchantability of fitness for particular purpose. 6. Alpine Ductless shall not be responsible for claims arising out of equipment misuse or mistreatment of for damages to equipment,persons or property caused or permitted by OWNER.or OWNER's agents,third parties,acts of GOD or other causes beyond Alpine Ductless'control. OWNER shall hold Alpine Ductless completely harmless from,and shall indemnify Alpine Ductless for,all costs,damages,losses,and expenses, including judgments and attorney's fees,resulting from claims arising from causes set forth in this paragraph.Notwithstanding anything in the Agreement,Alpine Ductless shall have no liability,whether arising in contract,tort,or otherwise,for any loss of profit or use,or any indirect, special,incidental or consequential damages. 7. Additional Terms and Conditions: a. OWNER agrees to provide Alpine Ductless free and unobstructed access to the jobsite and locations where work is to be done- b. Should OWNER prohibit or prevent Alpine Ductless from beginning or completing the installation,should there arise any condition beyond Alpine Ductless control which prevents Alpine Ductless from completing the installation,or if OWNER fails to comply with its obligations under this agreement,Alpine Ductless may cancel this agreement. in such event,Alpine Ductless shall provide written notice to OWNER which shows the cost of the work completed and materials furnished through the date of cancelation. Alpine Ductless may apply the deposit provided with this Agreementto the total cost and bill OWNER for any remaining balance,which shall be immediately due and payable. c. Alpine Ductless shall not be liable forthe identification,detection.abaterrent,storage,or removal of any existing condition of the jobsite such as dry rotor hazardous substances such as asbestos or lead rzi?nt. !i such a condition is encountered in the course of Arne Ductless'work,Alpine Ductless may discontinue work without pe;:ai::y .Ctii the hazardous materials are removed or hazard liability is eliminated by an appropriate specialist certified bythe washingtcr=a=jtcr Department of Labor and Industries, d. No other statement,representation or promise has been made to induce either party to eater into this agreement. This agreement may not be modified or amended except by written agreement of the parties. Amendments to this agreement and/or changes to the installation may have cost implications. 8. Alpine Ductless and the OWNER have rights set forth in this Agreement,as well as lien rights provided bylaw and the right to file a complaint with the Washington State Department of Labor and Industries.
