SALE. In accordance with the terms and conditions of this contract WFA agrees to supply and Buyer agrees to purchase all of the supplies and materials necessary to construct the farm building structure generally described as r / and more particularly shown on the drawings and specifications proposed by WFA and approved by Buyer,which drawings and specifications and any changes or additions made thereto with the Buyer's approval are incorporated herein by this reference. 2. DESIGN. The design of the building(s) to be constructed hereunder, with accompanying drawings and specifications, has been specifically chosen and approved by Buyer. WFA DISCLAIMS ANY WARRANTIES OF FITNESS OR SUITABILITY FOR PARTICULAR PURPOSES OF THE BUYER. 3. AGENCY. Buyer hereby appoints WFA as Buyer's Agent to procure that labor necessary to construct the building described above,in accordance with the terms of the "Contractor Agreement for Construction of Building,"a copy of which is attached and incorporated herein by this reference.WFA shall neither be responsible nor liable to Buyer or any third party for loss,damage,or injury of any kind whatsoever due to the acts or omissions,includ- ing poor workmanship, of the Labor Contractor. Any claims by Buye=:�Paragraph for the aforementioned causes shell be presented directly to the Labor Contractor. 4. P . LEGAL DESCRIPTION. The building(s) to be constructed in accordance with this agreement will be located upon the following described real property: (Include complete legal description. Use attachments if necessary.) 6. CONSTRUCTION. The construction contracted for herein shall not include grading,clearing, filling or compacting which shall be completed by Buyer prior to the commencement of construction. Buyer shall be responsible for any damage or loss because of inadequate site preparation. If,in the opinion of WFA, adverse digging conditions are encountered that make necessary the use of special equipment, such as a backhoe,jackhammer,explo- sives or hand digging to assist or replace the normal power auger,this additional expense will be the Buyer's responsibility and shall be added to the price set forth herein. 7. AMENDMENT OF PLANS. Where the quantities, performance, or delivery period contracted for are changed or amended at the request of the Buyer,the Buyer shall be liable for any additional costs or expenses caused by such change or amendment. 8. PERMITS AND LICENSES. Buyer shall be solely responsible for acquiring any licenses, building permits or other documents required prior to commencement of construction. 9. LIABILITY AND DAMAGES. WFA shall not be liable to Buyer for any costs, expenses or damages except as to the express warranties and agree- ments contained herein. Buyer agrees to pay to WFA any costs incurred by reason of any delay in construction caused by Buyer's acts or neglect. Buyer further agrees to pay to WFA any costs or expenses incurred in the collection of the balance due including a reasonable attorney's fee and court costs incurred by reason of consultation or suit. 10. DRAWINGS AND PLANS. All drawings, specifications, plans and copies thereof are the property of WFA and shall be delivered to WFA upon request. 11. WARRANTY. WFA warrants the materials furnished against defects for a period of one (1) year from the date of completion of construction. This warranty is limited to replacement of any material found to be defective. BUYER WAIVES ANY CLAIM AGAINST WFA FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES RESULTING FROM ANY CAUSE WHATSOEVER. THERE ARE NO OTHER WARRANTIES OF MERCHANT- ABILITY OR FITNESS, EXPRESS, IMPLIED,OR STATUTORY EXCEPT AS PROVIDED HEREIN AND SUCH WARRANTIES ARE SPECIFICALLY DISCLAIMED. 12. COMPLETION CERTIFICATE. Upon completion of construction Buyer shall deliver to the Labor Contractor a certificate evidencing proper com- pletion. 13. COMPLETE TERMS. This contract constitutes the entire understanding of the parties.There are no other understandings,collateral or otherwise.Any amendments or changes hereto must be in writing and signed by both parties before they shall be effective.THIS CONTRACT WILL NOT BE BINDING UPON WFA UNTIL IT IS ACCEPTED AT THE WFA GENERAL OFFICE IN SEATTLE.
