1. Call to Order—The Chairperson called the regular meeting to order at

3. Roll Call — Present: Commissioner District 1 - Randy Neatherlin; Commissioner District 2 — Kevin
Shutty; Commissioner District 3 —Terri Drexler.
4. Correspondence and Organizational Business
4.1 Correspondence
4.1.1 Ed Huber sent an application for the Mason County Historic Preservation Commission.
4.1.2 Washington State Liquor and Cannabis Board sent a Marijuana Cooperative Registration
application for 650 E. Jensen Rd, Shelton.
4.1.3 Karlene Zimmerman, Ernesto Iuliano &Christine Forsdal sent in a letter requesting a
traffic study be done on East North Bay Road to lower the speedlimit.
4.1.4 Washington State Liquor and Cannabis Board sent a corrected license and application for
The Raucus Group, at 133 NE Waterhill Rd,Tahuya.
4.1.5 Washington State Liquor and Cannabis Board sent a liquor license application
for El Campesino #2, in Belfair.
4.1.6 State of Washington Department of Ecology sent a letter regarding Final Approval of the
Mason County Shoreline Master Program Comprehensive Update.
4.2 Proclamation- Community Planning Month
5. Open Forum for Citizen Input—
5.1 James Thomas addressed changes within the Economic Development Council (EDC). He said
they are working on a replacement for Lynn Longan who stepped down earlier this month. James
explained the purpose of the EDC and the goals of the group, noting that more focus will be on
the mandates from the Department of Commerce and the Board of County Commissioners.
5.2 Tom Davis said that the EDC has a difficult job with all of the issues they face. He applauded the
changes discussed by James Thomas adding that in the past, it seemed to be more of a social
group. He said the council should be attending trade shows.
6. Adoption of Agenda —Cmmr Shutty requested that item 10.3 become 10.1, therefore moving 10.1
and 10.2 down.
Cmmr. Neatherlin/Drexler moved and seconded to adopt the agenda as presented with
an exception to move 10.3 to 10.1, 10.1 to 10.2, and 10.2 to 10.3. Motion carried
unanimously. N-aye; S-aye; D-aye.
7. Approval of Minutes—September 5, 2017 and September 12, 2017 Regular Meeting Minutes
Cmmr. Drexler/Neatherlin moved and seconded to approve the September 5, 2017 and
September 12, 2017 regular meeting minutes. Motion carried unanimously. N-aye; S-
aye; D-aye.
8. Approval of Action Agenda:
8.1 Approval of Interagency Agreement, IAA18091, between the State of Washington
Administrative Office of the Courts and Mason County Juvenile Court Services for Court
Appointed Special Advocate (CASA) Programs in the amount of$62,746.
8.2 Approval of Interagency Agreement, IAA18128, between the State of Washington
Administrative office of the Courts and Mason County Juvenile Court Services for BECCA Bill
Programs and Services in the amount of$73,179.

8.3 Approval of the Contract for Professional Services between Mason County and Strengthening
Foundations Counseling, LLC, to continue Functional Family Therapy (FFT) services with
probation youth and families.
8.4 Approval of the revised Interlocal Agreement #17-013, WSP Contract #K13118, with
Washington State Patrol authorizing services provided by the Public Works Department for
vehicle, road or site maintenance, engineering, survey, GIS, emergency assistance, sign
fabrication, fueling and materials supply.
8.5 Approval to have the Board execute the resolution for County Road Projects (CRP) 2012 and
2013, Mason County Overlay projects on John's Prairie Road and Mason Lake Road, and
authorize the Chair to sign all pertinent documents for Public Works to advertise, set bid
opening date/time, award contracts and any change orders. Contract awards will be
announced during a regular meeting of the Board. (Ex. A)
8.6 Approval to set a public hearing on Tuesday, October 17, 2017 at 9:30 a.m. to consider the
following supplemental and budget transfer requests to the 2017 budget: (Ex. B)

8.7 Approval of the Resolution establishing Budget Reserves and a Contingency Policy for Mason
County.

• 2018 Visitor Information Center (VIC) services- $57,400 to Shelton Chamber of
Commerce and $33,500 to North Mason Chamber of Commerce.
• For 2018/2019 Tourism Promotion & Marketing Services- $206,000 to Northwest Event
Organizers, Inc.
8.9 Approval of amendment 15 to Mason County Public Health Consolidated Contract #C17118,
and approval to allow the Department Director the authority to sign the amendment to
expedite immediate cash flow.
8.10 Approval to purchase the UNITRENDS Backup Computer System 818 including a three year
maintenance agreement and upgrades; purchase of an external HP StoreEver tape drive and
14 new LTO tapes for long term retention of data; and purchase of the three year Optional

Pledge for the reduced pricing of a new larger backup system in the 4th year. This entire
purchase will be made on Government bid from CDW-G.
8.11 Approval of the Mason County Sheriff's Office proposed Civil Fee Schedule increases.
8.12 Approval to have the Chair sign the 2017-2019 Department of Ecology Community Litter
Cleanup grant agreement (No. W2RCLCP-1719-MaCoSO-00032) in the amount of$46,100.

Cmmr. Neatherlin/Drexler moved and seconded to approve action items 8.1 through 8.13
with the exception of 8.7. Motion carried unanimously. N-aye; S-aye; D-aye.
8.7 Cmmr. Neatherlin/Drexler made a motion and seconded to table item 8.7 until
October 24, 2017 to allow the finance committee time to meet. Motion carried
unanimously. N-aye; S-aye; D-aye.
9. Other Business (Department Heads and Elected Officials)
9.1 Dave Windom read a news release about their one day closure for training on Wednesday,
October 2, 2017.
9.2 Theresa Erich said that 146,000 pounds of garbage and 266 illegal dump sites have been cleaned
in Mason County. She noted that a grant was received from the Department of Ecology so a
second clean-up crew could be assembled.
10. 6:30 p.m. Public Hearings and Items set for a certain time—
10.1 Public Hearing to approve the sale of real property located at 2169 & 2179 Lake
Boulevard, Shelton. Parcel #'s 32030-51-07010 & 32030-51-10001 in the amount of
$39,000. Staff: Frank Pinter
Frank Pinter said that after research, one of the parcels cannot be sold in the process
currently being done. The parcel needs to be put up for bid, so the sale will need to be
canceled. The property was marked as surplus and it is actually tax title which has different
w . He said it will take 30-45 days. The brokers and buyer er have been notified and the s Y Y
County is waiting for an answer.

10.2 Public Hearing continued from September 12, 2017 to execute the resolution
approving the change of control transaction for the Wave Franchise Agreement.
Staff: Loretta Swanson (Ex. C)
Loretta Swanson explained that the hearing was continued and WAVE had answered all
issues with the Board.
Cmmr. Neatherlin thanked WAVE and Radiate Holdings for their response not only to him,
but to residents in the north end of the County. He said that they are looking at expansion
into outlying areas as they discuss their 2018 budgets.
Cmmr. Neatherlin/Drexler moved and seconded to execute the resolution
approving the change of control transaction for the Wave Franchise Agreement.

10.3 Public Hearing approve and execute the Ordinance revising Mason County Code
Title 6, Chapter 6.72, Section 6.72.010 (b) "Authority and Purpose"to reflect
current review process, state and federal regulations, and the Comprehensive Solid
Waste Management Plan. Staff: Bart Stepp (Ex. D)
Bart Stepp said the draft of the Comprehensive Solid Waste Management Plan has been
submitted to the Department of Ecology. He noted that this hearing was to address Mason
County Code 6.72.010 (b). He read through the proposed changes.
No public comment received.
Cmmr. Drexler/Neatherlin moved and seconded to approve and execute the
Ordinance revising Mason County Code Title 6, Chapter 6.72, Section 6.72.010
(b)`Authority and Purpose"to reflect current review process, state and federal
regulations, and the Comprehensive Solid Waste Management Plan. Motion
carried unanimously. N-aye; S-aye; D-aye.
11. Board's Reports and Calendar -The Commissioners reported on meetings attended the past week
and announced their upcoming weekly meetings.

RESOLUTION NO.
RESOLUTION OF MASON COUNTY, WASHINGTON
RESCENDING RESOLUTION 69-12 AND
APPROVING THE TRANSFER OF THE CABLE FRANCHISE
WHEREAS, WaveDivision IV, LLC, a Washington limited liability company d/b/a Wave
("Franchisee") currently holds a franchise (the "Franchise") granted by Mason County, (the
"County") to own and operate a cable system in the County; and
WHEREAS, Franchisee is a wholly-owned subsidiary of WaveDivision Holdings, LLC, a
Delaware limited liability company ("WDH"); and
WHEREAS, on May 18, 2017, Radiate Holdco, LLC, a Delaware limited liability company
controlled by Radiate Holdings, L.P. ("Radiate Parent"), WDH, and Wave Holdco, LLC, a
Delaware limited liability company ("Wave Holdco"), the ultimate parent of WDH, entered into
a definitive security purchase agreement for Radiate Holdco, LLC to acquire Wave Holdco from
its current owners (the "Transaction"); and
WHEREAS, Radiate Parent and Wave Holdco have filed FCC Form 394 with the County
and have provided the County with all information regarding the Transaction required by
applicable law (collectively, the "Application"); and
WHEREAS, the County has reviewed the Application and has determined that (i) Radiate
Parent meets the legal, technical, and financial criteria to become the owner of Wave Holdco
and the indirect owner of Franchisee, and (ii) the Transaction is in the best interests of the
County.
NOW, THEREFORE, BE IT RESOLVED AS FOLLOWS: the Board of County Commissioners
of Mason County, Washington does hereby resolve:
1. The County consents to and approves of the Transaction to the extent required
by the terms of the Franchise and applicable law;
2. The County confirms that the Franchise is valid and outstanding and in full force
and effect and there are no defaults under the Franchise. Subject to compliance
with the terms of this Resolution, any action necessary with respect to the
Transaction has been duly and validly taken;
3. To the best of the County's knowledge and belief, there are no existing facts or
circumstances that with or without the giving of notice or the passage of time, or
both, would constitute a default of any term or condition of the Franchise.
4. Effective upon the closing of the Transaction, the Franchisee shall remain
responsible for any obligations and liabilities under the Franchise.
5. This Resolution is adopted and approved in accordance with all applicable notice
and procedure requirements under all laws applicable to the County, and with all
applicable notice and procedure requirements. This Resolution shall take effect
upon its passage in accordance with applicable law.

FACILITY REGULATIONS,AMENDING SECTION 6.72.010 (b)
AN ORDINANCE , amending Title 6, Chapter 6.72; Solid Waste and Biosolids Handling and
Facility Regulations, Section 6.72.010 (b), Authority and Purpose.
WHEREAS, the amendments of the Mason County Code clarify the responsibility for regulating
solid waste and biosolid handling and facility activities within Mason County,pursuant to RCW
70.95;
WHEREAS, the amendments acknowledges that evaluations of these activities conforming to the
approved Comprehensive Solid Waste Management Plan, per WAC 173-350-710.
WHEREAS,the Mason County Board of Commissioners held a public hearing regarding the
proposed amendments on September 26, 2017.
THEREFORE BE IT RESOLVED, that this Ordinance amends those portions of Ordiance 107-
05 pertaining to Chapter 6.72, Section 6.72.010 (b);
NOW, THEREFORE BE IT FURTHER RESOLVED AND ORDAINED, that the Board of
Commissioners of Mason County hereby approves and adopts the amendments to Mason County
Code Title 6 (Sanitary Code)revising Chapter 6.72, Section 6.72.010 (b) as described by
Attachement A.

TITLE 6—SANITARY CODE
CHAPTER 6.72—SOLID WASTE AND BIOSOLIDS HANDLING AND FACILITIES
REGULATIONS
SECTION 6.72.010—AUTHORITY AND PURPOSE
6.72.010 -Authority and purpose
(a) This regulation is promulgated under the authority of RCW Chapters 70.05, 70.46,70.93, 70.95 and
36.58.
(b) Pursuant to RCW Chapter 70.95, the primary responsibility for managing solid waste is
assigned to local government. The Mason County health Community Services
department, Environmental Health Division is authorized, by this regulation and by
WAC 173-350 as adopted in this chapter, to regulate residential, commercial/business
solid waste and biosolids handling activities through use permit requirements, site
approval criteria and may require limited purpose permits or agreements between the
health department and any person, company, corporation, trust or other business entity not
required to obtain a permit. The criteria for pen-nits are contained in WAC 173-350-700.
Additionally, the Mason County Community Services Department, Environmental
Health Division shall evaluate and make determination that permit applications
conform to the approved Comprehensive Solid Waste Management
Plan, per WAC 173-350-710.
(c) This regulation is promulgated to protect the public health, to prevent land,air, and water pollution,
and to conserve Mason County's natural, economic,and energy resources by:
(1) Adopting Washington Administration Code(WAC) Chapter 173-350 Solid Waste Handling
Standards and Chapter 173-351, Municipal Landfill Standards.
(2) Controlling the disposal of all non-exempted solid waste generated and collected within Mason
County at a site or sites consistent with the Mason County comprehensive solid waste
management plan and as approved by the Mason County board of county commissioners.
(3) Providing a framework for interlocal cooperation in the handling of solid waste.
(4) Permitting any incorporated municipality within Mason County to use county solid waste
disposal facilities in a manner consistent with this regulation.
(5) This regulation shall be construed liberally to reduce environmental impacts of solid waste.
