BOX 2664 Silverdale, Washington 98383 (360) 698-5000 O Monitoring/Service Agreement This agreement is entered into this 28th day of August, 1995, by and between Alarm & Telecom, Inc., hereinafter referred to as "A&TI" and "Company", and St. Hughs Episcopal Church, located at E. 280 Wheelwright Street, Allyn, Washington 98524, hereinafter referred as "Subscriber". 1. SERVICES PROVIDED: [X] Monitoring [X] Repair Service [X] Annual Maintenance 1.1 MONITORING SERVICES: Signals of the alarm systems owned by the Subscriber at the premises, as set forth in enclosure (1), and received at the UL Central Station Monitoring Facility, as per the attached Schedule of Protection, shall be monitored by COMPANY. If, in the opinion of COMPANY, use by the Subscriber adversely affects the use of the receiving equipment, Notice of Equipment Fault (NEF) will immediately be issued and will necessitate a corrective repair made within fifteen (15) days following such notice to Subscriber. Subscriber acknowledges that COMPANY'S service obligation with respect to monitoring relates solely to the repair and operation of the monitoring receiving equipment. COMPANY is no way obligated to maintain, repair, service, replace, operate, or assure the operation of the property, system, or any devices or device of the Subscriber, unless provided in Paragraph 1.2 below. The Subscriber agrees to furnish the Contractor with a list of names to be contacted in the event of an alarm and names of the individuals that will have keys to the buildings for normal system maintenance. 1.2 REPAIR SERVICE: Subscriber authorizes COMPANY to provide repair service for the aforesaid system(s) in accordance with the following selected by Subscriber. 1.2.1 TIME AND MATERIAL SERVICE: All repairs shall be at Subscribers expense, and all repairs shall be performed between the hours of 8:OOam and 5:OOpm on Monday through Friday, excluding national holidays. Repairs that COMPANY is obligated to perform pursuant to this section shall generally be performed on the next business day following request for service be Subscriber unless otherwise provided. Subscriber agrees to pay for all materials, parts and labor used at COMPANY'S then prevailing rates, with a minimum one (1) hour labor charge for each visit. payment of charges for service shall be paid within ten (10) days of receipt of COMPANY'S invoice. 1.2.2 WARRANTY: All new installation labor is warranteed for one (1) year. Newly installed equipment is normally warranteed for a period of one (1) year by the manufacturer. A&TI warranties new equipment installed for the period of the manufacturer's warranty or one (1) year which ever is greatest. Repairs required during the warranteed period, necessitated by ordinary tear, wear or failure before expiration of warranty, shall be at COMPANY'S expense. All other repairs shall be at Subscribers's Page 1 St Hugh Episcopal Church Monitoring/Service g Agreement (continued) August 28, 1995 expense pursuant to the terms and conditions as set forth in Paragraph 1 .2.1 as hereinabove set forth. Repairs which may be required on the part of COMPANY shall be performed as soon as reasonably possible after receipt of notice by COMPANY by Subscriber. 1.2.3 ANNUAL MAINTENANCE TESTING: Mason County directs that all commercial fire alarm systems be both UL Central Station Monitored and tested on an annual basis. 2. PAYMENT AND TERMS: Subscriber agrees to pay to COMPANY, its agents or assigns: 2.1 For monitoring, the sum of Twenty-eight Dollars ($28.00) per month, payable monthly in advance, on the 1 st day of the month commencing with the month following completion of the initial connection for a period of one (1) year. In addition, Subscriber shall pay the pro-rata share of the service period for the month in which the connection, installation, or inspection is completed. 2.2 For service, the sum of Thirty-five ($35.00) Dollars per service call, which includes the first one half hour of labor, and Thirty-five ($35.00) Dollars per hour, payable monthly, on the first day of the month after the work performed. 2.3 For annual maintenance testing of the fire alarm system, the sum of One Hundred Five Dollars ($105.00) per annual test, payable monthly, on the first day of the month after the work performed. 2.4 This Agreement can be renewed for one (1) year periods by notifying the Company, in writing or orally. Subscribers intention to extend this Agreement IS ASSUMED if ''Notice To Extend'' is NOT received by thirty (30) days prior to the expiration of the original term or renewal term thereof. 3. RESPONSE TO ALARMS: 3.1 CENTRAL ALARM OFFICE: If monitoring service is provided, COMPANY shall, without warrant, make every reasonable effort to do the following: 3.1.1 Upon receipt of a burglar alarm signal, transmit the alarm to CENCOM headquarters and notify the Subscriber or his designated representative by calling the telephone number supplied to COMPANY in writing by Subscriber. 3.1 .2 Upon receipt of a burglar alarm signal, transmit the alarm to the CENCOM headquarters as per above. 3.1.3 Upon receipt of a water flow, sprinkler, manual, smoke or automatic fire alarm signal, transmit the alarm to CENCOM headquarters. Page 2 St Hugh Episcopal Church Monitoring/Service Agreement (continued) August 28, 1995 3.1.4 Upon receipt of a supervisory signal, notify Subscriber of his designated representative by calling the telephone number supplied to COMPANY in writing by Subscriber. 4. TELEPHONE LINES: Subscriber shall pay all charges made by any telephone company or other utility for installation, leasing and service charges of telephone lines connecting Subscribers's protected premises to COMPANY'S Central Station when a digital communicator or direct line is installed or when the signals are transmitted to Emergency Services headquarters. Subscriber acknowledges that if COMPANY utilizes a digital communicator for the purpose of transmitting alarm signals from Subscriber's premises to COMPANY'S Central Station, and in the event Subscriber's telephone service is out of order, disconnected, placed on vacation or otherwise interrupted, signals from Subscriber's alarm system will not be received in COMPANY'S Central Station during any such interruption in telephone service, and the interruption will not be known to COMPANY. Subscriber further agrees to pay all charges made by any telephone company or utility for installation, leasing and service charges of telephone services when Subscriber's regular telephone service is used. Subscriber acknowledges that the signals are transmitted over telephone utility lines, which are wholly beyond the control and jurisdiction of COMPANY and are maintained and serviced by the applicable telephone utility. 5. FALSE ALARMS: In the event an excessive number of false alarms are caused by Subscriber's carelessness, malicious action or accidental use of the alarms system or in the event Subscriber in any manner misuses or abuses the system, COMPANY may in its sole discretion deem this to be a material breach of contract on the part of the Subscriber and , at its option, in addition to all other legal remedies set forth below, be excused from further performance upon the giving of the (10) days written notice to Subscriber. COMPANY 'S excuse from performance shall not affect its right to recover damages from Subscriber. In the event a fine, penalty or fee is assessed against COMPANY by any governmental or municipal agency as a result of any alarm originating from Subscriber's premises, where Subscriber intentionally, accidentally or negligently has activated the alarm signal, and no alarm condition exists, or if COMPANY makes any service call caused by negligence of Subscriber, Subscriber shall pay to COMPANY a charge to be set by COMPANY for each such call. Subscriber represents he fully understands that the equipment, because of its sensitive nature, is subject to influence of external events which are not within the control of COMPANY and which may cause the alarm to activate. Any or all such alarms shall not excuse any of the obligations of Subscriber as set forth in this Agreement. 6. CANCELLATION: COMPANY assumes no liability for interruption of monitoring and/or service due to strikes, riots, floods, storms, earthquakes, fires, power failures, acts of Subscriber, interruption or unavailability of telephone service acts of God or other cause P Y p , beyond the control of COMPANY and will not be required to supply monitoring and/or repair service to Subscriber while interruption of service due to any such cause may continue. This Agreement may be suspended or canceled, without notice at the option of COMPANY, if COMPANY'S or Subscribers's premises or equipment are destroyed by fire or other catastrophe, or so substantially damaged that it is impractical to continue service or in the Page 3 St Hugh Episcopal Church Monitoring/Service Agreement (continued) August 28, 1995 event COMPANY is unable to render service as a result of any action by any government authority. Upon termination of this Agreement for any reason, Subscriber authorizes COMPANY to enter Subscribers's premises and disconnect Subscriber's signaling equipment from COMPANY'S monitoring system. 7. SUBSCRIBER'S DUTIES: The Subscriber shall carefully and properly test and set the alarm system immediately prior to the securing of the premises during the term of this Agreement. If any defect in operation of the system develops, or in the event of a power failure or other interruption at Subscriber's premises, Subscriber shall notify COMPANY immediately. If space protection (i.e., Ultra-Sonic, Microwave, Infra-Red, etc.) is a part of said system, Subscriber shall walk test the system each day in the manner recommended by COMPANY. When any device or protection is used, including but not limited to space protection, which is affected by turbulence of air, occupied airspace change, or disturbing conditions, Subscriber shall turn off or remove all things, animate or inanimate, including but not limited to forced air heaters, air conditioners, horns, bells, animals, and any other sources of air turbulence or movement, which may interfere with the effectiveness of the system during closed periods while the alarm system is on. Subscriber shall notify COMPANY of any remodeling or other changes to the protected premises that may affect the operation of the system. Subscriber agrees to furnish to COMPANY a written list of the names, titles, addresses, phone numbers and signatures of all persons authorized to enter or remain on the premises and/or be notified in the event of an alarm. All changes, revisions and modification to the above shall be supplied to COMPANY in writing. 8. DEFAULT BY SUBSCRIBER: If Subscriber fails to pay any amount herein provided within ten (10) days after COMPANY shall have request in writing performance thereof, of if any proceeding in bankruptcy, receivership or insolvency shall be commenced by or against Subscriber or his property, or if Subscriber makes any assignment for the benefit of creditors, COMPANY shall have the right but shall not be obligated to exercise any one or more of the following remedies: (a) Recover the existing amounts due from Subscriber and continue to service the system, In which case COMPANY shall be entitled to recover, in addition, the monthly amounts due under the contract for said services; or (b) Disconnect Subscriber's system from COMPANY'S monitoring network upon five (5) days written notice and recover from Subscriber all sums COMPANY may be entitled to under the law. 9. COMPANY IS NOT AN INSURER; LIMITATION OF LIABILITY: 9.1 It is understood and agreed: That COMPANY is not an insurer; that insurance, if any, shall be obtained by Subscriber; that the payments provided for herein are based solely on the value of the service as set forth herein and are unrelated to the value of the Subscriber's property or the property of others located on Subscriber's premises; that COMPANY makes no guaranty or warranty, including any implied warranty of merchantability or fitness that the equipment or services supplied will avert or prevent occurrences of the consequences therefrom which the system or service is designed to detect or avert. Subscribers acknowledges that it is impractical and extremely difficult to fix the actual damages, if any, which may proximately result from COMPANY'S negligence, or Page 4 St Hugh Episcopal Church Monitoring/Service Agreement (continued) August 28, 1995 a failure to perform any of the obligations herein, including, but not limited to installation, service, or monitoring or the failure of the system to properly operate with resulting loss to Subscriber because of, among other things: 9.1 .1 The uncertain amount or value of Subscriber's property of the property of others kept on the premises which may be lost, stolen, destroyed, damaged or otherwise affected by occurrences which the system or service is designed to detect or avert; 9.1.2 The uncertainty of the response time of any police or fire department, paramedic unit or others, should they be dispatched as s result of a signal being received or an audible device sounding; 9.1 .3 The inability to ascertain what portion, if any, of any loss of property, personal injury or death would be proximately caused by COMPANY'S failure to perform or by its equipment to operate; 9.1.4 The nature of the service to be performed by COMPANY. Subscriber understands and agrees that if COMPANY should be found liable for loss or damage due from COMPANY'S negligence, or a failure of COMPANY to perform any of the obligations herein, including but not limited to installation, monitoring or service, or the failure of the services or equipment in any respect whatsoever, COMPANY'S liability shall be limited to a sum equal to the total of six (6) monthly payments or Two Hundred and Fifty Dollars ($250.00), whichever is the lesser, and this liability shall be exclusive; and that the provi- sions of the Section shall apply if loss or damage, irrespective of cause or origin, results directly or indirectly to persons or property, from performance or non-performance of the obligations imposed by this Contract, or from negligence, active or otherwise of COMPANY, its agents, servants, assigns or employees. 9.2 If Subscriber wishes COMPANY to assume a greater limited liability in lieu of the amount as hereinabove set forth, Subscriber may obtain from COMPANY a higher limitation of liability by paying an additional periodic service charge to COMPANY. If Subscriber elects to exercise this option, a rider shall be attacked to this Agreement setting forth the terms, conditions and amount of the limited liability and the additional charge. Such a rider and additional obligation shall in no way be interpreted to hold company as an insurer. 10. THIRD PARTY INDEMNIFICATION: When Subscriber in the ordinary course of business has the property of others in his custody, or the alarm system extends to protect property of others, Subscribers agrees to and shall indemnify, defend and hold harmless COMPANY, its employees and agents for and against all claims brought by parties other than the parties to this Agreement. This provision shall apply to all claims regardless of cause, including COMPANY'S performance or failure to perform and including defects in products, design, installation, operation or non-operation of system, whether based upon active or passive negligence, contribution, indemnification, warranty, or strict or product Page 5 St Hugh Episcopal Church Monitoring/Service Agreement (continued) August 28, 1995 liability on the part of COMPANY, its employees or agents, but this provision shall not apply to claims for loss or damage solely and directly caused by an employee of COMPANY while on Subscriber's premises. 11. Subrogation: So far as it is permitted by Subscriber's property insurance coverage, Subscriber hereby releases, discharges and agrees to hold COMPANY harmless form any and all claims, liabilities, damages, losses or expenses, arising from or caused by hazard covered by insurance in or on the Subscribers's premise whether said claims are made by Subscriber, his agents, or insurance company or other parties claiming under or through Subscriber. Subscriber agrees to indemnify COMPANY against, and defend and hold COMPANY harmless from any action for subrogation which may be brought against COMPANY by any insurer or insurance company or its agents or assigns including the payment of all damages, expenses, costs and attorney's fees. Subscriber shall notify his insurance carrier of the terms of this provision. 12. LIMITATION ON ACTIONS; WAIVER OF TRIAL JURY: Both parties hereby agree that no suit or action that relates in any way to this Agreement (whether based upon contract, negligence or otherwise) shall be brought against the other more than one (1 ) year after the accrual of the cause of action therefore. In addition, both parties hereby waive any rights to a jury trial in any judicial action brought by either party which relates in any way to this agreement (whether based upon contract, negligence or otherwise). 13. ASSIGNEES/SUBCONTRACTORS OF COMPANY: COMPANY shall have the right to assign this Agreement to any other person, firm or corporation without notice to Subscriber, and shall have the further right to subcontract any installation or monitoring or services which it may perform. Subscriber acknowledges that this Agreement and particularly Paragraphs 10 through 13 relating to COMPANY'S maximum liability and third party indemnification inure to the benefit of and are applicable to any assignees and/or subcontractors of COMPANY and that they bind Subscriber with respect to said assignees and/or subcontractors of COMPANY with the same force and effect as they bind Subscriber to COMPANY. 14. PURCHASE ORDERS: It is understood and agreed by and between the parties hereto, that if there is any conflict between this Contract and Subscriber's purchase order, or any other document, this Agreement will govern, whether such purchase order or other document is prior or subsequent to this Agreement. 15. ATTORNEY'S FEES: In the event is shall become necessary for COMPANY to institute legal proceeding to collect the cost of any charges as set forth herein, then and in such proceeding, Subscriber shall pay to COMPANY reasonable attorney's fees and all court costs. INVALID PROVISIONS: In the event any of the terms or provisions of this Agreement shall be declared to be invalid or inoperative, all of the remaining terms and provisions shall remain in full force and effect. 17. ENTIRE INTEGRATION AGREEMENT; MODIFICATION; ALTERATIONS; WAIVER: This writing is intended by the parties as a final expression of their agreement and as a complete and exclusive statement of the terms thereof. This Agreement supersedes all prior representations, understandings or agreements of the parties, and the parties rely only upon the contents of this agreement in executing it. This Agreement can only be modified by a writing signed by the parties or their duly authorized agent. No waiver of breach of any terms or condition of this Agreement shall be construed to be a waiver of any succeeding breach. 18. NOTICES: All notices to be given hereunder shall be in writing and may be served, either personally or my mail, postage prepaid to the addresses set forth in the Agreement or to any other address provided by one to the other from time to time in writing.
