The Owner and the Contractor agree as follows: L
The Work.The Contractor shall perform the work required by the contract documents("contract documents"shall mean this agreement,the
Contractor's bid,if any,the 11PA,and plans,if any)for the following describe project located at Tax Parcel 9 12108-51-01011,commonly
described as 101 E.Grape Drive,Grapeview,WA 99546,as follows:
Emergency replacement of the failed concrete section of bulkhead of approximately 30 feet with large angular rock bulkhead at the same
height as existing,bacldilled with quarry spells and filter fabric placed along the back of the wall_Base rock to be keyed into beach a
minimum of 19—below existing beach grade. Contractor to remove and haul from site the existing failed concrete section.
'ALL Permits by others—Contractor assumes no responsibility for permits—owner to have permits on site.
2.Ownes Responsibilities,The Owner shall identify the location of the project by adequately defining boundaries of the subject property.
Any,and all disputes w1iich arise with regards to property boundaries shall be the sole responsibility of the Owner.The Owner shall pay all
costs,fees,and charges related to the project in a prompt and timely manner. •All permits,finals etc.shall be the sole responsibility of the
Owner and Owner shall be responsible for payment of fees,reports and the like for said permits.
3.Contractor's Responsibilities.The Contractor accepts the relationship oftrust and confidence established between the Contractor and the Owner
by this agreement.The Contractor agrees to use best efforts to furnish an adequate supply of workmen and materials,and to perform the work in
the most expeditious and economical manner consistent with the best interests of the Owner.
4.Time of Commencement and Completion. The work to be performed under this agreement shall be scheduled with the Owner and shall
be completed within a reasonable period of time.In any event,once work has commenced,the project shall be completed within 20 days.
Delays occasioned by weather,strikes,unavailability of materials,tidal elevations and/or closures,permit restrictions and other such causes not
within the control of the Contractor shall serve to extend the time allowed by this agreement by the length of any such delay or delays.
5_Cost of the Work.The Owner agrees to reimburse the Contractor for the construction project in full,including all applicable fees,
costs,sales taxes,use taxes,and project-related costs of every type and description_
a. Construction cost: S 30.000.00
b.Sales tax: 2.550.00 A9.5%(or WSST applicable A time of construction
c. Total construction cost: S 32-550.00
d.Payment schedule: $ 3255.00 down,one half payment upon commencement of the work,remaining balance upon completion of the work.
A credit for the down payment will apply to second half payment_ 'Down payment to be restored by owner if contractor works on behalf of
the Owner with a permit specialist to obtain required permits by amounts paid to agencies and specialists. In the event Owner elects to not
proceed with construction and Contractor has consulted on behalf of the Owner in procuring permits,$1000.00 may be retained by Contractor

e. .Permits from agencies,engineering and/or geological reports,beach and/or habitat assessments and the like,are the sole
responsibility of the Owner. Fees for the aforementioned permits and reports are the sole responsibility of the Owner,and are not a part
of the above total construction costs. Contractor,at owner's request,can suggest permit specialist to work with for the procurement of
permits(check here$)OR,if owner elects,contractor will consult on behalf of the Owner with permit specialist(check here N/A).
Contractor in no way guarantees that agencies will issue required permits,however,if Owner selects the contractor to work with permit
specialists,Contractor responsibility as stated in item 3 above shall apply.
6.Chapees in the Work-The work and the cost thereof have been established by a visual inspection of the property on 6th
day of February.2023
The Owner is aware that changes in the work may be made insofar as such changes are a)consistent with this agreement and authorized by
the Owner,or b)required due to erosion,permit restrictions,or other causes not within the control of the Contractor.Prior to becoming part
of this agreement,change orders shall be in writing and signed by the Owner and Contractor,and shall include applicable changes in the
contract documents,contract price,and completion time.
7.Dispute Resolution.All claims and disputes relating to this agreement shall be subject to arbitration in accordance with the rules then obtainin g
of the American Arbitration Association for the construction industry.Written notice of demand for arbitration shall be filed w ith the other party
to this agreement and with the American Arbitration Association within a reasonable time after the dispute has arisen.The prevailing party in
such a dispute shall be entitled to an award of a reasonable stem for attorneys'fees.

Re: Cedarstrom & Knuth Bulkhead Repair (project 23-102 & 23-103)
Mr. Coad,
have reviewed the supplied documentation regarding the bulkhead repairs for 81 & 101 E
Grape Dr., Grapeview (Knuth and Cedarstrom). I have found the documentation lacks the
details required.
The work was approved by the Washington Department of Fish & Wildlife as an
emergency repair. To permit under Mason County Title 14, the expectation is that the
engineer of record stamp and signed documentation as an as-built construction. The as-
built documentation shall include all details for construction including materials used and
size of rock installed and be labeled as-built drawing. In addition, a letter of verification of
inspection shall be stamps and signed by the engineer of record.
