Carletti, Trustee under Trust dated June 10, 1993 ("Grantor"), and Alderbrook Country Club, Inc., ("ACC") and North Forty Lodging LLC, owner of Alderbrook Inn, ("NFL") (collectively "Grantee"). RECITALS A. Grantor owns certain real property immediately west of Grantee Parcels, known as the "Clara Eastwood Parcel," shown on attached Exhibit A ( "Grantor Parcel"). B. Grantee owns certain real property located in Mason County, Washington, shown on attached Exhibit A (the "Grantee Parcels"). C. ACC currently maintains a road on the western edge of its parcel bordering Grantor's parcel ("Access Road"). D. Grantee desires to widen the Access Road onto Grantor's parcel such that the Access Road will be of sufficient width to be used for emergency vehicle access. E. Grantor wishes to grant to Grantee and Grantee's beneficiaries, family members, guests, invitees, agents and employees, a right to use a portion of the Grantor Parcel, as more particularly shown on Exhibit A (the "Easement Area"), for ingress and egress to the Grantee Parcels. AGREEMENT NOW, THEREFORE, in consideration of mutual covenants herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows: 1. Grant of Vehicular Traffic Ingress and Egress Easement. Grantor does hereby convey and grant unto Grantee and Grantee's beneficiaries, family members, guests, invitees, agents and employees a perpetual nonexclusive easement ("Easement") upon, across, and through Easement Area for the purposes of providing vehicular ingress and egress for Grantee. 2. Maintenance. Grantee will maintain the Access Road in compliance with all applicable government regulations and will be responsible for the repair of any damage caused by its use of the Access Road. 3. Use of Easement Area by Grantee. Grantee will at all times exercise their rights hereunder in a manner that will not unreasonably interfere with the use of Easement Area by Grantor or Grantor's guests, agents, employees and invitees. Except for the Easement - 2 initial construction of the Access Road and routine maintenance thereafter, Grantee will not perform any work or construct any improvements in Easement Area, including but not limited to the clearing of any trees or shrubs, without first obtaining Grantor's prior written consent. Notwithstanding the foregoing, Grantee will submit its building plans for the widened Access Road to Grantor and Grantee will not commence construction of the same without Grantor's prior written approval of such plans, which approval will not be unreasonably withheld by Grantor. 4. Use of Easement Area by Grantor. Grantor retains the right to fully use and enjoy Easement Area, and to grant other easements and rights, to the extent such use does not unreasonably interfere with the rights of Grantee under this Easement. 5. Compliance With Laws. Grantee agrees that it will at all times during the use of Easement Area observe, perform and comply with the requirements of all laws, statutes, ordinances, rules and regulations now or hereafter made by Grantor and any governmental authority with jurisdiction over Easement Area or any use thereof. 6. Successors and Assigns. The rights herein granted and the duties hereby agreed to are covenants that run with the land and will inure to the benefit of and be binding upon the parties' respective heirs, successors, and assigns. 7. Notices. Any notice under this Easement must be in writing and be personally delivered, delivered by recognized overnight courier service or delivered by mail. Any notice given by mail must be sent, postage prepaid, by certified or registered mail, return receipt requested. Easement - 3 8. Miscellaneous. This is the entire agreement of the parties with respect to the subject matter hereof. This Easement may be modified only in writing signed by all parties. Any waiver hereunder must be in writing. Any waiver of any right or remedy hereunder with respect to any default will not constitute a waiver of the same or any other right or remedy with respect to an other de Y p Y fault hereunder. In any suit, action or appeal therefrom to enforce or interpret this Easement, the prevailing art will be entitled o P 9 party t recover its costs and expenses incurred therein, including reasonable attorneys' fees and other costs of litigation. This Easement may be executed and delivered in counterparts, each of which will be deemed as an original and all of which will constitute one and the same agreement. The parties executing this Easement Agreement each represent and warrant that they have power and authority to do so, that no additional approvals are necessary and that by such execution they bind the parties hereto.
