County(the"County'),and the Mason County Historical Society(the"Grantee").

RECITALS
1.The Grantee has applied for a grant in the amount of$3,820 towards the purchase of
archival supplies and shelving that will preserve their collections,along with taxes and
shipping.
2.The County is granting up to the$3,820 requested for this project on a reimbursement
basis,based on receipts.All persons performing the work associated with this grant shall
act as an independent contractor(s),and not as an employee(s),on the terms and
conditions set forth herein.The money for this grant comes from fees collected by the
Mason County Auditor as authorized by RCW 36.22.170,which established a dedicated
fund for support local historic preservation.
AGREEMENT
In consideration of the foregoing and of the mutual promises set forth herein,and intending
to be legally bound,the parties herein agree as follows:
1.Engagement
(a)The County hereby agrees to reimburse the Grantee up to the full amount
of the grant based on an invoice and a final report of the completion of
purchasing archival supplies and shelving that will preserve their collections,
as described in the scope-of-work(Exhibit"A"),which shall be performed by
independent contractor(s).
(b)The Grantee hereby accepts the engagement to have said work performed,
to present an invoice and a final report for reimbursement and agrees to an
inspection of the final product prior to receiving payment under the terms and
conditions set forth herein.
2.Term.
(a) This Contract will commence on the date written above, and unless
modified by the mutual written agreement of the parties,shall continue until
six months from that date.

The Grantee may request a one-time six-month extension.Extension requests
must be in writing and be submitted to the Mason County Historic
Preservation Commission for approval no later than 5:00 p.m. four months
from the date of the award(July 27,2024).

3.0rantee's Obligations
(a) The Grantee shall provide a scope-of-work, consistent with the grant
application,which shall be attached to this contract as Exhibit A.
(b) Upon completion of the project the Grantee shall provide the County
with an invoice for reimbursement for the work approved by this grant
award.At a minimum the invoice shall include the organization's name,
remittance address,date,details of expenses(paid receipts),invoice total
and program or grant being billed. Grantees will allow at least 60-days
for reimbursement after the invoice has been received by the County.
(c) Upon completion of the granted project,a final report shall be submitted
by the Grantee to the Mason County Historic Preservation Commission.
The final report shall summarize the project,its completion and outcome.
The final report shall be submitted to the Mason County Historic
Preservation Commission, 615 West Alder St, Shelton, WA 98584
within 10 calendar days of the authorized grant completion date(October
7,2024).
(d) Grant recipients are required to comply with all local,state,and federal
permit requirements,ordinances and laws.Non-compliance can result in
the revocation of approved funding.

Mason County Historical Society - $3,820.00
The Mason County Historical Society will use the funds to purchase
archival supplies and shelving that will preserve their collections, along
with taxes and shipping. They will be using staff and volunteer time to
install the new shelving units, preserve negatives in cold storage, and
properly store copies of the Shelton-Mason County Journal so that their
collections can continue to be accessed by the community and future
generations. Appropriately archiving and storing their collections will
further their mission to preserve, share, and publish the history of Mason
County.
