Background/Executive Summary: The City and County will be updating their respective Comprehensive Plans(comp plans)in accordance with the Washington State Department of Commerce 2025 Periodic Update Cycle and the requirements of RCW 36.70A(Growth Management Act/GMA). The City and County agree there would be economy of scale benefits in cooperating in preparing their comp plans,thereby reducing costs, and avoiding duplication of efforts. Budget Impact(amount, funding source,budget amendment): The City agrees to reimburse the County for 7.9% of expenses in accordance with the respective populations up to$29,999 from July 1,2023-June 30,2025 as identified in the ILA. Attachments: ILA Draft Version: 8/2/2023 JH/KR INTERLOCAL AGREEMENT BETWEEN THE CITY OF SHELTON AND MASON COUNTY, RELATED TO JOINT COMPREHENSIVE PLANNING FOR THE 2025 COMPREHENSIVE PLAN UPDATE THIS INTERLOCAL AGREEMENT is made and entered into this XX day of XXXXXX, 2023 between the City of Shelton, a State of Washington Municipal Corporation ("City'), and Mason County, a political subdivision of the State of Washington ("County"), hereafter"the Parties." WHEREAS,the City and County will be updating their respective Comprehensive Plans ("Comp Plans") in accordance with the Washington State Department of Commerce 2025 Periodic Update Cycle and the requirements of the Revised Code of Washington (RCW) 36.70A("Growth Management Act" or"GMA"); and WHEREAS, the County and City have policies which promote mutual coordination for planning and economic development regionally, and there are a number of areas which the Parties agree there would be economy of scale benefits in cooperating in preparing their Comp Plans, thereby reducing costs and avoiding duplication of efforts; and WHEREAS, the County is prepared to provide technical assistance to support the City's planning efforts in the Shelton UGA. NOW THEREFORE, in consideration of the mutual terms, provisions and obligations contained herein, it is agreed by and between the City and County as follows: TERM. This agreement will continue through the end of 2025,through the adoption of both Parties' Comp Plans, or through the end of billing by the County's selected consultant for said work, whichever of these items is latest in time. PLAN ADOPTION PROCESSES. The Parties agree to conduct their respective plan adoption processes with an anticipated final completion date of June 30, 2025. The Parties agree to work together in good faith. The Parties agree to provide their own staff, consultants, and legal counsel for their respective processes. Any appeals of either Comprehensive Plan shall be the responsibility of the respective agencies. CALCULATION OF REIMBURSEMENTS. Where reimbursement is required under this Agreement, the City shall reimburse the County for 7.9% of its expenses in accordance with the Parties' respective populations. AREAS OF COOPERATION WITH ASSOCIATED COST SHARING METHODS. 1. Data Collection and Population Projections; No Reimbursement The Parties shall collaborate on collecting data—including characteristics,trends, indicators,actuals, costs, and specific metrics—which needs to be collected for Shelton's individual update, but also for Mason County as a whole. This data includes: population and demographic data,transportation data (including vehicle miles traveled, levels of service, state highway data, airport data), housing information, employment data, GIS data, and economic indicators. To support the use of consistent data and projections, the County will provide standardized data for the City to use. Any additional data specific to the City's planning efforts and not collected by Mason County will be the sole responsibility of the City. Page 1 of 4 Draft Version: 8/2/2023 JH/KR 2. Countywide Planning Policies; No Reimbursement The County shall be responsible for drafting and adopting Countywide Planning Policies (CPPs) in accordance with GMA requirements. 3. Shelton Urban Growth Area Planning; No Reimbursement The City of Shelton will likely seek to alter the boundaries of its established Urban Growth Area (UGA), by removing some areas that are unlikely to annex, and adding areas that are likely.Since the Shelton UGA is the future boundary of the City and is the water and sewer service area for the City's utilities, the City shall bear the cost and responsibility of planning efforts in the area. The City shall provide a recommended future land use map, revised Comprehensive Plan policies, a revised zoning map for the Shelton UGA and amended development regulations as appropriate for consideration and adoption by the County Commissioners. 4. Housing Element; Population-Based Reimbursement Starting with the data collected for the County's 2022 Regional Housing Needs Assessment, the County's selected Consultant will develop a countywide housing element. The City shall reimburse the County 7.9%of these costs.After the initial housing needs and policy frameworks are established jointly, then the City will undertake its own application of the required housing provision using its specific land use policies with its own consultant. 5. Climate Change Element; Population-Based Reimbursement The County's Multijurisdictional Multihazard Mitigation Plan, of which the City was a participant; shall provide the bulk of the newly-mandated Climate Element and required Resiliency subelement for the Comp Plans. Since Mason County is the lead agency for emergency management for the entire county, including the City of Shelton,the County shall lead in developing an initial draft of the Climate Element, which the City will refine separately for the City's specific purposes and adoption thereafter.The City shall reimburse the County for 7.9%of its costs in creating the initial draft of the Climate Element. MEANS AND AMOUNT OF REIMBURSEMENT. The County's selected consultant will bill the County for services rendered based on task order. The County will issue a quarterly invoice to the City based on this agreement; the City agrees to pay such invoice within 45 days of receipt. Should there be a dispute about the quality of the work in question or billing details, any undisputed portion of the invoice shall be paid while the Parties attempt to resolve the issues in question. The amount authorized for reimbursement under this Agreement shall not exceed $29,999 over the duration of the Agreement. OWNERSHIP AND USE OF WORK PRODUCT. Any and all documents, drawings, reports, and other work product produced by the County and its selected Consultant under this Agreement shall also become the property of the City upon payment of the County's invoices. The City shall have the complete right to use and re-use such work product in any manner deemed appropriate by the City. CITY'S RIGHT OF INSPECTION. Even though the Consultant is an independent contractor with the authority to control and direct the performance and details of the work authorized under this Page 2 of 4 Draft Version: 8/2/2023 JH/KR Agreement, the work must meet the approval of the City and shall be subject to the City's general right of inspection to secure the satisfactory completion thereof. RESOLUTION OF DISPUTES AND GOVERNING LAW. A. Should any dispute, misunderstanding, or conflict arise as to the terms and conditions contained in this Agreement, the matter shall be referred to the City's Community & Economic Development Director and the County's Community Development Director.The Directors shall determine the term or provision's true intent or meaning. The Directors shall also decide all questions which may arise between the parties relative to the actual services provided or to the sufficiency of the performance hereunder. B. If any dispute arises between the City and the County under any of the provisions of this Agreement which cannot be resolved by the Directors' determination in a reasonable time, the Parties agree to submit to binding arbitration.The Parties shall bear their own costs and fees for the arbitration, including attorney fees. WRITTEN NOTICE.All notices required to be given by either party to the other under this Agreement shall be in writing and shall be given in person or by mail to the addresses set forth below. Notice by mail shall be deemed given as of the date the same is deposited in the United States mail, postage prepaid, addressed as provided in this paragraph. Average permit turnaround times:July 2022=48 days;July 2023=46 days.These numbers are the average for all permits,regardless of customer holds(deficiencies or otherwise).As staff begins to utilize the SmartGov tools more efficiently,these numbers will more accurately reflect the actual time a permit waits in queue before completing review. When removing the anomalies,the current average is reduced to less than 50 days. Please note that these numbers do not reflect how long someone waits to get in for a submittal appointment. Recently,wait times have increased due to staffing vacancy and change in building codes.DCD staff is working together on improving this dynamic including staff training and on-going improvements to SmartGov. Program Eligibility and Allowable Expenses • Priority 1: Reduce economic hardship among current Homeless Service Provider Workers to maintain services and improve employee retention: o Full time Homeless Services Provider Workers(HSP) (1 FTE of 40 hours/week)with a gross income (wages and benefits) less than 80%AMI of$62,869 based on the ACS 2021 5-year Median Income of$78,587. o Part-time workers are eligible if their gross pay(wages and benefits) for the equivalent of 1 FTE of 40 hours/week is equal to or less than the 80%AMI value of$62,869. o Temporary, inflation relief funds for all HSP service positions (e.g. maintenance, administrative assistants) o HSP Workers must perform work in Mason County. o Funds will be allocated to agencies that it is equitable for each employee that meets the above criteria. • Priority 2: Offset the increased costs of rent and utilities in rental assistance programs. o Provide additional funds to rental assistance programs to serve the same number of households from the average of the last two years. • Priority 3: Training and certifications related to the work and used to help in employee retention. o Trainings for individuals or the organization are eligible. o Trainings must directly relate to the primary service work of the agency. o Individual Employee Training: employees earning up to 100%of the AMI of$78,587 (gross pay) are eligible for individual trainings and/or certifications. • Priority 4: Volunteer Incentives who help support the activities listed above. o Stipend o Paid activities Requirements • Requests satisfy the program eligibility and allowable expenses outlined above. • The costs are equitably allocated to all related activities among employees. • Policies and procedures are updated with how the funds will be distributed within the organization that shows equity among employees. This training is available electronically and can be obtained off-site or at the Human Resources Office. ♦ Being at the Mason County Park site during the hours of darkness and during the day on Friday, Saturday, Sunday and Holidays. Time off during the week is allowable, please notify the contractor. ♦ Park Host will open and close the park daily in accordance with park hours as deemed so by Contractor. Contractor shall provide for Park Host, and Park Host shall accept from Contractor, in full payment for Park Host services the following: A designated park host site located at the park. Be it understood that the Park Host shall be responsible for providing his/her telephone carrier and long distance service. Contractor shall provide electrical utilities, water, septic and garbage service. SECTION FOUR— PARK HOST/RESIDENT BENEFITS. It is understood and agreed by both Contractor and Park Host that Park Host is not an employee of Contractor and shall not receive the benefits available to Mason County Employees including, but not limited to: vacation time, sick leave, personal holiday, medical insurance, dental insurance, vision insurance, etc. It is further agreed by the Contractor to carry Industrial Insurance coverage on the Park Host. SECTION FIVE —CONDITIONS OF SERVICE. Park Host shall maintain designated residential area in a neat, orderly manner, and shall prevent the accumulation of debris, or any other material or objects which are not compatible to the environment of the park area such as metal, lumber or wood products, abandoned vehicles or appliances, tires or any other like materials. No services or activities shall be undertaken on Mason County Parks Property which result in compensation or benefit to the Park Host. There shall be no unauthorized or private use of park. All residents at the County-owned premises shall undergo a Washington State Patrol Background Check that indicates they are acceptable for involvement with youth activities. No illegal activities involving the Park Host shall be undertaken or allowed to take place on or about the park properties or Park Host residence. Only the Park Host shall be allowed to operate County-owned equipment, and then, only in the performance of work approved by the County. Residence in County-owned facilities is restricted to the Contractor and their immediate family. Residence shall be defined as any extended stay of more than one week in a calendar month. Immediate family shall mean the spouse and or legal dependents of the Contractor. Upon termination of the contract the Park Host shall remove all personal belongings, vehicles, etc. from the premises by the final day of the contract. SECTION SIX - CONFLICTING OBLIGATION. In cases of emergency or conflicting obligation, the Park Host is responsible for the continued completion of the duties specified in this contract. If the Park Host is unable to resolve the conflict, Mason County Parks and Trails Manager must be notified. SECTION SEVEN - CONTRACT AUTHORITY RESERVED BY COUNTY. Notwithstanding anything contained herein to the contrary, Contractor shall not have the right to make any contracts or commitments for, or on behalf of the County without the written consent of the County SECTION EIGHT - ENTIRE AGREEMENT. This Agreement, together with any Attachments, represents the obligations of both the County and the Contractor in their entirety. No other representations, whether verbal or in writing, that are not contained herein, shall be binding upon the parties. SECTION NINE - AMENDMENT OF AGREEMENT. In case of any violation of the terms of this Agreement by Contractor, or the physical inability of the Contractor to perform the required duties, the County may terminate employment immediately, with compensation only to the date of such termination. SECTION ELEVEN - SEVERABILITY. In the event that any competent court finds any specific term or provision of this Agreement invalid, the remaining terms and provisions shall be in full force and effect as if such provisions were not contained herein. SECTION TWELVE - CHOICE OF VENUE. It is the intention of the parties that all suits and special proceedings pertaining to the enforcement of this Agreement shall be in accordance with and pursuant to the laws of the State of Washington. Any actions or matters shall come before the courts of Mason County, Washington for actions and/or decisions. SECTION THIRTEEN - TERMINATION FOR DISABILITY. Notwithstanding anything in this agreement to the contrary, Contractor is hereby given the option to terminate this agreement in the event that Park Host shall, during the term hereof, become permanently disabled, as the term permanently disabled is hereinafter fixed and defined. Such option shall be exercised by Contractor giving notice to Park Host by registered mail, addressed to him/her at 241 N Foothills Park Rd, Hoodsport, or at such other address as Contractor shall designate in writing. On the giving of such notice, this Agreement shall cease on the last day of the month in which the notice is mailed, with the same force and effect as if such last day of the month were the date originally herein set forth as the termination date thereof. For the purpose of this agreement, Park Host shall be deemed to have become permanently disabled if, during any year of the term hereof, because of ill health, physical or mental disability or for other cause beyond his/her control he/she shall have been continuously unable or unwilling or shall have failed to perform his/her duties for a total period of thirty (30) days, irrespective of whether or not such days are consecutive. For the purpose hereof, the term any year of the term hereof, is defined to mean any 12-month calendar year period during the Park Host's affiliation with the Contractor in the capacity of Mason County Parks and Trails Park Host. SECTION FOURTEEN - SAFETY POLICY. It shall be a condition of employment to follow all safety practices set forth in Mason County Accident Prevention Procedures and Policy (MC Ord. The duties of MASON COUNTY PARKS AND TRAILS Park Host specifically require: ♦ Obtain the on-boarding training required by Mason County including, but not limited to, Sexual Harassment, Safe Lifting, Slip, Trip and Fall. This training is available electronically and can be obtained off-site or at the Human Resources Office. ♦ Being at the Mason County Park site during the hours of darkness and during the day on Friday, Saturday, Sunday and Holidays. Time off during the week is allowable, please notify the contractor. ♦ Park Host will open and close the park daily in accordance with park hours as deemed so by Contractor. The evening security round shall consist of ensuring the doors of all buildings or restrooms are locked, gates are shut and locked, and all guests are off the grounds. ♦ Conduct a daily park inspection, advising Mason County Parks and Trails Department of any hazardous or unsafe condition that may exist; any broken fixtures, lighting or plumbing and any vandalism to the park facilities. ♦ Perform light maintenance of park grounds as directed, i.e. stock and clean restrooms, litter pick-up, and other duties as assigned. ♦ Park Host agrees to call the Mason County Sheriff or 911 if anything out of the ordinary is observed or heard; but under no condition or situation will attempt to apprehend the person(s) so acting. ♦ Requests for off duty time shall be negotiated with the Contractor. ♦ Park Host is required to make the appropriate contacts if any situation should require intervention by parks staff or law enforcement. Contractor shall provide electrical utilities, water, septic and garbage service. SECTION FOUR— PARK HOST/RESIDENT BENEFITS. It is understood and agreed by both Contractor and Park Host that Park Host is not an employee of Contractor and shall not receive the benefits available to Mason County Employees including, but not limited to: vacation time, sick leave, personal holiday, medical insurance, dental insurance, vision insurance, etc. It is further agreed by the Contractor to carry Industrial Insurance coverage on the Park Host. SECTION FIVE —CONDITIONS OF SERVICE. Park Host shall maintain designated residential area in a neat, orderly manner, and shall prevent the accumulation of debris, or any other material or objects which are not compatible to the environment of the park area such as metal, lumber or wood products, abandoned vehicles or appliances, tires or any other like materials. No services or activities shall be undertaken on Mason County Parks Property which result in compensation or benefit to the Park Host. There shall be no unauthorized or private use of park. All residents at the County-owned premises shall undergo a Washington State Patrol Background Check that indicates they are acceptable for involvement with youth activities. No illegal activities involving the Park Host shall be undertaken or allowed to take place on or about the park properties or Park Host residence. Only the Park Host shall be allowed to operate County-owned equipment, and then, only in the performance of work approved by the County. Residence in County-owned facilities is restricted to the Contractor and their immediate family. Residence shall be defined as any extended stay of more than one week in a calendar month. Immediate family shall mean the spouse and or legal dependents of the Contractor. Upon termination of the contract the Park Host shall remove all personal belongings, vehicles, etc. from the premises by the final day of the contract. SECTION SIX - CONFLICTING OBLIGATION. In cases of emergency or conflicting obligation, the Park Host is responsible for the continued completion of the duties specified in this contract. If the Park Host is unable to resolve the conflict, Mason County Parks and Trails Manager must be notified. SECTION SEVEN - CONTRACT AUTHORITY RESERVED BY COUNTY. Notwithstanding anything contained herein to the contrary, Contractor shall not have the right to make any contracts or commitments for, or on behalf of the County without the written consent of the County SECTION EIGHT - ENTIRE AGREEMENT. Attachments MOU MEMORANDUM OF UNDERSTANDING Between Mason County Historical Society and Mason County 1.1 PARTIES This agreement is entered into between Mason County Historical Society (MCHS) and Mason County (COUNTY), which directs the Mason County Parks & Trails department (MCPT) to facilitate this agreement. 1.2 PURPOSE AND USE The PARTIES agree that the purpose of this agreement is to facilitate a cooperative relationship for Mason County to provide MCHS space at Mason County Recreation Area(MCRA)Park to store a cargo container. Mason County hereby finds that the MCHS,through its work,improves the quality of life of Mason County residents and therefore provides valued consideration. 1.3 DESCRIPTION OF PROJECT The PARTIES agreed that the project objective is to work together to provide MCHS storage space for historic artifacts or other needs. 1.4 TERM The term of this agreement shall be from January 1,2023 to December 31,2025 and can be extended with the written consent of both PARTIES. Either PARTY may terminate this agreement in writing forty-five (45)days prior to the proposed termination date. 1.5 RESPONSIBILITIES OF THE COUNTY The County will provide and support all of the following: • Provide space at the maintenance compound of MCRA Park for up to a 40' cargo container that will house historical artifacts or other needs. • Provide the MCHS with access to the cargo unit from 7:00 a.m. to 3:00 p.m. Monday through Friday and on weekends when staff are present. • Will report any problems with the cargo unit to MCHS. • Will provide power service to the cargo unit if needed. 1.6 RESPONSIBILITIES OF THE MCHS The MCHS will provide and support all of the following: • Will provide the COUNTY with a point of contact for the MCHS. • Will provide the COUNTY one set of keys in case of a need that arises to enter the cargo unit. • Will pay an annual fee of$10 per month or $120 per year for basic power service, if needed. If heating and cooling on an annual basis is required, the charge for power will be negotiated on the increase in monthly electric charges within reason and consideration for the time of year. • MCHS will indemnify and hold harmless MCPT for any damage or losses to the cargo unit and its contents. • MCHS will cover the costs of moving in the cargo unit and removing the cargo unit once the term has been completed. • MCHS will be responsible for all maintenance and care of the cargo unit. 1.7 INSURANCE MCHS will provide the COUNTY with evidence of Commercial General Liability insurance with limits of liability no less than $1,000,000 per occurrence and $2,000,000 annual aggregate, for bodily injury, including personal injury or death,products liability,and property damage of cargo unit and its contents. If the coverage is written as a claim made policy, then upon termination of contract, MCHS must evidence the purchase of an extended reporting period or"tail"coverage for a one-year period. The Commercial General Liability insurance shall name MCPT, its officers, officials, employees, and agents with respect to performance of services and shall contain no special limitations in the scope of protection afforded to MCPT as an additional insured. MCHS Commercial General Liability insurance shall be primary and non-contributory with respect to any insurance or self-insurance programs covering MCPT, its officers, officials, employees, and agents. The MCHS shall maintain all required policies in force from time services commence until services are completed. Certificates,policies, and endorsements expiring before completion of the Contract shall be promptly replaced. The MCHS shall place insurance with insurers licensed to do business in the State of Washington and having A.M. Best Company ratings of no less than A. The MCHS shall furnish Mason County Risk Management with properly executed certificates of insurance or a signed policy endorsement,which shall clearly evidence all insurance required in this section prior to commencement of services. This audit analyzed all the county's communication invoices including land line,cell phone,and internet.Annual savings of$39,555.83 were obtained.These saving consisted of unnecessary charges, inactive phone lines,unused cell phones,and reduced cell plan pricing. SpyGlass's charge for this service was one year of the savings achieved. This allowed us to pay for the services with no change to the budget and we will see the expected savings starting next year. The final recommendation from SpyGlass is that we closely monitor the charges for our analog phone lines. Phone service providers are pushing customers over to internet based VOIP connections for telephony services. To expedite this change providers may begin slowly increasing the cost for analog service. I.T.has started to investigate other options but currently we do not see the benefit nor believe the clarity of VOIP service is equivalent to our current solution. This harmful policy, outlined under 1 sT District Section 1905(a)(A)of the Social Security Act,makes no distinction between individuals housed in RANDY NEATHERLIN jails versus prisons, and thus unfairly denies or revokes federal health benefits for adults and juveniles that are being housed in local jails prior to conviction. These individuals,who are pending 2°d District disposition,are still presumed innocent under the United States Constitution. KEVIN SHUTTY The MIEP causes disruptions in primary and behavioral health care access for justice-involved populations that are enrolled in federal programs such as Medicaid, Medicare, or the Children's 3'District Health Insurance Plan (CHIP). Not only does this discontinuity in care contribute to detrimental SHARON TRASK health outcomes for both individuals and their communities, but it also increases rates of jail recidivism. By contrast,uninterrupted health care helps those who enter the criminal justice system break the cycle of recidivism exacerbated by untreated physical and mental illnesses and substance use disorders. Mason County Building 1 Across our nation, approximately 11 million people cycle in and out of local jails each year, 60 411 North Fifth Street percent of which are pre-trial detainees. The number of individuals being detained pre-adjudication has grown tremendously in the past several decades and paralleled the number of individuals in local Shelton,WA 98584-3400 jails that are experiencing mental illness and serious mental illness, often with co-occurring substance use disorders. In Mason County,most detainees housed in our jails on any given day are pre-trial,and most require some level of behavioral health and substance use treatment. This isn't (360)427-9670 ext.419 exclusive to Mason County,our nation's jails provide critical care to individuals with mental illness, who—without adequate community resources and continuous health care coverage—rely on the jail Fax(360)427-8437 as de facto behavioral health hospitals and treatment facilities. Recent federal action has reinforced the importance of continuing care coordination for incarcerated individuals with behavioral health conditions as the FY 2023 omnibus appropriations bill included a provision to give states the option to continue Medicaid coverage for juveniles in pre-trial status. Additionally, the U.S. Department of Health and Human Services (HHS), through Centers for Medicare and Medicaid Services (CMS), released a guidance encouraging states to apply for a Medicaid section 1115 demonstration opportunity allowing incarcerated individuals to receive health services under Medicaid at least thirty(30)days prior to release from jail or prison. Right now, Congress can build on these significant policy advancements and pass bipartisan legislation that would greatly improve care coordination for those individuals suffering from mental health,substance use,and/or other chronic health conditions by allowing continued access to federal benefits such as Medicaid, Medicare, and CHIP for eligible pre-trial detainees in local jails. On behalf of Mason County,we urge you to support the following bills that would address MIEP: • The Reentry Act(H.R. 2400/S. 1165), which would allow Medicaid payment for medical services furnished to an incarcerated individual during the 30-day period preceding the individual's release. • The Due Process Continuity of Care Act(H.R.3074/S.971),which would allow pre-trial detainees to receive Medicaid benefits at the option of the state and provide planning grant dollars to states for implementation of the MIEP repeal. SHOP SERVICES: A. Service and repair charges will be on an hourly basis rounded to the nearest 15 minutes. The shop rate for service is an hourly rate set yearly,which is inclusive of documentation and reporting of all maintenance work and service work.Notification of shop/labor surcharge rate increases will be sent out at least 30 days prior to implementation of the new rates. Fees do not include Washington State sales tax which will be added to each invoice. In addition,the DISTRICT to pay for all parts provided by the COUNTY from COUNTY stock(at COUNTY'S cost)plus any costs associated with fluids,pick-up and delivery, plus any mark-up as described below. B. Expenses outlined herein shall be paid by the DISTRICT in the manner set forth below: 1. Costs of any parts that the COUNTY does not have in-stock may be directly billed to the DISTRICT. 2. The cost of parts the COUNTY has in stock or are billed to the DISTRICT. This cost for parts and all labor services provided by the COUNTY will be directly billed. 4. Fluids used and replaced will be billed at the normal rates paid by the DISTRICT,plus a percentage mark-up set yearly, as well as fluid accountability requirements and any required disposal charges incurred by the COUNTY. 5. Pick-up and delivery charges will be directly paid by the DISTRICT to the entity providing such services. For example, if towing is required,the DISTRICT will pay the towing company directly. Any services required after normal shop hours will be billed at overtime rates. Field repairs normally will include shop truck costs. Payment is due upon receipt of invoice and payment shall be expected in thirty (30)days from date of invoice. FUEL STATION SERVICES: The COUNTY and DISTRICT agree to the following when using this service: Fuel Purchase. 1. The DISTRICT may be permitted to fuel its vehicles utilizing the facility maintained by the COUNTY at the Public Works Facility. 2. Fueling is only allowed to vehicles with exempt license plates and assigned vehicle pin numbers. 3. The DISTRICT may have twenty-four-hour access to the fueling facility by special key card furnished by the COUNTY. COUNTY agrees to extend the same per gallon fuel Page 2 costs as charged to Mason COUNTY(price of fuel is adjusted on a weekly basis)with a percentage per gallon of fuel surcharge in addition to the fuel price for administrative and maintenance fees set yearly. Lost key cards should be promptly reported to the COUNTY ER&R Supervisor. 4. DISTRICT agrees to accept responsibility for the use of and charges to issued account number. 5. Mason COUNTY will invoice the fuel usage monthly. This bill will indicate date and time of purchase,product quantity, cost and cards used. Payment is requested within 30- days. 8. ALL OTHER REQUEST WORK, SUPPLIES OR SERVICES: A. The DISTRICT shall pay the COUNTY all actual cost(direct and indirect) for requested services; an estimate will be provided by the COUNTY to the DISTRICT if requested. B. The COUNTY shall invoice the DISTRICT detailing time and/or materials used by the COUNTY. C. Payment is due upon receipt of invoice and payment shall be expected in thirty(30) days from date of invoice. Invoices and payments are to be sent to the address and one of the representatives referred to in section 2. 9. HOLD HARMLESS AND INDEMNIFICATION: (A.) The DISTRICT shall hold harmless, indemnify and defend the COUNTY, its officers, officials, employees and agents, from and against any and all claims, actions, suits, liability, loss, expenses, damages, and judgments of any nature whatsoever, Including costs and attorney's fees in defense thereof, for injury, sickness, disability or death to persons or damage to property or business, caused by or arising out of the DISTRICT'S acts, errors or omissions in the performance of this AGREEMENT. PROVIDED HOWEVER,that the DISTRICT'S obligation there under shall not extend to injury, sickness, death or damage caused by or arising out if the sole negligence of the COUNTY, its officers, officials, employees or agents. PROVIDED FURTHER, that in the event of the concurrent negligence of the PARTIES,the DISTRICT's obligations hereunder shall apply only to the percentage of fault attributable to the DISTRICT, its employees or agents. (B.). With respect to the DISTRICT'S obligations to hold harmless, indemnify and defend provided for herein,but only as such obligations relate to claims, actions or suits filed against the COUNTY,the DISTRICT further agrees to waive its immunity under the State Industrial Insurance Law, Title 51, RCW, for any injury or death suffered by the DISTRICT'S employees caused by or arising out of the DISTRICT'S acts, errors or omissions in the performance of this AGREEMENT. This waiver has been mutually negotiated by the PARTIES. (C.) The DISTRICT'S obligations hereunder shall include,but are not limited to, investigating, adjusting and defending all claims alleging loss from action, error or omission or breech of any common law, statutory or other delegated duty by the DISTRICT, the DISTRICT'S employees, agents or subcontractors. 10. ASSIGNMENT,DELEGATION AND SUBCONTRACTING: The PARTIES shall perform the terms of the AGREEMENT using only their bona fide employees or agents. 11. COMPLIANCE WITH LAWS: The PARTIES shall comply with all applicable federal, state and local laws, rules and regulations in performing this AGREEMENT. The Dry Bed Creek corrugated metal culvert at milepost 5.19 has exceeded its design life and lost structural integrity. County crews plan to remove the culvert and close the road until a replacement analysis is complete and funding secured for the preferred alternative. Current alternatives range from not replacing the culvert to an anticipated bridge,estimated to cost over$2 million. The current traffic volume on this portion of Beeville Loop Road is 22 vehicles per day. Motorists will be able to use West Ford Road and West Beeville Loop Road with little to no change in their normal route. Budget Impact• No impact currently.
