Sole-Source Procurement of Vote-by-Mail Envelope Sorting
Background/Executive Summary:
In preparation for the 2024 Primary and General Election,the Election's Office plans to purchase a vote-by-
mail envelope sorting machine to improve the efficiency of ballot processing operations and provide capability
for improved signature verification presentation for election observers.
Budget Impact(amount,funding source,budget amendment):
$200,750 total- $136,000 is from available HAVA grant funds;the remainder will be from the Elections
Machinery&Equipment budget 564010. Budget adjustment will be required to add$52,250 to this budget
from the Elections Cash&Investment account.

Tritek Maintenance and Software License Agreement
GENERAL: This Agreement covers a software license, preventative maintenance, and
emergency on-call repair services for the Tritek Correct Elect Equipment for: Mason
County, Washington.
DESCRIPTION OF SERVICES: Tritek shall provide all labor, equipment, tools, material,
transportation and services necessary to perform the maintenance/ repair for the Tritek
(Model Sorter or Equipment). Services shall be performed in accordance with this
Maintenance Agreement as well as specific procedures in the manufacturer's operating
manuals. Tritek shall perform all maintenance/ repairs during the hours of 9:00 am
through 5:00 pm Monday through Friday.
WORK REQUIREMENTS: All Tritek employees who will be utilized to perform the
services required under this Agreement shall be trained in all applicable areas of Tritek
Sorter repairs. Tritek employees shall be courteous, professional, present a neat
appearance and be easily recognizable. This shall include wearing distinctive clothing
bearing the name of the company or by wearing appropriate badges that display the
company's name and employee's name.
ROUTINE PREVENTIVE MAINTENANCE: Routine preventative maintenance services
shall be performed on the Tritek Correct Elect equipment. All maintenance work shall
include: full maintenance services to include all repairs, service and parts for one cost per
year. This includes one, (1) preventative maintenance visit per year. On-call service
during regular business hours: Tritek shall dispatch a technician to perform, pursuant to
the schedule, preventative maintenance inspections and remedial maintenance calls.
During any remedial maintenance call or preventive maintenance call, the technician shall
replace, subject to exclusions for negligence and abuse, all parts necessary to complete
all maintenance services. Parts shall meet the original manufacturers 'standards or be of
an equivalent quality. The routine maintenance services shall be performed at the firm
fixed price(s) set forth under the contract line item for preventative maintenance and
software license fee, all of which must be paid to Tritek in accordance with this
Agreement.
ON-CALL REPAIR SERVICES: Occasionally, Tritek may be requested to perform on-
call emergency repair services on an as needed basis. The Customer will issue
emergency service requests to Tritek via email or telephone call. Tritek shall contact the
Customer's Technical Representative within 4 hours of a request for emergency services
and shall schedule the service call appointment with the appropriate customer site
representative if it is determined by the Tritek service representative a service visit is
required.

Tritek Maintenance and Software License Agreement (cont.)
TRITEK WARRANTY INFORMATION: Tritek Systems warranties all equipment sold for
one (1) year from the date of delivery. Warranty includes all parts and components,
manufactured by Tritek and those that were sourced. Tritek will ensure equipment is
compliant with the agreed-upon Statement of Work and/or the Contract in place with the
customer.
SERVICE OUTSIDE OF AGREEMENT: If applicable, additional service and support fees
outside of specified maintenance will be invoiced at the rate of $325.00 per hour (plus
travel).

First Year Included with Purchase Price
Annual Software and Hardware Maintenance Agreement Cost 2nd Year: $29,155.00
One Year Manufacturer Warranty included in the purchase price. Software Licensing
and Hardware Maintenance fees begin in year 2 and have a 2% increase each year.
Consumable Parts (labels, ink, and filters): are an extra charge and not included in
maintenance coverage.
Important! All maintenance and software license renewal payments must be current to
prevent disruption of software and hardware operations.

A RESOLUTION WAIVING PUBLIC BIDDING REQUIREMENTS AND APPROVING
A SOLE SOURCE PROCURMENT OF
A CORRECT ELECT VOTE BY MAIL ENVELOPE SORTING MACHINE FROM TRITEK
TECHNOLOGIES, INC.
WHEREAS, the County Auditor Elections Department plans to purchase a vote by mail envelope
sorting machine in preparation for the 2024 Presidential Primary and 2024 General Election,
WHEREAS, this sorting machine is intended for use in primaries, general elections, and special
elections,
WHEREAS, the Tritek Technologies, Inc. is the only supplier of a sorting machine that can
capture photographed images of both sides of a vote by mail envelope simultaneously and has the
capability to sort envelopes by political party designation (essential for ballot processing in a Presidential
Primary),
WHEREAS, RCW 39.04.280 specifies exemption to competitive bidding requirements for
purchases that are clearly and legitimately to a single source of supply.
NOW,THEREFORE, BE IT RESOLVED by the Board of Mason County Commissioners as
follows:
1. Tritek Technologies, Inc., is the sole manufacturer of a vote by mail sorting machine that
meet the Elections Department requirements for simultaneous capture of both sides of a vote
by mail envelope and can sort envelopes according by political party designation.
2. That the County is authorized to purchase without proceeding to secure competitive bids,
a Correct Elect Vote by Mail envelope sorter with 2 additional envelop batch bins, estimated
to cost $200,750 (plus tax).

Background/Executive Summary:
The Lodging Tax Advisory Committee(LTAC)met on April 19 to review the draft Request for Proposals
(RFP)and voted to recommend the County issue an RFP for services that support tourism and allocate up
to 20%of the 2022 revenues for those services.
2022 total revenue is $1,024,297 and 20%equals$204,000.

Services that Support Tourism in Mason County
I. Introduction and Summary
Mason County, Washington is requesting proposals from qualified firms for additional services that support
tourism in Mason County to include Visitor Information Centers [as defined RCW 67.28.1816 (d) "...tourism-
related facilities owned or operated by nonprofit organizations described under 26 U.S.C. Sec. 501(c)(3) and 26
U.S.C. Sec. 501(c)(6) of the internal revenue code of 1986, as amended"], Tourism promotion [as defined
RCW 67.28.080 (6) " ...activities, operations, and expenditures designed to increase tourism..."] and support of
tourism related facilities [as defined RCW 67.28.080 (7)].
Services shall be provided at locations throughout the County that provide convenient ingress and egress, high
visibility, on major tourist transportation corridors and offer a clean, welcoming environment.
The total budget is up to $204,000 for all tourism support services and multiple contracts may be awarded.
Proposals are due no later than 4:00 p.m. on Friday, June 30, 2023. This is for services commencing January 1,
2024.
Tourism support services will be provided at the direction of the Mason County Board of Commissioners under
the advice of the Mason County Lodging Tax Advisory Committee. All County contracts require approval of
the Mason County Board of Commissioners.
Deadline for receipt of proposals is 4 p.m., Friday, June 30, 2023. Proposals should be prepared in accordance
with this RFP and mailed or delivered to:

Proposals will be evaluated by the Lodging Tax Advisory Committee and respondents may be interviewed by
members of the committee. The committee will make recommendation for contract award to the Mason
County Board of Commissioners who will make final selection. Respondents should not lobby committee
members or the Board of Commissioners. Respondents should contact Diane Zoren by phone or email for
additional information. All proposals are public records. The committee reserves the right to request
additional information from respondents. The County reserves the right to reject all submittals.

Contract Terms: Contracts will be awarded for a minimum of one year with an option for renewal. Contract
performance review will occur annually.
Insurance Requirements. All insurance provided shall be primary and non-contributory.
1) Comprehensive General Liability. $1,000,000 combined single limit per occurrence for bodily injury,
personal injury and property damage, $2,000,000 general aggregate;
2) Automobile Liability. $1,000,000 combined single limit per accident for bodily injury and property
damage;
3) Workers' Compensation. Workers' compensation limits as required by the Workers' Compensation
Act of Washington;
4) Consultant's Errors and Omissions Liability. $1,000,000 per occurrence and as an annual aggregate.
II. Statement of Need
Mason County, Washington is in need of contractors to provide services that support tourism in Mason County
that may include Visitor Information Centers, tourism promotion, and support of tourism related facilities.
Services shall be provided at locations throughout the County that provide convenient ingress and egress, high
visibility, on major tourist transportation corridors and offer a clean, welcoming environment.
Visitor Information Center services shall include dissemination of printed recreational materials and direct
assistance to visitors from persons familiar with all parks, lodging, dining, retail and recreational
establishments and services available in Mason County. Contractors will be required to provide ongoing
training for visitor service providers to ensure thorough knowledge of and familiarization with services and
amenities available in the County. Respondents will be strongly encouraged to gain authorization to sell State
Parks and/or National Parks/Forests passes, guides and maps. Contractors will be required to provide
updated information about area events, lodging, dining and recreational experience opportunities to the
County Tourism Marketing Contractor.
Tourism promotion means activities, operations, and expenditures designed to increase tourism, including but
not limited to advertising, publicizing, or otherwise distributing information for the purpose of attracting and
welcoming tourists.
Tourism-related facility means real or tangible personal property with a usable life of three or more years, or
constructed with volunteer labor that is: (a)(i) Owned by a public entity; (ii) owned by a nonprofit organization
described under section 501(c)(3) of the federal internal revenue code of 1986, as amended; or (iii) owned by
a nonprofit organization described under section 501(c)(6) of the federal internal revenue code of 1986, as
amended, a business organization, destination marketing organization, main street organization, lodging
association, or chamber of commerce and (b) used to support tourism, performing arts, or to accommodate
tourist activities.
Contractors will be required to provide estimates and final numbers of visitors for annual reports pursuant to
Revised Code of Washington 67.28.1816 (2).

III. Form of Proposal — Tourism Support Services
Respondent proposals should not exceed 10 pages, including attachments and should include:
1) Contact name, address, telephone number, and e-mail address.
2) Detailed description of tourism support services being proposed. If the proposal includes a facility,
include the location, square footage of space dedicated to tourism support services and hours of
operation.
3) Statement of qualifications including experience in providing tourism support services.
4) Strategy for maintaining familiarization with area parks, lodging, dining, retail and recreational
amenities.
5) A detailed budget of cost for providing tourism support services. No capital costs are allowed.
6) Proposed measures to assess impact of contract performance including your strategy to measure
economic impacts to area businesses and to fulfill reporting requirements as defined in Revised Code
of Washington 67.28.1816 ii (c).
7) All proposals shall include estimates of how this contracted service will result in increases to people
staying overnight, travelling 50 miles or more to Mason County, or coming from another state or
country to Mason County.
IV. Evaluation Criteria:
Proposals will be evaluated based on the following criteria. The evaluation criteria are subject to change
without notice.
1) Strategy for dissemination of tourism support services (i.e. location, type of amenities, how will
services be provided, training of staff/volunteers).
2) What types of services are offered.
3) Experience providing services that support tourism.
4) Strategy for maintaining familiarization of visitor amenities.
5) Hours of operation and level of staffing.
6) Cost of the proposal and the degree to which the budget reflects the requested activities.

7) Strategy to measure economic impacts to area businesses and methodology for tracking number of
clients served in accordance with Revised Code of Washington 67.28.1816(2).
V. Independent Contractor
It is the intention and understanding of the County that Vendor shall be an independent contractor and that
the County shall be neither liable for nor obligated to pay sick leave, vacation pay or any other benefit of
employment, nor to pay any social security or other tax that may arise as an incident of employment.
Contractor shall pay all income and other taxes as due. Industrial or other insurance that is purchased for the
benefit of Contractor shall not be deemed to convert this Contract to any employment contract. It is
recognized that Contractor may or will be performing services during the term of the Contract for other
parties and that the County is not the exclusive user of the Contractor's services.
VI. Prevailing Wage
If required by RCW 39.12, prevailing wages shall be paid. Contractor specifically agrees to comply with RCW
39.12 and to file all required forms, certifications, and affidavits necessary to comply with Federal and State
laws before final payment shall be made to the Contractor. The latest prevailing wage rate information is
available per the State of Washington, Department of Labor and Industries, Industrial Relations Division.

National Child Care Provider Appreciation Day
May 12, 2023
WHEREAS,Cities, Counties, and organizations nationwide are recognizing Child Care Providers
on this day; and,
WHEREAS, child care provides a safe, nurturing place for the enrichment and development of
millions of children nationwide and is a vital force in our economy; and,
WHEREAS,over half the children under age six nationwide are estimated to spend some time in
nonparental care arrangement on a weekly basis, which provides critical enrichment opportunities and
nurtures development for children of all backgrounds, and is a vital building block of our state economy;
and,
WHEREAS,the COVID-19 pandemic illuminated how indispensable child care providers are for
the wellbeing and economic security of Mason County's young children,families,and communities; and,
WHEREAS, Child Care Providers continue to provide essential high-quality early learning
experience to Washington's children in the face of irregular and long hours,high turnover rate in child care
businesses,and increasing stressful working conditions due to the impact of burnout,COVID-19,and other
workforce-related complications; and,
WHEREAS,our future depends on the quality of the early childhood experience provided to young
children today,support for high-quality child care represents a worthy commitment to our children's future;
and,
THEREFORE, BE IT RESOLVED, that the Board of Mason County Commissioners declares
May 12, 2023 as National Child Care Provider Appreciation Day in Mason County and urges all citizens
to recognize and thank Child Care Providers for their important work.

National Peace Officers Memorial Day and National Police Week
May 15-21, 2023
WHEREAS, in 1962, President John F. Kennedy signed a Proclamation designating May 15 as
National Peace Officers Memorial Day and the week in which it falls as National Police Week to recognize
the professionalism, courage, and dedication of Police Officers for their valuable role in public safety and
safeguarding the rights and freedoms which have been guaranteed by the Constitution; and,
WHEREAS, there are more than 800,000 law enforcement officers serving in the communities
across the United States, including the dedicated members of the Mason County Sheriffs Office, Shelton
Police Department, Skokomish Indian Tribe, Squaxin Island Tribe, Washington State Patrol, Washington
State Department of Fish and Wildlife, Washington State Department of Corrections, and other state and
federal agencies; and,
WHEREAS,it is important that residents recognize and understand the duties,hazards,problems,
and sacrifices of their law enforcement agencies, and that members of our law enforcement agencies
recognize and understand their duty to serve the people by safeguarding life and property,protecting them
against violence or disorder,protecting the innocent and vulnerable against deception,and the weak against
oppression or intimidation; and,
WHEREAS, the service and sacrifice of officers killed in the line of duty should be honored,
recognized, and remembered during this dedicated week and throughout the year; and,
NOW, THEREFORE, the Board of Mason County Commissioners call upon the residents of
Mason County to observe May 15, 2023 as "National Peace Officers Memorial Day" to honor law
enforcement officers who have made the ultimate sacrifice in service to their community or have been
disabled in the performance of their duties and recognize and pay respect to the survivors of all fallen law
enforcement officers; and,
BE IT FURTHER RESOLVED, the Board of Mason County Commissioners call upon the
residents of Mason County to observe the week of May 15 through 21, 2023 as "National Police Week"
recognizing all law enforcement officers,past and present,who,by their faithful and loyal devotion to their

May 2023
WHEREAS,nearly one in five adults and one in five adolescents in the United States live with a mental illness;
and,
WHEREAS, mental health impacts a person's emotional, social, environmental, financial, and overall well-
being,with significant disparities among racially and ethnically diverse communities; and,
WHEREAS,suicide is now the second leading cause of death for 15-to 24-year olds,with teenagers experiencing
a 17.3%increase in the use of anxiety medications since 2010; and,
WHEREAS, one third of the United States population lives in a country designated as a mental health
professional shortage area;and,
WHEREAS, an estimated 44% of residents detained in jails are suffering from a mental illness, often with co-
occurring substance use disorders; and,
WHEREAS, Counties are well-positioned to lead action on the mental health crisis because counties play an
integral role in local health,justice, and human services systems; and,
WHEREAS, Mason County and all counties serve as a safety net for residents in need, first responders, and
operator of crisis lines,public hospitals, and detention centers; and,
NOW,THEREFORE,BE IT RESOLVED,that the Board of Mason County Commissioners hereby proclaims
May 2023 as Mental Health Awareness Month in Mason County to highlight the critical role of the County in providing
crucial behavioral health services and resources to its residents and to commit to partner with community members to
ensure that all mental health services are accessible,valuable, and culturally appropriate for all residents.

National Correctional Officers and Employees Week
May 7-13, 2023
WHEREAS, in 1984, then-President Ronald Reagan signed Proclamation 5187 calling upon the
Country to pay tribute to the men and women who work in jails,prisons, and community corrections; and,
WHEREAS,in 1996,the U.S. Senate officially changed the name of the Proclamation to National
Correctional Officers and Employees Week,to be recognized in the first week of May; and,
WHEREAS, the Mason County Sheriff's Office is committed to maintain custody, security, and
control of the County's jail in a safe, efficient, and constitutional manner; and,
WHEREAS,Correctional Employees are often unseen and unappreciated,dedicated professionals
who chose a career as community servants who manage a diverse group of individuals, some whom are
violent,mentally ill, and dangerous; and,
WHEREAS, Correctional Employees are an indispensable part of law enforcement. They keep
our communities safe and put themselves in harm's way to advance a mission of protecting the public,staff,
and inmates, while at the same time promoting positive attitude, behavior, and skills to aid in successful
reentry into the community; and,
THEREFORE, BE IT RESOLVED, that the Board of Mason County Commissioners declares
the week of May 7 through 13, 2023 to be National Correctional Officers and Employees Week in Mason

Draft Lease with North Mason Fire District – Office space
Background/Executive Summary:
Mason County is interested in leasing the old North Mason Fire District administrative building located at 490
NE Old Belfair Highway, Belfair, WA 98528. Commissioner Neatherlin and I have discussed general
parameters of the lease with Chief Bakken and his board chair. Attached is a draft lease outlining these
parameters that I would like to take forward and discuss with North Mason Fire District.
The fire district preliminarily agreed to forgo rent payments on the facility to allow us to use those funds to
make the necessary improvements/upgrades to the facility to accommodate our needs.
Our goal is to relocate the North Mason Sheriff’s office to this location, and to use a portion of the facility as a
north mason emergency operations center. Additional county services will be provided at the facility in the
future. The current lease at the Belfair Landing complex is $3,900.65 per month. The proposed lease for the
North Mason Fire District Building is $2,000 per month.

LEASE AGREEMENT

NORTH MASON FIRE AUTHORITY
And
MASON COUNTY
THIS LEASE made this _____ day of 2022, by and between NORTH MASON FIRE
AUTHORITY, hereinafter called “Lessor” and Mason County hereinafter called “Lessee”:
WITNESSETH:
1. PREMISES: Lessor does hereby lease to Lessee, those certain premises located at 490 NE
Old Belfair Highway, Belfair, WA 98528, hereinafter called "premises".
2. TERM: The term of this ease shall be for FIVE (5) years commencing on the____ day of
2022 and shall terminate on the ____day of 2027, unless the Lessee exercises an option
to renew the Lease. Lessee shall be entitled to one five (5) year option. The Lessee must
notify the Lessor sixty (60) days prior to the expiration of this Lease, in writing, if it intends
to exercise the option.
3. RENT: Lessee covenants and agrees to pay Lessor monthly rent in the amount of TWO
THOUSAND dollars ($2,000.00). Rent is to be paid in advance on the 5th day of each month
of the Lease. Any rental payments received eleven (11) or more days after the beginning
date of each rental period will be subject to a service charge of FIFTY dollars ($50.00).
If no satisfactory rental agreement can be reached prior to the beginning of the option
period, then this Lease shall not be renewed.
Lessee will make necessary improvements to accommodate occupancy of County Offices
and Departments utilizing the facility. During the period of initial construction of these
necessary improvements the Lessor agrees to forgo the monthly rental payments
described above.
4. UTILITIES AND FEES: Lessee agrees to pay all charges for lights, heat, water, sewer,
garbage and all other utilities and services to the leased premises during the full term of
this Lease. Lessee agrees to pay any telephone and computer charges. All other items
including all license fees and other governmental charges levied on the operation of
Lessee's business on the premises will be paid directly by Lessee.
4.
5. REPAIRS AND MAINTENANCE: Lessee shall, at its own expense and at all times, keep the
premises neat, clean and in a sanitary condition, and keep and use the premises in
accordance with applicable laws, ordinances, rules, regulations and requirements of
governmental authorities. Lessee shall not intentionally or negligently permit waste,
damage or injury to the premises. Lessee shall keep all drain pipes free and open and
protect water, heating, and other pipes to prevent freezing or clogging. Except for major
repairs, including, but not limited to the roofs, HVAC systems and structural repairs
exterior walls and foundation, which are the responsibility of the Lessor,. Lessee shall
make such repairs as necessary to maintain the premises in good condition, reasonable
use and wear and damage by fire and other casualty excepted, as of the date of the

commencement of this Lease. Any damage or repairs that are the result of the Lessee’s
negligent or intentional acts shall be the sole responsibility of the Lessee. The Lessor shall,
at its sole cost and expense, make any and all additions, repairs, alterations, maintenance,
replacement, or changes to the Property or any improvements to its own cost subject to
the provisions in section 7.
6. SIGNS: All signs or symbols placed by Lessee in the windows and doors of the premises,
or upon any exterior part of the building shall be subject to Lessor's prior written approval,
which shall not be unreasonably withheld. Lessor may demand the removal of
unreasonable signs which are not so approved, and Lessee's failure to comply with said
request within forty-eight (48) hours will constitute a breach of this paragraph and will
entitle Lessor to terminate this Lease or, in lieu thereof, to cause the sign to the removed
and the building repaired at the sole expense of the Lessee. At the termination of this
Lease, Lessee will remove all signs placed upon the premises, and will repair any damage
caused by such removal. All signs must comply with sign ordinances or be placed in
accordance with required permits.
7. ALTERATIONS: With prior written consent of the Lessor, which shall not be unreasonably
withheld, Lessee may make alterations, additions and improvements to said premises,
at Lessee's sole cost and expense. In the performance of such work, Lessee agrees to
comply with all laws, ordinances, rules and regulations of any property public authority,
and to save Lessor harmless from damage, loss or expense. Lessee will make necessary
improvements to accommodate occupancy of County Offices and Departments utilizing
the facility. During the period of initial construction of these necessary improvements
the Lessor agrees to forgo the monthly rental payments described in section 3 above.
8. LIENS AND INSOLVENCY: Lessee shall keep the premises free from any liens arising out of
any work performed for, materials furnished to, or obligations incurred by Lessee and
shall hold Lessor harmless against the same. In the event Lessee becomes insolvent,
bankrupt, or if a receiver, assignee or other liquidating officer is appointed for the
business of Lessee, Lessor may cancel this Lease at its option.
9. ACCESS: With three (3) business days prior notice, Lessor shall have the right to enter the
premises at all reasonable times for the purpose of inspection or of making repairs,
additions or alterations, and to show the premises to prospective tenants for sixty (60)
days prior to the expiration of the Lease term. The Lessee agrees to provide the Lessor a
key for the purpose of emergency inspection and access only.
10. POSSESSION: If for any reason Lessor is unable to deliver possession of the premises at
the commencement of the term of the Lease, Lessee may give Lessor written notice of its
intention to cancel this Lease if possession is not delivered within thirty (30) days after
receipt of such notice by Lessor.
11. INTERFERENCE. Lessor shall not use, nor shall Lessor permit its tenants or Lessees to use,
any portion of the Premises or Building in any way that interferes with the operations of
Lessee. Such interference shall be deemed a material breach by Lessor, and Lessor shall

have the responsibility to promptly cause any such interference to be eliminated. If said
interference cannot be eliminated within twenty-four (24) hours after
receipt of notice that such interference is occurring, Lessor shall discontinue or cause to
be discontinued the operation of any equipment causing the interference until the same
can be corrected, except for such intermittent operation as may be necessary for the
purposes of testing, after action has been taken for the purposes of correcting such
interference. In the event any such interference does not cease promptly, Lessee shall
have the right, in addition to any other right that it may have at law or in equity, to enjoin
such interference or to terminate this Lease.
10.12.
ACCIDENTS AND LIABILITIEMUTUAL SINDEMNIFICATION: Lessee shall indemnify and hold Lessor
harmless from and against any loss, damage, or injury caused by, or on behalf of, or through the
fault of the Lessee. Lessor shall indemnify and hold Lessee harmless from and against any loss,
damage, or injury caused by, or on behalf of, or through the fault of the Lessor. Nothing in this
Article shall require a party to indemnify the other party against such other party’s own willful or
negligent misconduct. "PROVIDED that Lessee specifically releases Lessor from any claim for loss,
damage or injury suffered by Lessee or Lessee’s agents or employees while occupying the
Premises, excepting only claims arising from the wilfull or grossly negligent conduct of Lessor.
Lessee shall further indemnify and hold Lessor harmless from and against any claim for loss,
damage or injury suffered by any employee or agent of Lessee while occupying the rooftop space
or exercising rights of access thereto pursuant to this agreement and solely to the extent of such
claims Lessee waives its immunity under the industrial insurance laws (RCW Title 51)."Lessee, its
successors and assigns, will protect, save, and hold harmless the Lessor, its authorized agents and
employees, from all claims, actions, costs, damages (both to persons and/or property), or
expenses of any nature whatsoever by reason of the acts or omissions of the Lessee, its assigns,
sublessees, agents, contractors, licensees, invitees, employees, or any person whomsoever,
arising out of or in connection with any acts or activities related to this Lease, whether those
claims, actions, costs, damages, or expenses result from acts or activities occurring on or off the
Leased Premises. The Lessee further agrees to defend the Lessor, its agents or employees, in any
litigation, including payment of any costs or attorney’s fees, for any claims or actions commenced,
arising out of, or in connection with acts or activities related to this Lease, whether those claims,
actions, costs, damages, or expenses result from acts or activities occurring on or off the Leased
Premises. This obligation shall not include such claims, actions, costs, damages, or expenses which
may be caused by the sole negligence of the Lessor or its authorized agents or employees;
provided, that if the claims or damages are caused by or result from the concurrent negligence of
(a) Lessor, its agents or employees and (b) the Lessee, its assigns, sublessees, agents, contractors,
licensees, invitees, employees, or involves those actions covered by RCW 4.24.115, this indemnity
provision shall be valid and enforceable only to the extent of the negligence of the Lessee or its
assigns, sublessees, agents, contractors, licensees, invitees, employees.
Lessee specifically assumes potential liability for the actions brought by Lessee’s
employees and solely for the purposes of this indemnification and defense, Lessee
specifically waives any immunity under the State industrial insurance law, Title 51 RCW.

The indemnification and waiver provisions contained in this section shall survive the
termination or expiration of this Lease.
1. INSURANCE: During the term of this Lease and any extension thereof, the Lessor shall
maintain a policy of casualty insurance covering the amount of the replacement cost of
Lessor’s property demised herein to Lessee, for damage from fire, earthquake and other
perils. Said insurance policy shall also insure the replacement value of any personal
property owned by the Lessor that is located on the Property. The proceeds on a claim
against said insurance policy for damage shall be used to repair damage to the building of
insured and to repair or replace any damaged personal property provided by the Lessor.
The Lessee shall be responsible for maintaining its own fire and hazardcasualty insurance
on Lessee owned personal property and leasehold improvements placed within the
Property by the Lessee.
The Lessee shall procure and maintain for the duration of the Lease, a policy or policies
of insurance, or have evidence of coverage through a self-insured risk pool, against claims
for injuries to persons or damage to property that may arise from or in connection with
this Lease by the Lessee, its agents, representatives, or employees consistent with the
requirements in this Lease. Such insurance shall name the Lessor and its officers and
employees as a Certificate Holder. Proof of such insurance shall be delivered to the Lessor
prior to occupancy. The Lessee shall procure and maintain for the duration of the Lease,
insurance against claims for injuries to persons or damage to property that may arise from
or in connection with this Lease by the Lessee, its agents, representatives, or employees
consistent with the requirements in this Lease. Such insurance shall name the Lessor and
its officers and employees as a Certificate Holder. Proof of such insurance shall be
delivered to the Lessor prior to occupancy.
1. Each hereto agrees to be responsible and assume liability for its own negligent acts or
omissions, or those of its officers, agents, or employees to the fullest extent required by
law, and agree to save, indemnify, defend, and hold the other party harmless from any
such liability. In the case of negligence of more than one party, any damages allowed shall
be levied in proportion to the percentage of negligence attributable to each party, and
each party shall have the right to seek contribution from the other party in proportion to
the percentage of negligence attributable to the other party. Lessee agrees to maintain
public liability insurance on the premises, with Lessor names as an additional insured
party, in an amount not less than $500,000.00 property damage and personal injury single
limit per occurrence and $1,000,000.00 aggregate. Lessee will provide Lessor with a
certificate of insurance evidencing the coverage required by the paragraph and will
immediately upon cancellation of any of the required coverage, provide the Lessor with
the maximum period of written notice possible but not less than thirty (30) days.
2. FIRE EXTINGUISHERS: Lessee agrees to maintain an adequate number of fire extinguishers
on the premises. Lessee further agrees to have fire extinguishers regularly inspected by
an approved fire extinguisher representative, at the sole cost of the Lessee.
3. DEFAULT AND RE-ENTRY: If Lessee shall fail to keep and perform any of the covenants and
agreements herein contained, other than the payment of rent, and such failure continues

for thirty (30) days after written notice from Lessor, unless appropriate action has been
taken by Lessee in good faith, to cure such failure, Lessor may terminate this Lease and
re-enter the premises, or Lessor may, without terminating this Lease, re-enter said
premises, and sublet the whole or any part thereof for the account of the Lessee upon as
favorable terms and conditions as the market will allow, for the balance of the term of
this Lease and Lessee covenants and agrees to pay to Lessor any deficiency arising from a
re-letting of the premises at a lesser amount than herein agreed to. Lessee shall pay such
deficiency each month as the amount thereof is ascertained by Lessor. However, the
ability of Lessor to re-enter and sublet shall not impose upon Lessor an obligation to do
so.
4. REMOVAL OF PROPERTY: In the event Lessor lawfully re-enters the premises as provided
herein, Lessor shall have the right, but not the obligation, to remove all the personal
property located therein, and to place such property in storage at the expense and risk of
Lessee.
5. COSTS AND ATTORNEY'S FEES: If, by reason of any default or breach on the part of either
party in the performance of any of the provisions of this Lease, a legal action is instituted,
the losing party agrees to pay all reasonable costs and reasonable attorney's fees in
connection therewith. The parties herein agree that the Mason County Superior Court
shall have jurisdiction and venue over this Lease and all matters arising under this Lease.
6. NO WAIVER OR COVENANTS: Any waiver by either party of any breach hereof by the
other shall not be considered a waiver of any future similar breach. This Lease contains
all the agreements between the parties, and there shall be no modification of the
agreements contained herein except by written agreement.
7. SURRENDER OF PREMISES: Lessee agrees, upon termination of this Lease, to peacefully
quit and surrender the premises without notice, leave the premises neat and clean (less
any ordinary wear and tear) and to deliver all keys to the premises to Lessor.
8. HOLDING OVER: If Lessee, with the implied or express consent of Lessor, shall hold over
after the expiration of the term of this Lease including any option period under
paragraphs 2 and 3, Lessee shall remain bound by all the covenants and agreements
herein, except that the tenancy shall be from month to month.
9. BINDING ON HEIRS, SUCCESSOR AND ASSIGNS: The covenants and agreements of this
Lease shall be binding upon the heirs, executors, administrators, successors and assigns
of both parties hereto, except as hereinabove provided.
10. USE: Lessee shall use the premises for the purposes of providing Mason County services.
The Lessee agrees that they shall not allow the property to be used for any other purposes
without written consent of the Lessor. The Lessee agrees that no chemicals shall be used,
stored or disposed of in violation of any Federal, State or Local ordinance, rules or
regulations. The Lessee agrees to release and hold harmless the Lessor from any legal
cause of action brought by any third partythird-party governmental entity or private

person in regards to Lessee's use or storage of any toxic chemical products in regards to
Lessee's use or storage of any toxic chemical products, compounds or environmental
hazards. The parties herein agree that the Lessee reserves the right to allow other Mason
County Departments to use the premises if it so chooses. The County agrees that any such
use shall be in conformity with other provisions of this Lease.
11. NOTICE: Any notice required to be given by either party to the other shall be deposited in
the United States Mail, postage prepaid and addressed to the Lessor at: North Mason
Regional Fire Authority, P.O. Box 277, Belfair, WA 98528, or the Lessee at: Mason County
Administrator, 411 North 5th Street, Shelton, WA 98584, or at such other address as either
party may designate to the other in writing from time to time.

On-Call Hydraulic Consultant Services
Background/Executive Summary:
Public Works would like authorization to use the MRSC Consultant Roster to select and enter into an
agreement for hydraulic consultant services. This service will be used for various locations across the county
for county road projects and other Public Works activities,including emergencies.
Budget Impact(amount,funding source,budget amendment):
With the anticipation of these services being required for upcoming Public Works projects,we would like the
maximum amount not to exceed$200,000 over the term of the agreement to cover the known county road
project needs and any unanticipated events. Cost will be incurred for specific projects and events in
compliance with an approved budget. These services have been budgeted in the Public Works budget.

County Road Project 2050—Bear Creek Dewatto Road
Background/Executive Summary:
Bear Creek Dewatto Road is the primary connection between Belfair and the Dewatto area with an ADT of
2,600. The section of roadway between MP 1.530 and MP 1.960 has deficient horizontal curves for line of
sight,radius and posted speed,which contributes to an abnormally high accident rate. The purpose of this
project is to realign the road to improve the horizontal curves. The new alignment will have wider lanes and
shoulder that will be paved with Hot Mix Asphalt(HMA),along with new striping and any other necessary
safety improvements.
Budget Impact(amount,funding source,budget amendment):
The County Road Administration Board(CRAB)has offer RATA funding,which set forth approved funding
for the project as follows:
Bear Creek Dewatto Road
Estimated project cost: $1,075,000
Authorized RATA funds: $ (913,500)
County Road funds: $ 161,500
The project is listed on the updated 2023-2028 Six-Year Transportation Improvement Program(#50)and will
be added to the 2024 Annual Construction Program.

WHEREAS,on Mason County Road No.79800,known locally as the Bear Creek Dewatto
Road and more specifically located in Sec.5,T.23N,R 1W,WM at approximately mile post 1.53 to
mile post 1.96;work defined as"construction"in the BARS Manual,Page 11-63,et seq,is determined
to be necessary and proper; and,
THEREFORE,BE IT RESOLVED BY THE BOARD OF COUNTY COMMISSIONERS
that it is their intention to:
Realign roadway to improve the horizontal curves with wider lanes and shoulders that will be paved
with Hot Mix Asphalt(HMA).
SAID WORK is to be performed by Contract and/or County Forces in accordance with Washington
State Standard Specifications for Road and Bridge Construction as adopted by Mason County(RCW
36.77.020 and/or RCW 36.77.065 and WAC 136-18).
BE IT FURTHER RESOLVED that the described County Road Project is necessary and
proper,and the estimated costs of said project are herewith set out as follows:

Road Vacation No.413—Set Hearing Date with Hearings Examiner
Background/Executive Summary:
Manke Timber Company Inc. owns that portion of Block 33,in the plat of McReavy's First Addition to
Hoodsport in Volume 2 of plats,page 11 and a sectional property to the East and South of Block 33. Manke
Timber Company Inc.has petitioned for the vacation of the deeded right of way as attached on Exhibit A.
None of these streets or alley petitioned in this road vacation appear to have been used for public travel. The
requested areas to vacate have never been maintained or used as a public roadway. The alley and streets were
dedicated to the public on October 10, 1890,when McReavy's First Addition to Hoodsport was originally
platted. These roads and alley have never been opened and since this date is prior to 1904,they are already
vacated by operation of law.
Vacating this area would create more usable land for Manke Timber Company. Jackson Avenue adjacent to
Block 34 has already been vacated under Vacation# 194 recorded in Auditor's File#268956. Hazel Street
has been vacated as well under Vacation#217 recorded in Auditor's file#327973. This would enable Manke
Timber Company to proceed with their submittal of a Boundary Line Adjustment with the neighbor to the
West on parcel#42212-51-34001.Public Works sees no value to opening the proposed vacation area at any
point in the future given the existing restructuring of the parcels and the previously approved adjacent
vacations.
In compliance with RCW 36.87.40,at the Board of County Commissioners and County Engineer's direction,
Public Works Department staff examined the portion of road right-of-way requested to be vacated and solicited
comments on the proposed vacation. Our findings are the following:
1. The alley and roads are not presently in use by the public.
2. The roads are classified as"Class C"per RCW 36.87.090,no compensation other than the
Administrative Fee.
3. The proposed vacation areas are not deemed necessary for future use for the County Road system.

the county of liability.
5. The petitioners have paid in full the required administrative fee of$1000.00.
An Engineer's report has been prepared for the Hearings Examiner and Public Works recommends the
vacation as submitted, subject to retaining existing easements for utilities, if any,and access to maintain these
utilities must be maintained.

BACKGROUND:
Manke Timber Company Inc. owns that portion of Block 33, in the plat of McReavy's First
Addition to Hoodsport in Volume 2 of plats, page 11 and a sectional property to the East
and South of Block 33. Manke Timber Company Inc. has petitioned for the vacation of the
deeded right of way as attached on Exhibit A. None of these streets or alley petitioned in
this road vacation appear to have been used for public travel. The requested areas to
vacate have never been maintained or used as a public roadway. The alley and streets were

Recommendation

Park Ave, and the un-opened Alley in Block 33. The vacated area would still be subject to
existing easements for ingress and egress, and any existing public utilities, and access to
maintain these utilities must be maintained or for any other purpose, if any.

WHEREAS, NOTICE IS HEREBY GIVEN that the Mason County Public Works Department is requesting
for the vacation of the following right of way:

Background/Executive Summary:
Raenelle Restad and Jerry Barry own Lots 1,2,and 3,in Block 15 of the plat of Detroit No.2,in Volume 1 of
plats,page 23. Raenelle Restad and Jerry Barry have petitioned for the vacation of the right of way as attached
on Exhibit A.
That part of Sixth Street petitioned in this road vacation appears to have never been used for public travel. The
requested area to vacate has never been maintained or used as a public roadway. Sixth Street was dedicated to
the public on April 30, 1890,when the Plat of Detroit No.2 was originally platted. This portion of Sixth Street
has never been open,and since this date is prior to 1904,it is already vacated by operation of law.
Vacating this area would create more usable land for Raenelle Restad and Jerry Barry. Public Works sees no
value to opening the proposed vacation area at any point in the future given the lots South of their parcel Lots
4-7,Block 15 are a mitigation site for CRP# 1380. The mitigation site has access off Meeklem Avenue to
Grapeview Loop Road.
In compliance with RCW 36.87.40,at the Board of County Commissioners and County Engineer's direction,
Public Works Department staff examined the portion of the road right-of-way requested to be vacated and
solicited comments on the proposed vacation. Our findings are the following:
1. The road is not presently in use by the public.
2. The road is classified as"Class C"per RCW 36.87.090,no compensation other than the
Administrative Fee is required.
3. The proposed vacation area is not deemed necessary for future use for the County Road system.

NOTICE OF INTENT TO VACATE
SETTING TIME AND PLACE FOR HEARING ON SAID VACATION
RCW 36.87
WHEREAS, NOTICE IS HEREBY GIVEN that the Mason County Public Works Department is requesting
for the vacation of the following right of way:
All that portion of the West half of Sixth Street adjacent to Lots 1, 2, and 3, Block 15, of the
Plat of Detroit No. 2, recorded in Volume 1 of Plats,page 23, in the Northwest Quarter of
Section 5, Township 21 North, Range 1 West, W.M in Mason County, Washington.
WHEREAS, the Board of Mason County Commissioners did set a date for public hearing on the matter
before the Hearing Examiner on the matter and directed Public Works to prepare notice thereof for posting and
publication.
NOW THEREFORE, BE IT RESOLVED that said hearing has been set for Wednesday,
June 14, 2023 1:00 p.m. via Zoom, at which time any taxpayer may appear via Zoom to hear the County
Engineer's report and be heard either for or against the vacation of the above said portion of road located in
Mason County Washington. For those unable to attend the hearing email testimony to
mfrazier@co.mason.wa.us.

SUBJECT: ENGINEER'S REPORT— ROAD VACATION FILE NO. 414
Vacate all that portion of the West half of Sixth Street adjacent to Lots 1, 2, and
3, Block 15, of the Plat of Detroit No. 2, recorded in Volume 1 of Plats, page 23,
in the Northwest Quarter of Section 5, Township 21 North, Range 1 West, W.M
in Mason County, Washington.
BACKGROUND:
Raenelle Restad and Jerry Barry own Lots 1, 2, and 3, in Block 15 of the plat of Detroit No. 2,
in Volume 1 of plats, page 23. Raenelle Restad and Jerry Barry have petitioned for the
vacation of the right of way as attached on Exhibit A.
That part of Sixth Street petitioned in this road vacation appears to have never been used
for public travel. The requested area to vacate has never been maintained or used as a
public roadway. Sixth Street was dedicated to the public on April 30, 1890, when the Plat of
Detroit No. 2 was originally platted. This portion of Sixth Street has never been opened, and
since this date is prior to 1904, it is already vacated by operation of law.
Vacating this area would create more usable land for Raenelle Restad and Jerry Barry.
Public Works sees no value to opening the proposed vacation area at any point in the future
given the lots South of their parcel Lots 4-7, Block 15 are a mitigation site for CRP# 1380.
The mitigation site has access off Meeklem Avenue to Grapeview Loop Road.
In compliance with RCW 36.87.40, at the Board of County Commissioners and County

Engineer's direction, Public Works Department staff examined the portion of the road right-
of-way requested to be vacated and solicited comments on the proposed vacation. Our
findings are the following:
1. The road is not presently in use by the public.
2. The road is classified as "Class U per RCW 36.87.090, no compensation other than
the Administrative Fee is required.
3. The proposed vacation area is not deemed necessary for future use for the County
Road system.
4. The public will benefit from this action since it will add the vacated area to the tax
rolls and relieve the county of liability.
5. The petitioners have paid in full the required administrative fee of$1000.00.
Public Notice
Public notice has been provided as required by RCW 36.87.050, both by posting at the site
and by publishing in the county official newspaper.
Recommendation
Public Works recommends the vacation of all that portion of the West half of Sixth Street
adjacent to Lots 1, 2, and 3, in Block 15, of the Plat of Detroit No. 2, recorded in Volume 1 of
Plats, page 23, in the Northwest Quarter of Section 5, Township 21 North, Range 1 West,
W.M in Mason County, Washington. The vacated area would still be subject to existing
easements for ingress and egress, and any existing public utilities, and access to maintain
these utilities must be maintained or for any other purpose, if any.
