Board of Equalization Attendance for Alternate Member Experience
Background/Executive Summary:
The Mason County Board of Equalization(BoE)has three regular members and two alternate members.
The BoE typically has three members attend their meetings and each member is paid$100 per meeting.
The BoE would like to set up alternate members for success for when a regular member is sick and/or has
a medical or other appointment that requires an alternate member to fill in on short notice.

There are sufficient funds in the 2023 Board of Equalization budget to cover the costs.

Requested Action:
Approval for the Board of Equalization to have four members attend their meetings, for at least five
meetings,to provide an alternate member experience with the seasoned regular members attending.

Grant Supplemental Request for a 2023 Ranger Standard 1000 EPS Model R23T6E99AD
Background/Executive Summary:
The initial briefing for the purchase of the UTV occurred on August 29,2022,in which the Washington
State grant amount under the Emergency Management Performance Grant(EMPG)was $43,208. Due to
the delay in the availability date of the vehicle from the manufacturer, a contract extension was approved
by the Commission on January 3,2023. The manufacturer will be able to provide the UTV in the first part
of September 2023, in which the EMPG contract ending deadline is June 30,2023,having no additional
extensions. A search of local vendors identified a comparable vehicle that can be purchased locally and is
available to buy as soon as approved.

Updates to the Non-Represented Salary Schedule
Background/Executive Summary:
The Non-Rep Salary Schedule has historically been on two separate documents,combining them into one
creates more efficiency. The Community Health Manager still reflects as the Personal Health Manager in
Munis and needs to be formally retitled,the Human Resources positions need retitled for consistency
purposes and to reflect the Policy Level Request(PLR) as an HR Analyst in the budget process, and the
newly created Epidemiologist position needs to be added to the scale.

Approval of the Resolution to amend the Non-Represented Salary Schedule to change the Personal Health
Manager title to Community Health Manager,change the Personnel Analyst and Personnel&Risk
Analyst to HR Analyst, and add the addition of the Epidemiologist and Senior Epidemiologist positions.

AMENDING RESOLUTION NO. 2022-002 TO REORGANIZE THE DEPARTMENT OF
COMMUNITY SERVICES, UPDATE THE NON-REPRESENTED EMPLOYEES' SALARY
TABLE.
WHEREAS, RCW 36.16.070 states that ... The Board shall fix the compensation of all
employees...;
WHEREAS the format of the Non-Represented Salary Scale Range Alignment needs
revision and consolidation;
WHEREAS Personal Health Manager position needs to be formally re-titled to
Community Health Manager;
WHEREAS Personnel Analysts and Personnel and Risk Analyst need to be re-titled to
HR Analyst;
WHEREAS new position titles of Epidemiologist (Range 26) and Senior Epidemiologist
(Range 28) need to be placed on the scale;
NOW, THEREFORE BE IT RESOLVED, that the Board of County Commissioners does
hereby revise the Non-Represented Salary Scale Range Alignment approving the changes
above.

MEMORANDUM OF UNDERSTANDING

And The Arc of the Peninsulas
MASON COUNTY HOUSING CONSORTIUM
1. Purpose. This agreement is between Mason County and The Arc of the
Peninsulas ("Arc")to identify new housing opportunities and development
funding strategies for low-income and affordable housing for individuals
with an intellectual and developmental disability(IDD) residing in Mason
County.
2. Recitals.
a) The Arc desires to working with Mason County to plan, develop and
build new low-income and affordable housing for individuals and their
families diagnosed with IDD and need affordable housing.
b) The Board of Mason County Commissioners desires to provide
additional housing options and resources for IDD individuals and their
families residing in Mason County.
c) The Washington State Department of Commerce awarded The Arc of
the Peninsulas$8,312,000.00 for constructing a new 22-unit affordable
housing project in Bremerton, Washington. Both Mason County and The
Arc believe that this new housing initiative will significantly benefit the
lives of members of the IDD community by providing safety,security,
and a place to call home in Kitsap County.This experience in Kitsap
County by the Arc is valuable to Mason County in further the goal
providing housing to IDD individuals and their families in Mason County.
cl) The Board of Mason County Commissioners and Arc desire to jointly
undertake continuous,cooperative study and planning of the
development of new housing units for IDD individuals and their families
residing in Mason County.
e) This agreement does not intend to, or confer any substantive rights or
responsibilities on the parties.The rights and responsibilities set out in
i
this Agreement limited to providing administrative support and a
procedural framework for the parties to strategize on how best to
provide new housing opportunities to individuals with IDD and their
families within the greater Mason County community.
3. Agreement.The parties will form the Mason County IDD Housing
Consortium to ("MCHC") be administratively led and managed but The Arc.
The parties agree as follows:
a) The Arc is the lead agency for MCHC.The Arc will provide clerical and
administrative support to facilitate meetings of the parties.The Arc will
support MCHC by agenda development, minutes production, and MCHC
document retention, and other administrative support. commented[DH1]:You realize the Arc will become
subject to the public records act most likely under this
agreement.
b) Mason County is not responsible for any costs incurred by The Arc in
rendering services pursuant to this Agreement. Mason County is not
permitted to expend any funds on behalf of the Arc.
c) This agreement will remain in force and effect perpetually or until
terminated by the parties. Either party may terminate this agreement at
any time,for any reason, by giving 30 days notice in writing.
d) This agreement may be amended by written agreement of both parties.
4. Consortium Policy Board.There shall be a Consortium Policy Board (Policy
Board) composed of three(3)to five (5) members as follows:
a) Standing Appointments to the Policy Board:
i. County Government Member: One (1) Mason County
Commissioner,selected annual by the Mason County Board of
Commissioners.
ii. Lead Agency Member:The President&CEO of The Arc of the
Peninsulas, or his designee.

b) Appointed members of the Policy Board.Annually the Board Chair of
Policy Board shall appointment the following members to the Policy
Board:
i. Legislative Member: one(1)State Legislator from the 35tn
Legislative District.
ii. City Government Member: one (1) Shelton City Councilmember, if
the City of Shelton becomes a party to this Agreement.
iii. Housing Authority Member: one(1) Mason County Housing
Authority Commissioner If the Mason County Housing Authority
becomes a party to this Agreement.
c) Appointed members of the Policy Board shall serve a one-year term
from the first day in January through the last day of December of each
year. Board Chair appointed members may be removed by a majority
vote of the Policy Board.
5. Board Officers.The Officers of the Policy Board shall be a Chair,whom shall
also be a Mason County Commissioner, and a Vice Chair who shall be
elected by the members annually.The Vice Chair shall serve one-year term
from the first day in January to through the last day of December of each
year.
a) The duties of the Chair shall be:
i. The Chair will preside at all meetings;
ii. Call for the vote on all motions properly presented and seconded;
iii. Enforce the procedural rules of the Policy Board during meetings;
iv. Participate in deliberations of the policy board;
v. Vote in all matters before the Policy Board; and
vi. Make reports as necessary to the Policy Board.
b) The Vice Chair shall perform the duties of the Chair in the absence of the
Chair.
6. Meeting,Quorum,Voting.

a) The Policy Board will meet monthly or as necessary to fulfill its purpose
and function,to discuss issues of mutual interest,and to take action on
items as necessary or appropriate.
b) Meetings of the Policy Board shall conform to the Open Public Meetings
Act, Chapter 42.30 RCW.
c) On items that are deliberative in nature,the Policy Board will strive for
consensus. Procedures in the current edition of Robert's Rules of Order-
The Modern Edition are adopted by parties for its regular and special
meetings.
d) A quorum of the Policy Board is a simple majority of members present;
each member who is present at the meeting shall be entitled to cast one
vote; actions by the Policy Board are affirmed by a simple majority vote.
7. MCHC Director.Shall be an employee of The Arc,who shall serve under the
general policy guidelines of The Arc, shall be selected by the President&
CEO of The Arc,will be responsible for accomplishing the work plan and
directives adopted by the Policy Board.The Director shall attend meetings
of, make regular reports to, and act upon recommendation received from
the Policy Board.
a) Mutual Indemnification. Mason County must indemnify,defend, and
hold The Arc of the Peninsulas and its affiliates and their respective
officers, directors, employees, and agents harmless from and against all
third-party claims, losses, liabilities, damages, expenses, and costs,
including attorney's fees and court costs, arising out of the performance
of this Agreement except if such third-party claim, loss, liability, damage,
expense, and cost, including attorney's fees and court costs is due to The
Arc of the Peninsulas gross negligence.
b) The Arc of the Peninsulas must indemnify,defend, and hold Mason
County and its affiliates and their respective officers,directors,
employees, and agents harmless from and against all third-party claims,
losses, liabilities, damages, expenses, and costs, including attorney's

fees and court costs, arising out of the performance of this Agreement
except if such third-party claim, loss, liability, damage, expense, and
cost, including attorney's fees and court costs is due to Mason County's
gross negligence.
c) The Party seeking indemnification ("Indemnitee") must provide the
indemnifying party("Indemnitor")with prompt written notice of any
claim and give complete control of the defense and settlement of the
Indemnitor, and must cooperate with the Indemnitor, its insurance
company, and its legal counsel in its defense of such claim(s).This
indemnity will not cover any claim in which there is a failure to give the
Indemnitor prompt notice to the extent such lack of notice prejudices
the defense of the claim.
8. New Membership.Any organization that desires to become a party to this
agreement must obtain unanimous consent by Mason County and The Arc.
9. Witness. In witness thereof, Mason County, and The Arc of the
Peninsulas has caused this agreement to be executed. Said agreement to
become effective and operative upon fixing of the last signature hereto.

Public Works Survey Monument Preservation Policy
Background/Executive Summary:
Recent changes in the Washington Administrative Code (WAC) 136-50-050 require each county
legislative authority to develop and adopt by resolution or ordinance certain written policies,within the
limits of existing state law,that cover any matters relating to county road department administration,
maintenance, and construction. Meeting these new requirements is one of the standards of good practice
which allows the County to be eligible to continue receiving annual disbursement of gas tax revenues.
WAC 136-50-050(5)requires adoption of a policy regarding preservation,maintenance, and restoration of
survey monuments within the county road right-of-way. Public Works prepared the attached Survey
Monument Preservation Policy and Procedure to ensure survey monuments within the right of way are
protected and preserved. Protecting these survey monuments has been a public works practice for years.

SURVEY MONUMENTS
WHEREAS,the County Road Administration Board has adopted regulations pertaining
to standards of good practice and county road department administration; and
WHEREAS,WAC 136-50-050 requires that the county legislative authority develop and
adopt by resolution or ordinance certain written policies, including a policy regarding
preservation, maintenance, and restoration of survey monuments within the county right of way;
and
WHEREAS,the Public Works Survey Monuments Policy meets the requirements of
WAC 136-50-050(5).
THEREFORE, BE IT RESOLVED,the Board of County Commissioners of Mason
County, State of Washington, does resolve as follows:
Section 1. Public Works Survey Monument Policy, as set forth in Attachment A, attached
hereto and incorporated herein by reference, is hereby adopted.
Section 2. Effective Date. This resolution shall take effect immediately upon adoption.

Mason County Public Works Survey
Monument Preservation Policy
Introduction
Survey monuments are public domain and belong to all the citizens of Washington
State. RCW 58.24.040(8), RCW 36.86.050, and 332-120 WAC require county road
departments to manage and protect survey monuments located within the county road
rights of way. No survey monument shall be removed, destroyed or have reasonable
access impeded before a permit is obtained from the Washington State Department of
Natural Resources. The County Engineer, as a licensed professional engineer in the
State of Washington, can be held accountable for improper survey monument
protection perpetrated by the county road department.
Purpose
The purpose of this policy is to ensure that Mason County Public Works understands its
duty to protect and preserve survey monuments within the county road right of way
when performing any type of work, but in particular, construction projects and
pavement preservation projects where there is a risk that monuments could be
disturbed or covered.
Relevant Statute
The DNR has rule making responsibility regarding survey monument protection within
Washington State. RCW 58.24, RCW 58.09, 332-120 WAC.
The Board of Registration for Professional Engineers and Land Surveyors has regulatory
over individual professional engineers and land surveyors regarding monument
protection...but lacks authority over public agencies. RCW 58.09, 332-120 WAC, 196-
27A-030(5) WAC, RCW 58.04.015.
The County Road Administration Board has regulatory authority over Counties/county
road departments regarding"provisions of law relating to county road administration
and the standards of good practice". RCW's 36.78.070(3), 090(1) (b), 100, RCW
36.86.050, RCW 58.09, 332-132 WAC, 136-50-050(5) WAC.
Definitions
"Contractor" shall mean any Licensed Land Surveyor, Engineer, or Licensed contractor
working within the Mason County road Right of Way.
"County" shall mean Mason County Public Works.
"County Engineer"shall mean Mason County Road Engineer, having the authority
specified in Section 2.52.030 of the Mason County Code and under RCW 36.75.050 and
RCW 36.80, or their assigned designee.
"County Road System"shall mean the roads maintained by the County.
"DNR"shall mean Washington Department of Natural Resources
"Project Engineer" shall mean a qualified professional engineer licensed to practice in
the State of Washington.
"Public Road" shall mean a publicly owned facility providing vehicular access, including
the roadway and all other improvements located within the County right-of-way.
"Right-of-Way" shall mean all property in which the county has any form of ownership,
interest or title, and which is held for the purpose of public roads and associated
features such as, median, sidewalks, bicycle facilities, and public utilities.This definition
applies regardless of whether or not any road exists thereon or whether or not it is
used, improved, or maintained for public travel.
"Road" shall mean a facility providing public vehicular access including the roadway and
all other improvements inside the right-of-way.
"Road", "Street" and "Highway" will be considered interchangeable terms for the
purpose of these Standards.
"Roadway" shall mean the pavement width plus any shoulders for vehicular use.
"Staff" shall mean any employee of Mason County Public Works.
"Utility" shall mean a service such as gas, electric power,telephone, telegraph, storm
water management, water, sewer, or cable television,whether or not such company is
privately owned or owned by a governmental entity.
Training of Staff—the importance of and the law regarding survey monuments and your policy
The County shall provide all staff with sufficient training to understand the importance
of the Monument Preservation Policy and the RCW's and WAC's governing the
Preservation of Survey Monuments within the County right of way. This should include,
but not be limited to Engineering Staff, Survey Staff, Maintenance and Operations Staff,
and any Contractor permitted to work within the County right of way.
Survey and Engineering Community Engagement
Before a Contractor performs any work within the county right of way,which may affect
any existing monuments or markers of any nature relating to subdivisions, plats, roads
and all other surveys,the contractor shall have a Licensed Land Surveyor or Engineer,
file an Application for Permit to Remove or Destroy a Survey Monument per WAC 332-
120 and follow the instructions provided in WAC 332-120-070.The replacement of all
such monuments or markers disturbed during construction shall be made as
expeditiously as conditions permit in accordance with RCW 58.24 and WAC 332-120,
and as directed by the County Engineer. This shall include filing a completion report
with DNR or a Record of Survey as required. The cost of monuments or other markers
lost, destroyed, or disturbed, and the expense of replacement by approved monuments
shall be borne by the Contractor.
Any private Contractor that encounter issues with survey monuments within the county
road right of way i.e. buried monuments in a paved surface, damaged case and cover,
etc. shall report said issues to the County.
The County realizes that we have a duty to address legacy issues from past road
department practices once identified.Any legacy issues identified by a Contractor will
be addressed in a timely manner. This can be accomplished by working with the
reporting party and supplying the necessary tools to resolve the issue i.e. provide new
case and cover or by County staff.
Procedures for Maintenance and Construction Projects
Prior to beginning any maintenance or construction project, a thorough search of the
public records shall be performed and any existing survey monuments will be identified
and located. A determination can then be made to file an Application for Permit to
Remove or Destroy a Survey Monument per WAC 332-120, if necessary. Any
monuments found shall be protected and a physically inspected after the project to
ensure they were not disturbed. A completion report shall be prepared and filed with
the DNR for any monuments that are required to be removed or destroyed and a Land
Corner Record or Record of Survey shall be filed according to RCW 58.09. For any
surface monuments that will be covered for a short period of time during any surface
operations, please refer to Mason County's MOU filed with the DNR-PLSO office.

Letter Agreement Accepting Terms Outlined in Interlocal Agreement with City of Bremerton, Port of
Bremerton, and Mason County
Background/Executive Summary:
The County Board of Commissioners executed an interlocal agreement between the City of Bremerton,
Port of Bremerton, and Mason County to work cooperatively to oversee the initial analysis and design for
a sewer system extension from the Belfair Water Reclamation Facility. The City Director of Public
Works and Port Chief Executive Officer signed a one-year time extension(attached)that was mailed to
the County for execution prior to the expiration date of 12/31/2022 but was lost in the mail and never
received. After review with the Prosecuting Attorney's office,it has been determined that an extension
can be executed per Section 5 of the Agreement.

This agreement does not financially commit any of the three parties. Sewer planning, design and
construction management to date has been funded by Commerce grants.

INTERLOCAL AGREEMENT
BETWEEN MASON COUNTY, THE PORT OF BREMERTON, AND THE
CITY OF BREMERTON RELATED TO PARTICIPATION IN
EXECUTIVE AND TECHNICAL COMMITTEES PROVIDING PROJECT
DESIGN OVERSIGHT TO THE PUGET SOUND INDUSTRIAL CENTER -
BREMERTON TO BELFAIR SEWER CONNECTION PROJECT
THIS INTERLOCAL AGREEMENT is made and entered into pursuant to the Interlocal
Coo ersition Act, Chapter 39 . 34 of the Revised Code of Washington, on the -0 day of
2019, by and between the Port of Bremerton (the "Port', Mason
County the "County"), and the City of Bremerton (the "City") (collectively the "Parties").
WHEREAS, Revised Code of Washington Section 39.34.030 authorizes cooperative
efforts between public agencies; and
WHEREAS, Mason County owns and operates a water reclamation facility near Belfair,
Washington, with available capacity to treat sanitary sewage that may be generated from the
currently unserviced area between Belfair and Bremerton, which includes the Puget Sound
Industrial Center — Bremerton (PSIC-Bremerton); and
WHEREAS, the City of Bremerton is interested in improving the availability of sanitary
sewer service within PSIC-Bremerton; and
WHERAS, Mason County is interested in providing sanitary sewer service within PSIC-
Bremerton and the Belfair UGA; and
WHERAS, the Port owns and operates a wastewater collection and treatment system
located within PSIC-Bremerton; and
WHEREAS, the Parties are interested in improving the availability of sanitary sewer
service withinithe larger PSIC-Bremerton geographic area; and
WHEREAS, available capacity at the Belfair Water Reclamation Facility, and the
upcoming Belfair Bypass/SR3 Freight Corridor project appear to provide an opportunity to extend
sanitary sewer service to PSIC-Bremerton; and
WHEREAS, the State of Washington, through its Department of Commerce, has
appropriated $515,000 for the purpose of designing new sanitary sewer transmission facilities to
serve PSIC-Bremerton and the Belfair UGA; and
WHEREAS, the City, through its Sewer Capital Budget, has committed an additional

$ 1 ,000,000 to be invested into this design and planning effort focused toward the goal of providing
improved sewer service to PSIC-Bremerton; and
WHEREAS, the City and County have requested the Port participate on the project' s
Executive Committee and the Technical Committee to ensure robust communication among and
between all involved stakeholders; and
WHEREAS, the Parties wish to work cooperatively to investigate the feasibility of
improved sanitary sewer service to PSIC-Bremerton; and
WHEREAS, the City and County executed an interlocal agreement to pursue design of a
system extension to serve PSIC-Bremerton on January 29, 2018, and the City and County wish to
rescind that agreement and replace it with the present Interlocal Agreement.
NOW, THEREFORE, in consideration of their mutual covenants, conditions and
promises, THE PARTIES AGREE as follows:
1 . PURPOSE OF AGREEMENT: The purpose of this Agreement is for the Parties to work
cooperatively to oversee the initial analysis and feasibility of potential designs for a sewer system
extension from the Belfair Water Reclamation Facility, through participation on the Executive
Committee and the Technical Committee.
2. RESCISSION OF PRIOR AGREEMENT: The County and the City hereby rescind and
replace with this Agreement the "Interlocal Agreement Between Mason County and the City of
Bremerton Related to Engineering Design of Sanitary Sewer Facilities Extension from the Belfair
Water Reclamation Facility, Future Sanitary Sewer System Development and Sanitary Sewer
Service Provisions Within the Belfair UGA and Puget Sound Industrial Center — Bremerton,"
which was executed on January 29, 2018.
3 , ADMIMSTRATI0N OF AGREEMENT: The CEO of the Port will administer this
Agreement for the Port, The Mason County Public Works Director will administer this agreement
for Mason County, and the Bremerton Public Works and Utilities Director will administer this
Agreement for the City.
4. FUTURE AGREEMENTS : This Interlocal Agreement envisions the possibility of
amendments to this Interlocal Agreement which may address future cooperative efforts, should
subsequent phases develop; however, nothing in this Agreement shall be construed to bind either
party to any future course of action, including but not limited to agreement to utilize the Belfair
Water Reclamation Facility, contract with Mason County for such use, or commit any capital
investments toward such effort.
5 . DURATION OF AGREEMENT: This Agreement shall take effect upon execution of this
Agreement by the Port, the City and the County, and shall remain in effect until December 31 ,

2022. This Agreement may be extended one or more times by mutual agreement of the Parties, in
writing, for a duration no longer than one ( 1 ) year.
6. TERMINATION OF AGREEMENT: Any party may withdraw from this Agreement by
giving the other parties ten ( 10) days written notice. The Agreement shall remain in place unless
and until two parties withdraw.
7. PORT EMPLOYEES : Port employees pursuant to this Agreement remain employees of
the Port at all times and shall perform the work envisioned under sole supervision of the Port.
8 . COUNTY EMPLOYEES : County employees pursuant to this agreement remain
employees of the County at all times and shall perform the work envisioned under sole supervision
of the County.
9 . CITY EMPLOYEES : City employees pursuant to this Agreement remain employees of
the City at all times and shall perform the work requested under sole supervision of the City.
10, REIMBURSEMENT: At the mutual agreement of the Parties, any of the parties may
reimburse the other for specifically defined services which constitute a work program or project.
11 , LEGAL/ADMINISTRATIVE ENTITY: No separate legal or administrative entity is
created by or pursuant to this Agreement.
12, INDEMNIFICATION
A. The Port shall defend, indemnify and hold harmless the County and the City, its
officials, officers, employees and agents, for all claims, liabilities, damages, expenses, reasonable
attorney' s fees and suits arising from negligence of the Port and its agents.

D. In cases of concurrent fault of the Parties, the above provisions requiring each party
to defend, indemnify and hold harmless the other party ("indemnification provisions") are valid
and enforceable only to the extent of the fault of the respective parties.
E. Solely for purposes of the indemnification provisions, each party waives its
immunity under Title 51 (Industrial Insurance) of the Revised Code of Washington and

acknowledges that this waiver was mutually negotiated by the Parties.
F. The indemnification provisions shall survive the expiration or termination of this
agreement.
13 , COMPLIANCE WITH REGULATIONS AND LAWS : The Parties shall comply with all
applicable rules and regulations pertaining to them in connection with the matters covered herein.
14, ASSIGNMENT: The Parties shall not assign this Agreement or any interest, obligation or
duty herein without the express written consent of the other party.
15 . ATTORNEYS' FEES : In the event of litigation to enforce any of the terms or provisions
herein, each party shall pay all its own costs and attorney' s fees.

17, NON-DISCRIMINATION POLICY: The Parties agree not to discriminate in the
performance of this Agreement because of race, color, national origin, sex, sexual orientation,
age, religion, creed, marital status, disabled or Vietnam era veteran status, or the presence of any
physical, mental sensory handicap, or other status protected by law.
18 , FILING: This document shall be filed with both the Kitsap County Auditor and the
Mason County Auditor pursuant to RCW 39.34 or, alternatively, listed by subject on each public
agency' s website.
19. ENTIRE AGREEMENT: This Agreement constitutes the entire agreement between the
Parties, and the Parties acknowledge that there are no other agreements, written or oral, that have
not been set forth in the text of this Agreement.
20, CHOICE OF LAW AND VENUE: This Agreement shall be interpreted according to the
laws of the State of Washington. Any judicial action to resolve disputes arising out of this
Agreement shall be brought in Pierce County Superior Court,

Background/Executive Summary:
Mason County is extending a sewer trunk line to serve the Belfair UGA north of the Shelton-Bremerton-
Bangor Naval Railroad. This extension requires crossing under United States Navy Railroad right of way
located within tax parcel 12328-00-60000. Granting an easement to the county is necessary to authorize
installation, operation,maintenance,repair, and replacement of the sewer line within the Navy rail right-
of-way.

THIS INDENTURE, made this day of , 20 ,
between the UNITED STATES OF AMERICA, the Grantor, hereinafter called
the GOVERNMENT, represented by the Commanding Officer, Naval
Facilities Engineering Systems Command Northwest, acting by and
through the Secretary of the Navy, and Mason County, hereinafter
called the GRANTEE.
WHEREAS, the GOVERNMENT owns that certain real property identified
as Shelton-Bremerton-Bangor Railroad, located in Kitsap and Mason
Counties, Washington, hereinafter called the Installation;
WHEREAS, the GRANTEE has requested an easement for the
construction, installation, operation, maintenance, repair, and
replacement of a sewer line consisting of a 10-inch PVC gravity
sanitary sewer main that will be encased in a 60-inch steel casing,
which will be used by the GRANTEE under that portion of the
Installation hereinafter described; and
WHEREAS, the Secretary of the Navy has found that the granting of
such an easement on the terms and conditions hereinafter stated is not
incompatible with the public interest;
NOW THEREFORE, this INDENTURE witnesseth that, pursuant to the
authority of 10 U.S.C. § 2668, hereby grants to the GRANTEE and its
successors and assigns for a period of 50 years from the date hereof,
an easement for the construction, installation, operation,

maintenance, repair, and replacement of a sewer line, such easement
being under that portion of the Installation hereinafter called the
PREMISES, containing 2, 627 square feet, more or less, and more
specifically described in Exhibit "A" labeled Mason County Sanitary
Sewer Line Easement across US Navy Railroad dated November 10, 2022,
attached hereto and made a part hereof and as depicted on that Record
of Survey filed under Volume 52, Page 70, Auditor File Number 2189938,
Records of Mason County, attached hereto and made a part hereof.
THIS EASEMENT is granted subject to the following terms and
conditions, which GRANTEE, by its acceptance hereof, specifically
agrees to and consents to be bound by:
1 . CONSIDERATION. In consideration for this Easement, the GRANTEE
shall pay the GOVERNMENT the sum of $1, 900 . 00, the receipt of which is
hereby acknowledged.
2 . ACCESS BY GRANTEE. The GOVERNMENT grants to the GRANTEE the right
to use the PREMISES, together with the necessary rights of ingress and
egress authorized by the Installation Commanding Officer. The GRANTEE
and its invitees and contractors agree to absorb all costs, including
time and expenses, associated with gaining access to the Installation
under the RAPIDGATE or similar program. Any parking that accompanies
the use of, and any routes of access to and from, the PREMISES are
subject to change at the sole discretion of the Installation
Commanding Officer.
3. USE BY GOVERNMENT. The GOVERNMENT may use the PREMISES of this
Easement for any purpose that does not unreasonably interfere with the
use and enjoyment by the GRANTEE of the rights granted by this
Easement.
4 . SUBJECT TO EXISTING AND FUTURE EASEMENTS. This Easement is
granted subject to all other existing easements, if any, of public
record, and to such utility lines, roadways, or other improvements as
may now be located under the PREMISES. This Easement is subject to
all existing easements, all other outstanding rights, recorded and
unrecorded, and to all such utility lines, roadways, or other
improvements as may be located under the PREMISES, and to the right of
the GOVERNMENT to grant such additional easements and rights of way
under the PREMISES as it shall determine to be in the public
interest, provided that such additional easements and rights of way
will not unreasonably interfere with the GRANTEE' s use of the PREMISES
in accordance with this Easement.
5. APPROVAL OF PLANS. All work performed by the GRANTEE, its agents,
or contractors in connection with the construction, installation,
operation, maintenance, repair, and replacement of the sewer line
shall be done without cost or expense to the GOVERNMENT and in
accordance with plans previously approved by the Real Estate

Contracting Officer, Naval Facilities Engineering Systems Command
Northwest or his/her designated local representative.
6. RESTORATION. Upon completion of any work performed in or upon the
PREMISES, GRANTEE, at its own expense, shall remove all equipment and
unused or surplus materials, if any, and shall restore the PREMISES to
the same, or as good a condition as existed prior to the initiation of
such work, and in a manner satisfactory to the GOVERNMENT as
determined by the Real Estate Contracting Officer, Naval Facilities
Engineering Systems Command Northwest, or his/her designated local
representative.
7 . PROTECTION AND MAINTENANCE OF PREMISES. The GRANTEE, at its own
cost and expense, shall maintain the PREMISES and the sewer line in
good condition at all times and shall promptly make all repairs that
may be necessary for the preservation of the condition of the PREMISES
and the continued operation and maintenance of the sewer line.
8 . DAMAGE TO THE PREMISES. GRANTEE, at its expense, shall repair or
restore any damage to GOVERNMENT property that may occur during the
construction, operation, maintenance, repair and replacement of the
sewer line in a manner satisfactory to the GOVERNMENT as determined by
the Real Estate Contracting Officer, Naval Facilities Engineering
Systems Command Northwest or his/her designated local representative.
GRANTEE, its employees, authorized agents and contractors shall
reimburse the GOVERNMENT for any and all actual costs, direct and
indirect, incurred by the GOVERNMENT as a result of any damage to the
PREMISES caused by their individual or collective actions .
9. APPLICABLE RULES AND REGULATIONS
a. The GRANTEE' s rights hereunder shall be subject to such
reasonable rules and regulations as may be prescribed by the
GOVERNMENT to assure that the exercise of those rights will not
unreasonably interfere with the GOVERNMENT' s activities at the
Installation. The GRANTEE shall adhere to all GOVERNMENT imposed
security rules and regulations in the exercise of such rights .
b. The railroad operator is Puget Sound & Pacific Railroad herein
called PSAP. PSAP must be notified in advance of any construction by
telephone to the Road Master at (360) 359-1084 . PSAP may require a
flagman during sewer line activities . PSAP will require a signal
technician on-site during all work near any crossing signal controller
and wiring. All expenses associated with construction, inspection, or
maintenance including flagging shall be borne by GRANTEE.
10 . INDEMNIFICATION. GRANTEE shall indemnify and defend the
GOVERNMENT against, and hold the GOVERNMENT harmless from, any costs,
expenses, liabilities, fines, suits, actions, damages, liability and
cause of action arising or growing out of, or in any way connected

with, the occupation or use of the PREMISES by the GRANTEE and its
employees, agents, servants, guests, and invitees . However, this
liability shall not extend to matters caused by the GOVERNMENT' s
negligent or willful acts. This provision shall survive the
expiration or termination of this Easement and GRANTEE' s obligations
hereunder shall apply whenever the GOVERNMENT incurs costs or
liabilities for the GRANTEE' s actions .
11 . GRANTEE' S RESPONSIBILITY
a. The GOVERNMENT shall not be responsible for damages to
property or injuries to persons that may arise from, or be incident
to, the use and occupation of the PREMISES by the GRANTEE, or for
damages to the property or injuries to the persons of the GOVERNMENT' s
officers, agents, servants, or employees, or others who may be on the
PREMISES at their invitation or the invitation of any one of them
arising from or incident to governmental activities except as
permitted under the Federal Tort Claims Act, 28 U.S.C. §§ 2671-2680 .
b. Damage, clearing or removal of any timber or forest products
from GOVERNMENT property must be reviewed and approved by the Navy
Forester. The GOVERNMENT will require reimbursement for the value of
any merchantable timber that is removed. If logging of adjacent
property is to be performed, the GRANTEE will work with the Navy
Forester for additional cutting of GOVERNMENT timber in order to avoid
windfall loss due to storms. Merchantable timber removed without
prior permission from the GOVERNMENT, will be treated as theft and can
result in charges up to triple the value of the timber.
C. GRANTEE shall ensure that railroad drainage ditches and slopes
are properly regraded if necessary following utility installation.
d. GRANTEE is responsible to include storm water measures that
incorporate Best Management Practices to prevent the release of
pollutants and runoff.
e. GRANTEE is responsible for sloughing or erosion as a result of
their activities or utility installation.
12 . ROAD CONNECTIONS / GOVERNMENT RESERVATION. "Intentionally

13 . ROAD SURFACE AND DESIGN. `Intentionally deleted. "
14 . ENVIRONMENTAL PROVISIONS
a. GRANTEE shall comply with all applicable environmental laws,
ordinances, rules, and regulations and all other Federal, state, and
local laws, ordinances, regulations, and standards that are or may
become applicable to GRANTEE' s activities on the PREMISES.

b. GRANTEE shall be, at its sole cost and expense, solely
responsible for obtaining any environmental permits required for its
activities on the PREMISES.
C. GOVERNMENT' s rights under this Easement specifically include
the right for its representatives to inspect the PREMISES upon
reasonable notice for compliance with environmental, safety, and
occupational health laws and regulations, whether or not the
GOVERNMENT is responsible for enforcing them. The inspections shall
be made without prejudice to the right of duly constituted enforcement
officials to make them. The GRANTEE shall have no claim on account of
any entries against the United States or any of its officers, agents,
employees, contractors, or subcontractors.
d. Storage, treatment, or disposal of toxic hazardous materials
on the PREMISES is prohibited except as authorized by the GOVERNMENT
in accordance with 10 U.S.C. § 2692 .
e. The GRANTEE will not use Installation accumulation points for
hazardous and other wastes or permit its hazardous wastes to be
commingled with hazardous waste of the GOVERNMENT.
f. The GRANTEE shall be solely responsible for the release, or
substantial threat of a release, into the environment of any hazardous
substance, pollutant or contaminant as the result of any activity
under this Easement, and any preceding easements, licenses, or rights-
of-way. Any reporting, containment, removal, or other remedial action
relating to a release or threat of release required by law or
regulation shall also be the responsibility of the GRANTEE.
g. The GRANTEE agrees to comply with the provisions of any health
or safety plan in effect under the Installation Restoration Plan or
the Resource Conservation Recovery Act Corrective Action Program
during the course of any of the above described response or remedial
actions. Any inspection, survey, investigation, or other response or
remedial action will be, to the extent practicable, coordinated with
representatives designated by the GOVERNMENT. The GRANTEE shall have
no claim on account of any entries against the United States or its
officers, agents, employees, contractors, or subcontractors . In
addition, GRANTEE shall comply with all applicable Federal, state and
local occupational safety and health regulations.
h. GRANTEE shall, to the extent permitted under applicable law,
indemnify and hold harmless GOVERNMENT from, and defend GOVERNMENT
against, any damages, costs, expenses, liabilities, fines, suits,
actions, or penalties resulting from releases, discharges, emissions,
spills, storage, treatment, disposal, or other acts or omissions by
GRANTEE, its officers, employees, agents, contractors, licensees, or
the invitees of any of them, giving rise to GOVERNMENT liability,
civil or criminal, or responsibility under federal, state or local

environmental laws . This paragraph shall survive the expiration or
termination of this Easement, and the GRANTEE' s obligations under this
paragraph shall apply whenever the GOVERNMENT incurs costs or
liabilities for GRANTEE' s actions. However, this liability shall not
extend to matters caused by the GOVERNMENT' s negligent or willful
acts .
i. The GRANTEE shall strictly comply with the hazardous waste
permit, storage, handling, and disposal requirements under the Solid
Waste Disposal Act and Resource Conservation and Recovery Act and as
defined in the Washington Dangerous Waste Regulations, WAC 173-303 .
The GRANTEE must provide at its own expense any hazardous waste
storage facilities, complying with all laws and regulations that it
may need for storage. Installation hazardous waste storage facilities
will not be available to the GRANTEE.
j . GRANTEE shall manage the natural and cultural resources on the
PREMISES in a manner that is consistent with the philosophies and
supportive of the objectives of the Installation' s Integrated Natural
Resource Management Plan and Integrated Cultural Resource Management
Plan. GRANTEE shall identify any activity that may affect Federally
regulated resources (listed species, wetlands, waters of the United
States, etc. ) and provide information and mitigation that may be
required to support consultation with the applicable regulatory
agency.
k. GRANTEE shall not undertake any activity that may affect the
characteristics that may make the railroad eligible for inclusion in
the National Register of Historic Places as a district, including, but
not limited to, excavation, construction, alteration, or repairs of
the PREMISES, without the prior approval of Government Technical
Representative who can be reached at (360) 476-6494 and in compliance
with Section 106 of the National Historic Preservation Act (54 U.S.C.
§ 306108) and its implementing regulation (36 C.F.R. Part 800) .
1. GRANTEE shall, during the construction, installation,
operation, maintenance, and repair of the sewer line, upon
inadvertently discovering Native American human remains, funerary
objects, sacred objects, objects of cultural patrimony, as those terms
are defined in 43 C.F.R. § 10 .2 (d) , immediately notify by telephone
the Government Technical Representative at (360) 476-6494, followed by
written confirmation. The GRANTEE shall cease all activity in the
area of the inadvertent discovery until directed otherwise by the
Installation. Additionally, the GRANTEE shall take all reasonable
efforts to protect any Native American human remains, funerary
objects, sacred objects, objects of cultural patrimony, so discovered
consistent with 43 C.F.R. § 10 .2 (d) .

15 . ENVIRONMENTAL CONDITION OF PROPERTY
a. An Environmental Condition of Property (ECP) has been prepared
as of the start date of this Easement to document the known
environmental condition of the property. The ECP dated October 06,
2022 is available upon request. At the termination or expiration of
this Easement, another ECP shall be prepared to note the environmental
condition of the property at that time. A comparison of the two ECP
documents shall be made to determine the extent, if any, of liability
on the part of the GRANTEE.
b. For purposes of this Easement the following terms shall have
the following meanings:
(1) "Toxic or Hazardous Materials" means all manner of
substances, pollutants, contaminants, and waste to which Applicable
Environmental Laws pertain, expressly including petroleum, petroleum
products, and materials defined in 48 C.F.R. § 252 .223-7006 (a) (ii)
and (iii) .
(2) "Contamination" means a level of Toxic or Hazardous
Materials in the air, soil, or water (surface water or ground water) ,
that exceeds levels allowed by Applicable Environmental Laws.
(3) "Applicable Environmental Laws" means:
(a) Federal, state, and local statutes, laws, ordinances,
rules, and regulations, to which the GOVERNMENT is made subject by
Federal law or to which the GRANTEE is made subject by Federal and
state law;
(b) Executive Orders of the President of the United
States;
(c) decisions of courts and administrative tribunals of
competent jurisdiction;
(d) administrative orders of regulatory agencies of
competent jurisdiction (involuntary or on consent) ; and
(e) regulations and directives of the Department of
Defense, the Department of the Navy, and the Marine Corps (for Marine
Corps installations only) , which pertain to the human environment (as
defined in the National Environmental Policy Act of 1969) ;
transportation of hazardous material; and human health and safety
(including occupational safety) .
(4) Applicable Environmental Laws include, without limitation,
the Comprehensive Environmental Response, Compensation, and Liability
Act (42 U.S.C. § 9601 et seq. ) , the Hazardous Material Transportation

Act (49 U.S.C. § 1801, et seq. ) , the Resource Conservation and
Recovery Act (42 U.S.C. § 6901, et seq. ) , the Clean Water Act (33
U.S.C. § 1251, et seq. ) , the Clean Air Act (42 U.S.C. § 7401, et
seq. ) , the Toxic Substances Control Act (15 U.S.C. § 2601, et seq. ) ,
the Occupational Safety and Health Act (29 U.S.C. § 651, et seq. ) , and
10 U.S.C. § 2692, as amended.
(5) "Release" means any discharge, spill, emission, leaking,
pumping, injection, excavation, deposit, disposal, leaching, or
migration into the environment, accidental or otherwise, or
introduction into the environment by any other means or method.
(6) "Remedial Action" means: investigating or monitoring the
environmental condition of the PREMISES and clean-up, removal,
response (including emergency response) , and restoration of the
PREMISES, as per Applicable Environmental Laws, due to the presence or
suspected presence of Contamination or a Release or suspected Release
of Toxic or Hazardous Materials.
C. If during the term of this Easement the GRANTEE becomes aware
that a Release of Toxic or Hazardous Materials has occurred due to
acts or omissions of the GRANTEE, its agents, or contractors, whether
or not such Release results in Contamination of the PREMISES, the
GRANTEE will give verbal notice to the GOVERNMENT within 24 hours of
becoming aware of the Release, providing all relevant facts and
circumstances. The GOVERNMENT may direct the GRANTEE to make a
detailed written report of these facts and circumstances within a time
certain.
d. The GRANTEE, at its sole expense, will promptly take all
action necessary to comply with Applicable Environmental Laws
pertaining to a Release described in subparagraph 15b. , including but
not limited to: report the occurrence to appropriate Federal, state,
or local regulatory authorities, if so directed by the GOVERNMENT;
take timely and effective steps to minimize the Release and its impact
on human health and the environment; and take Remedial Action. The
GOVERNMENT may direct the GRANTEE to provide all information requested
by the GOVERNMENT regarding such actions within a time certain.
e. The GRANTEE will ensure that all activities conducted on the
PREMISES by the GRANTEE, its agents, or contractors are carried out in
compliance with Applicable Environmental Laws . The GRANTEE will
provide verbal notice to the GOVERNMENT within 24 hours of receiving
any complaint, order, directive, claim, citation, or notice from any
governmental authority or any other person or entity alleging
noncompliance with or a violation of Applicable Environmental Laws on
the PREMISES. The GRANTEE, at its sole expense, will promptly take
all necessary action directed by Federal, state, or local regulatory
authorities of competent jurisdiction to achieve or regain compliance
with Applicable Environmental Laws. The GOVERNMENT may direct the

GRANTEE to make a detailed written report, within a time certain, of
the facts and circumstances underlying the alleged noncompliance or
violation. Without limitation of the foregoing, the GOVERNMENT, in
response to acts or omissions of the GRANTEE, its agents, or
contractors may, in its discretion, take Remedial Action to remedy
Contamination on the PREMISES or to achieve or regain compliance with
Applicable Environmental Laws.
f. The GOVERNMENT may at any time inspect the PREMISES or cause
the PREMISES to be inspected, to assess whether the operations of the
GRANTEE, its agents, or contractors are in compliance with Applicable
Environmental Laws . To assist in this evaluation, the GRANTEE, its
agents, and contractors will provide to the GOVERNMENT, or another
entity, as the GOVERNMENT may direct, for examination and copying, all
relevant books, records, documents, and other material in their
possession.
g. The GOVERNMENT, with good cause, may from time-to-time require
the GRANTEE to conduct tests and analyses to assess whether the
PREMISES are in compliance with Applicable Environmental Laws, and
based on the results thereof, to so certify to the GOVERNMENT. Such
tests and analyses shall be conducted in a manner satisfactory to the
GOVERNMENT by recognized professionals approved by the GOVERNMENT. If
the GOVERNMENT and the GRANTEE cannot reach agreement as to what tests
and analyses shall be conducted, by whom, and when, the GOVERNMENT may
perform such tests and analyses or cause such tests and analyses to be
performed.
16. FAILURE TO INSIST ON COMPLIANCE. The failure of the GOVERNMENT
to insist, in any one or more instances, upon performance of any of
the terms, covenants or conditions of this Easement shall not be
construed as a waiver or relinquishment of GOVERNMENT' S right to the
future performance of any such terms, covenants or conditions and
GRANTEE' s obligations for their future performance shall continue in
full force and effect.
17 . FEDERAL FUNDS. This Easement does not obligate the GOVERNMENT to
expend any appropriated funds.
18 . ASSIGNMENT/TRANSFER OF RIGHTS. The GRANTEE shall not transfer or
assign this Easement or any interest in it, or otherwise make any
portion of, or rights in, the PREMISES available to any party without
the prior consent of the GOVERNMENT. If any assignment is made, with
or without consent, the assignee shall be deemed to have assumed all
of the obligations of the GRANTEE. However, in no event shall the
GRANTEE be relieved of any of its obligations under this Easement,
except for an extension of its term that begins after an assignment,
and then only if the GOVERNMENT shall have consented to it.

19. TERMINATION
a. If, at any time, the GOVERNMENT determines that the sewer
line, or any portion thereof, unduly interferes with any of its
activities, the GOVERNMENT shall have the right to terminate this
Easement, in whole or in part, to the extent necessary to eliminate
the interference; however, unless the GOVERNMENT shall have determined
that relocation is not feasible, it shall offer to convey to the
GRANTEE, without charge, a substitute easement permitting the GRANTEE
to relocate the sewer line, or any portion thereof, on adjacent
GOVERNMENT property, which relocation shall be accomplished at the
GRANTEE' s cost and expense. The substitute easement shall contain the
same terms and conditions as those in this Easement, and shall bear
the same expiration date, if any.
b. All or any part of this Easement may be terminated upon
failure by the GRANTEE to comply with any of its terms and conditions;
upon abandonment of the rights granted herein; or upon non-use of
those rights for a period of two consecutive years. Additionally, the
GOVERNMENT may terminate all or any part of this Easement in the
interest of anti-terrorism force protection or national security.
20 . ADMINISTRATIVE COSTS AT EXPIRATION/TERMINATION OF EASEMENT. At
the termination or expiration of this Easement, at the GOVERNMENT' S
discretion, GRANTEE shall be responsible for administrative costs
associated with completing a final inspection of the PREMISES and
updating the Environmental Condition of Property Report.
21 . SURRENDER. Upon any termination or expiration of this Easement,
the GRANTEE, at its own expense and risk, shall promptly remove, to
the extent required by the GOVERNMENT, improvements, fixtures, and
equipment installed or constructed hereunder, and shall restore the
PREMISES to the same or as good a condition as that which existed
prior to the exercise by the GRANTEE of its rights hereunder. The
restoration shall be done in a manner satisfactory to the Real Estate
Contracting Officer, Naval Facilities Engineering Systems Command
Northwest, or his/her designated representative and in accordance with
applicable laws and regulations. If the GRANTEE fails to remove the
property as required by the GOVERNMENT, all improvements, chattels,
and other items abandoned by the GRANTEE become GOVERNMENT property
ninety (90) days following the date of termination or expiration. If
the GOVERNMENT incurs any cost to remove the items abandoned by the
GRANTEE, the GRANTEE shall reimburse the GOVERNMENT for any and all
actual costs, direct and indirect, incurred by the GOVERNMENT.
22 . STATEMENT OF COMPLIANCE. This Easement is not subject to the
requirements of 10 U.S.C. § 2662 (d) .

Backuround/Executive Summary:
This is a continuation of phased changes previously briefed and partially approved by the Board. Phase I
included the newer position of Chief Superior Court Administrator, "Court Administrator",which
currently maintains supervision over the three main divisions of the Court: general Court operations,
Therapeutic Courts, and Juvenile Court. The next phase of the review was to consider the creation of a
Finance position. There are currently several budgets managed in various divisions of the Court. There
would be more efficiencies with having all budgets managed through one point of contact for the BOCC
and Budget Manager; especially during the annual budget preparation. Other budgetary function
efficiencies include payroll, grant reporting and compliance, and grant awards and applications.
Currently,the burden of creating, implementing,monitoring,and managing all three of the budgets falls
on the Court Administrator position. This burden interferes with the ability of the Court Administrator
position to appropriately address its management obligations throughout all the divisions of the Superior
Court.
This phase also includes a review of staffing and leadership roles in the general court operations division.
The Superior Court has expanded its functions by providing virtual access to trials and hearings
throughout its various dockets. This expansion was initially caused by the need to provide virtual
hearings during the COVID pandemic and remains in effect,not only due to public health issues,but due
to statutory and judicial mandates. All the virtual sessions must be monitored by court administration
staff. There can be up to five virtual hearings occurring at any given time, and typically there are three to
four hearings being held concurrently. Many times,the virtual sessions are created or changed as dockets
develop. This expansion and resulting coordination have caused a new set of responsibilities for staff.
They include direct engagement with the setting up and monitoring of the virtual sessions and the

management and coordination of staff to ensure that all virtual hearings are covered. The Court
Administrator position would be better able to manage all divisions of the Superior Court if one of the
Judicial Assistant positions was converted to a Lead Judicial Assistant position. In this way,many of the
non-supervisory(programmatic)tasks that are currently performed by the Court Administrator would be
performed by a Lead Judicial Assistant. This role would be a position conversion of one of the current
Judicial Assistants,with no extra FTE added. This would create an internal career path and growth
opportunity as well.
The conversion of the Secretary position to a Judicial Assistant,instead of backfilling the new Lead
position would result in salary savings and again,no additional FTE.
