Dear Mr. Neary:
This proposal follows your discussion with our Project Manager, Lee Davenport regarding the next step in the
referenced project development. We are pleased to present the following for your consideration.
PROJECT SCOPE
Beginning from last approved floor plan, Helix will verify space plan, conduct programming meetings and
adjust space plan to accommodate new scope in remaining spaces. A new space plan and floor plan will
be developed. Mechanical, electrical and plumbing (V/E/P) input will be provided at "advisory level" to
facilitate the preparation of a budget -level cost estimate.
Following the approval of scope and budget, we will prepare a fee proposal for full A/E/ services, from
Schematic Design through Construction and Close-out (using the State fee schedule as a guide).
I I. FEES
A. ARCHITECTURE
Architectural tasks include:
• Review current floor plan and verify.
• Develop program requirements through max. three (3) meetings with County, one (1) in -
person, two (2) remotely.
• Prepare space plan based on program information; present to County and adjust as
necessary.
• Incorporating County input, prepare updated space plan and floor plan.
• Coordinate with County
• Coordinate with Helix' M/E/P and cost consultants.
• Submit floor plan and budget costs to County.

GENERAL CONDITIONS
MEMORANDUM OF ENGAGEMENT FOR PROFESSIONAL SERVICES
All professional services provided by Helix Design Group, Inc. ("Helix") are subject to the
terms and conditions set forth in this Memorandum of Engagement (Memorandum) unless
and only to the extent expressly modified in writing and signed by Helix and Client. The
parties acknowledge that from time -to -time forms containing printed terms and conditions
inconsistent with the terms and conditions of this Memorandum may be used and that such
preprinted terms and conditions are not intended to apply to the services covered by this
Memorandum.
The Architect shall perform its services consistent with the professional skill and care
ordinarily provided by architects practicing in the same or similar locality under the same or
similar circumstances. The Architect shall perform its services as expeditiously as is
consistent with such professional skill and care and the orderly progress of the Project.
1. Personnel. Helix shall furnish the personnel required to perform the services covered
by this Memorandum ("the Services") and shall engage any other professional parties as it
deems necessary for the performance of the Services. The cost of the Services of such
other professionals shall be the responsibility of Client.
2. Instructions and Approvals. Helix shall cooperate with the Client in providing the
Services. Client shall name an authorized representative at or before the start of the work
who shall be responsible for providing information, instructions, and approvals on Client's
behalf. Such representative shall be available to Helix at all reasonable times. Client shall
be responsible for all delays in performance of the Services caused by or arising out of
Client's unavailability or its failure to timely provide information, instructions, or approvals.
Helix shall have the right to use and rely upon Client -provided materials, information or
direction.
3. Terms of Payment. Invoices shall be issued by Helix on a monthly basis and shall be
payable on presentation. Invoices not paid within thirty (30) days of invoice date may be
carried forward to the next invoice date, and if unpaid after 90 days of invoice date, will be
subject to a carrying charge of 1.5 percent per month or the maximum rate allowed by law,
whichever is less. If the Client fails to pay any invoice within ninety (90) days of the invoice
date and such failure continues fifteen (15) days after Helix gives Client notice of such
failure, Helix shall have the right to terminate this Memorandum immediately. The right to
terminate under the terms of this paragraph shall be without liability to Helix and shall be in
addition to all other legal, equitable, or contractual remedies available to Helix. Client shall
have no right of setoff against any billings of Helix for disputed claims or services. No final
work product will be released until payment in full by Client.
Terms stipulated in this paragraph notwithstanding, Client will pay Helix within seven (7)
days of receipt of payment from the Owner. Penalties shall not apply unless same are
enforced between Client and Owner.
4 Differing Conditions. Helix shall be entitled to rely on the accuracy and completeness
of all testing, services, reports, data, and other information furnished by Client regarding the
project or the site. If Helix believes that any condition encountered at the site or during the
course of the project is inaccurate or differs materially from that indicated, reflected or
referred to at the time of Helix's proposal, Helix shall notify Client within a reasonable time.
Such differing conditions shall include but are not limited to: availability of land; physical
conditions such as subsurface conditions or underground utilities; condition of existing
structures; and the presence of asbestos or any substance or material categorized as
hazardous or toxic by federal, state or local laws and regulations. In such a case, Helix shall
not be required to continue performing the Services until such time as a change in
compensation, time for performance, and/or other resolution of the differing condition has
been mutually agreed to by Client and Helix.
5. Changes and Delays. In addition to the change in compensation and/or time for
performance referred to in Paragraph 4 above, Helix shall be entitled to an increase in
compensation and/or time for performance for any other changes made in the scope of the
Services so long as such changes do not arise from the negligence of Helix. Helix shall give
notice to Client that it intends to seek additional time or compensation within a reasonable
time after the change has been requested. Helix shall not be required to perform any work
connected with a change unless the parties have agreed on the amount of or the basis for
calculating the time and/or compensation associated with the change. Helix shall be entitled
to prompt written notice by Client, additional time and/or compensation for delays caused by
or resulting from acts of Client, contractors, subcontractors, suppliers, or other third parties
over whom Helix has no control so long as the delay(s) are not caused by Helix' negligence.
6. Insurance. Helix, at its own expense, carries professional liability, workers'
compensation and employer's liability coverage as required by applicable state law, and
general liability insurance (including automobile liability). The amount of insurance available
may vary from year to year. The professional liability insurance is written on a claims -made
basis. All policies are available for inspection at Client's request. If Client desires insurance
coverage in addition to that carried by Helix at the time this Memorandum is issued, Helix
will cooperate to obtain such additional insurance, if available, at Client's expense.
7. Indemnity. Client agrees to require that Helix be named as an additional indemnitee in
all provisions, clauses, contracts, or agreements made between or among Client,
contractors, subcontractors, suppliers and/or other third parties in which Client is named as
an indemnitee.
8. Limitation of Liability. Client agrees to require Helix be named as an additional
insured for all insurance policies carried by contractors, subcontractors, and suppliers on
which Client has been or will be named as an additional insured. Regardless of the
presence or absence of insurance coverage, Helix shall not be liable for loss or damage
occasioned by delays beyond Helix's control or for loss of earnings, loss of use, or other
incidental or consequential damages suffered by Client or others, however caused. Helix's
liability hereunder shall be limited: (a) for insured liabilities, to the amount of insurance then
available to fund any settlement, award or verdict and (b) for uninsured liabilities, to ten (10)
percent of the fee earned by Helix under this Memorandum. Client expressly agrees to this
limitation of liability.
9. Performance by Contractors, Subcontractors and Suppliers. Helix shall not be
required to make exhaustive, extensive, or continuous on -site or off -site inspections of the
work. No acceptance or approval by Helix of the work of contractors, subcontractors, or
suppliers, whether express or implied, shall relieve contractors, subcontractors or suppliers
of their obligations to Client for the proper performance of their work.
10. Construction Means and Safety. Client hereby expressly agrees that Helix shall
assume no responsibility for, control or right of control over any contractor, subcontractor or
supplier, their agents, employees, or others for whom they may be liable in connection with
the means, methods, techniques, sequences, procedures and equipment used or not used
by such contractors, subcontractors, or suppliers in their performance of any phase of the
work, for placing into operation any plant or equipment, or for any safety precautions or
programs related to the Project. Responsibility and control for all such activities shall be
solely and exclusively that of Client and such contractors, subcontractors, and suppliers.
11. Ownership of Documents. All designs, drawings, specifications, notes, data,
samples, materials, reports, reproducibles and other work developed by Helix are
"Instruments of Service" and shall remain the property of Helix. Client shall have no right to
use the Instruments of Service in any way until Helix has first been paid in full. Client agrees
not to use, reuse, or adapt any work product developed by Helix on any other project or
application unless agreement has been reached with Helix regarding the terms and
conditions for such use or reuse. Client also agrees not to use, reuse, or adapt any work
product developed by Helix for the specific project or application intended if Helix's services
have been terminated prior to completion, unless agreement has been reached for such
further use. Client shall defend, indemnify and hold harmless Helix from all claims, losses,
liabilities, damages, expenses, and costs arising out of the unauthorized use or reuse of
such work product.
12. Termination. Client and Helix have the right at any time to terminate this
Memorandum by giving five (5) days' written notice to the other party. If Helix is terminated
for any reason other than a material breach of the terms and conditions of this
Memorandum, Client shall be responsible for payment of all reasonable demobilization
costs, all expenses incurred or obligated at the date of termination, and all the Services
performed by Helix through the date of termination, including the proportionate share of
Helix's fee applicable to the Services performed through the date of termination.
13. No Third -Party Beneficiaries. Nothing in this Memorandum shall be interpreted or
construed as giving any rights or benefits to anyone other than Helix and Client and nor
create any duty toward any contractor, subcontractor or third party as a result of the services
provided hereunder.
14. Personal Liability. No Principal or employee of Helix shall incur personal liability to
Client, for an act, error, or omission related to this Memorandum.
15. Governing Law and Severability This Memorandum shall be governed by
Washington law unless otherwise provided. If any term, condition or provision of this
Memorandum or the application thereof to any circumstances is determined to be invalid or
unenforceable to any extent, the remaining provisions of this Memorandum shall not be
affected but shall instead remain valid and fully enforceable. Neither party has relied upon
any statement, estimate, forecast, projection, representation, warranty, action or agreement
of the other party except for those expressly contained in this Memorandum. This
Memorandum incorporates and supersedes all prior negotiations, agreements and
representations.
16. Dispute Resolution. All claims and disputes in excess of fifty thousand dollars
($50,000) shall be submitted to mediation as a condition precedent to binding dispute
resolution. The cost of the mediator and any filing fees shall be shared equally by the
parties. Claims or disputes not resolved by mediation, or those not subject to mediation
under this section, shall be resolved by litigation in a state or federal court located in
Washington.
17. Legal Costs. Client shall reimburse Helix for any attorney's fees, staff time and costs
incurred by Helix as a result of Client's breach or default under this Agreement.
18. Client Guaranty. If Client is a limited liability company (LLC), the person signing this
Agreement hereby agrees to and does personally guarantee each and every term and
condition of this Agreement. Client shall also, if requested by Helix, provide a parent
company or personal guaranty in a form acceptable to Helix, executed by a member or
manager of the LLC entity and/or parent company, of each and every term and condition of
this Agreement, including but not limited to, all payment and indemnification obligations.
19. Accrual of Actions. Any causes of action between the parties to this Memorandum
pertaining to acts or failures to act for the scope of services provided for in this
Memorandum shall be deemed to have accrued and the applicable statute of limitations
shall commence to run not later than either: (1) for acts or failures to act occurring prior to
substantial completion, the date of substantial completion of the project or the last date
Helix provided services for the project (whichever is earlier); or (2) for acts or failures to act
occurring after substantial completion, the date of final completion.
20. Waivers. No waiver by either party of any default by the other will operate as, or be
construed as, a waiver of any future default, whether like or different in character.
21. Headings. The headings used in this Memorandum are for convenience and reference
purposes only and are not to be used in interpreting or construing the substantive provisions
of the Memorandum.
22. Terms and Conditions. Terms and Conditions stipulated in this "General Conditions"
document notwithstanding, Client's "Short Form of Agreement' with Owner shall apply.

Dear Erik:
Thank you for this opportunity to submit our proposal to furnish engineering services.
Project Description
Programming and planning stage for further development of Mason County Building 10. The building
was partially remodeled in 2020 (for courtroom use), with some areas left undeveloped for future work.
Scope of Services
Our scope of work is for systems covered under Division 21 (fire sprinkler), Division 22 (plumbing),
Division 23 (HVAC), Division 26 (electrical power, lighting), Division 27 (low voltage systems), and
Division 28 (fire alarm) of the Construction Specification Institute (CSI) Manual of Practice.
For this stage we will provide cost estimating for the mechanical and electrical systems based on
concept designs from Helix. Our work includes attendance at virtual meetings to review the planned
work, and review of the impacts to mechanical and electrical systems. A site visit is not included, and no
mechanical or electrical design or plans are included for this phase.
Proposed Fee
We propose to provide our services on a lump sum fee basis, for: $ 2,500
