After almost twelve years of working as a library assistant at the Hoquiam Timberland Library, I am being terminated on May 2, 2022, because I am unable to receive one of the three CDC- approved mRNA Covid 19 vaccines. My doctor states,that in my case, mRNA vaccines can cause serious injury or even death. He filled out the TRL request form for medical exemption which I submitted. The only response I have received from TRL is a refusal to consider my request because of timing_ I have since heard via my union representative that TRL relented and did, in fact, look at my request but decided not to accept my doctor's recommendation. And this happened without my right to an accommodation even being offered. An accommodation process is supposed to be interactive, including a negotiation between employer and employee. No one ever reached out to me or my doctor to talk about a possible accommodation. Yet TRL generously granted accommodation to staff who felt unsafe going back to work after the lockdown in 2019.These individuals were allowed to telework for many months after the libraries were re-opened, despite being vaccinated.Why was this possibility not offered to me?I feel very unsafe receiving one of the three approved vaccines. In fact, I am terrified. Furthermore, I tested for COVID 19 antibodies recently, and results show very high natural immunity. I informed TRL of my immunity, but again received no response. I officially requested an accommodation process, and despite my long years of work at TRL, I did not even receive a response, which is a clear case of discrimination! In order to keep my job,TRL requires me to risk serious injury or death by receiving a vaccine at the end of the pandemic, in spite of the fact that I have a high level of natural immunity, and refuses to let me wait for the new vaccine to come out, which 1 will be able to receive safely according to my doctor. This is a clear case of injustice. I have filed a complaint with the EEOC to seek remedy. Funding is through until June 2023. This grant provides the option for people who suffer from behavioral and mental health disorders or substance abuse disorders to get additional help. The grant does not cover the increased costs for Public Defense or the Prosecutor's Office. Costs covered include treatment costs,interpreter costs,court facilitator,staff equipment,and training. The total cost is $5.153 million. The total estimate for County match is$4.303 million. The estimated annual cost is between$35,448 and$43,326. Cmmr.Neatherlin shared his concerns regarding the high costs. Diane added that Real Estate Excise Tax(BEET)2 and General Funds may be used. Cmmr. Shutty asked if other grants can be used down the road and if Page I 1 this project would push other parks projects further down. It is possible to apply for other grants when they become available. John can look into parks projects this may affect in the future. • John discussed the cost estimate for Union Park. The Washington Wildlife and Recreation Program grant awarded$500k. Total cost is$1.849 million and the estimated County match is$1.349 million. Annual maintenance costs would be between$33,957 and$37,353. Mark added that the approved budget estimate for REET2 for 2022 was about$1.5 million. • Todd Cannon shared a five-year Interlocal Agreement with Public Utility District(PUD)3 for an internet redundancy program. If the primary internet failed,this would provide the County with some internet connectivity to continue some business function and provide another way to stay connected to Public Works. The cost is$5,400 plus$1,500 for yearly firewall licensing. Approved to move forward. • Todd gave an update on the firewall and email spam filter which was upgraded about a month ago. For a 30-day total,the firewall has blocked over a half million hits and 105,000 malicious emails. • Mark discussed an American Rescue Plan Act(ARPA)request from the Port of Allyn for $100,000 to install a new well. For the Navy Rail Crossing,the easement cost has not been discussed,the crossing design is estimated at$75k,and crossing construction is estimated at$1.5 million. Puget Sound and Pacific Railroad will do their own design and the cost is up front. Once the design is done, the project must be constructed in four years. Estimated time is 6-18 months to design and 6-18 months to construct. Romance Hill extension is estimated at$2 to 4 million. Freight Corridor intersection is estimated at$1.5 to 2 million. The pre-bid walkthrough is scheduled for the 281 and bid opening for the 20'h. • Loretta discussed long-term transportation planning within Belfair,application of future impact fees,priorities for intersection improvements,and short-term impacts for traffic mitigation for Olympic View and Olympic Ridge developments. The Olympic View developer is installing a bus stop along Creelman Lane to help reduce trips coming and coming if the residents utilize Mason Transit. The community legislative request for intersection improvement funding was not funded,but Public Works will continue to try. The Transportation Improvement Program Citizens Advisory Panel(TENCAP)is interested in bringing forward their recommendations. A meeting is scheduled with the Department of Transportation(DOT)to discuss traffic impact fees. Cmmr. Shutty requested for the meeting with DOT to be a part of the Briefing. • Cmmr. The annual lunch and business appreciation event is set for August 18, 2022 at The Ridge Motorsports Park from 4:00 p.m.to 6:00 p.m. Working Washington Small Business Grants are moving forward and launching at the end of May. The review process is through June and the checks should be mailed out mid-July. A developer with 500 acres in the south end of the County is ready to sell,develop,or lease. $40 million was allowed for Community Economic Revitalization Board(CERB)funding and are accepting applications. Application date for construction is May 16,2022 and for planning May 31, 2022. The application for the bicycle and pedestrian program grant is due at the end of the month. More submittal appointments are available,inspection request turnaround is within a few days,about 8 weeks for permit turnaround,commercial permit closer to 40-45 days,Environmental Health building review is about 2-3 weeks behind,and septic is about 2-3 weeks behind. • Kell shared that a Fire Marshal,Randy Collins,has been hired at.6 Full-Time Employee (FTE). • Kell discussed the Smart Gov software and incorporating additional functionality,data,and reports. 10:30 A.M. Public Works—Loretta Swanson Utilities&Waste Management Commissioners Neatherlin,Shutty,and Trask were in attendance via Zoom. • Mike Collins requested to purchase a flatbed equipment trailer off the Washington State contract that can be towed with the F550 trucks for$16,874.92. This is within budget. Approved to move forward. • Mike requested to set a Public Hearing for Tuesday,June 7,2022 at 9:15 a.m.to amend the 2022 Annual Construction Program and 2022-2027 Six-Year Transportation Improvement Program(TIP). The Federal Surface Transportation Program(STP)released an addition $50 million. Public Works would like to extend the Mason Lake Road project. Shutty suggested reaching out to Kyle Cronk at the South Sound YMCA to participate in their"Touch-a-Truck"event. • Loretta discussed the Road Improvement District(RID)method. Constituents on Shetland Road are interested in forming a RID. This can be formed by a Resolution of Intention by the County or by a petition from the landowners. Mike added that Shetland Road is a 24'to Page I 1 26' wide gravel road with four cross culverts that would need to be replaced and a section of the road that needs raised. Prepping and chip seal with County forces will cost about $360k to$370k. Lisa Frazier included that a RID is an annual assessment. The County may want to do a bank loan. The County will lend credit to get a loan and the homeowners would repay. Cmmr.Neatherlin suggested including the Transportation Improvement Program Citizen's Advisory Panel(TIP-CAP)in the process. These options are available only while COVID-19 OPMA meeting restrictions are in place. 10.1 Public Hearing to consider approval of the annual update to the Capital Facilities Plan— Chapter 6 of the Mason County Comprehensive Plan. Staff: Marissa Watson(Exhibit B, Resolution No.2022-029) Marissa Watson shared the annual update to the Capital Facilities Plan.The Growth Management Act allows for this to be updated more frequently as long as it is concurrent with the adoption or amendment of the Capital Budget. The Planning Advisory Commission(PAC)held a Public Hearing on February 28,2022. Prior to that,staff filled out a State Environmental Policy Act (SEPA)checklist and made a determination of non-significance on February 7,2022. Public comment closed February 22,2022. A comment was received from Public Utility District(PUD)3 to inform the public and applicants to contact them regarding their capacity,ability to serve,and rules and regulations regarding that utility. Marissa worked with Public Works,Finance,Facilities, and Parks for updated capital facility worksheets. Projects were already approved by the 2 April 26 , 2022 Commission Minutes Commissioners via the annual budget process. The Sheriff s Office,District Court,and Superior Court updated their narrative. Also updated were scrivener's errors and dates. The goal was for the Capital Facilities Plan to reflect the Capital Budget as well as possible. Per Title 15.07.030 the public was given notice. Notice was advertised in the Journal and on the County website. PAC and staff recommend approval. Jeff Carey reflected that for the last 20 years,the Capital Facilities Plan was woefully inadequate and did not help the public to see what is really going on. For example,in the appendixes for Real Estate Excise Tax(BEET)planning over the next 10 years has not been updated. It still shows$1 million going to the North Bay Trail. Reconciliation is needed. A provision that recognizes changes in budgets and revenues is also needed. For Facilities,the Auditor,Assessor,or Treasurer has space requirements and there is no provision for improvements or increasing space. There is nothing that shows funds will be spent towards construction,building,or acquiring to facilitate that. The space requirements have been the same since 2002 or 2005. In the 2022 plan, it shows an increased capacity for North Bay Case Inlet but there is no discussion with the public. A more comprehensive plan is needed for the sewer. Spending$2.5 to 3 million on North Bay Case Inlet, even with grants,it looks like$15 to$17 more per month per user with no discussion with the public. Jeff is unable to reconcile, in regards to the Belfair wastewater system,the presentation in the Capital Facilities Plan versus what has been discussed in the last few months on the Belfair sewer. The public is unable to tell what is going on in the County financially. The monthly reports are appreciated;however,when it comes to projects in the future the average public is unable to tell what is going to happen. This needs to reconcile closer to the report and what is being discussed with the public. An outline of the comprehensive plan is needed. Attachment(s) Agreement KPHD Contract 1511 Page 1 HOOD CANAL REGIONAL SEPTIC LOAN PROGRAM AGREEMENT TO TERMINATE INTERLOCAL AGREEMENT BETWEEN Clallam County Jefferson County Kitsap County Mason County Kitsap Public Health District This Mutual Termination Agreement ("Agreement") is entered into between Clallam County,Jefferson County, Kitsap County, Mason County,and the Kitsap Public Health District (collectively"the Parties"). RECITALS WHEREAS,the Parties entered in an Interlocal Agreement for the purpose of participating in a Clean Water(septic) loan program to provide financial assistance to citizens residing within the jurisdictional boundaries of the parties to address water quality issues in Hood Canal caused by onsite sewage systems; and WHEREAS,the purpose of the Interlocal Agreement is to establish the joint and cooperative undertaking in connection with the Regional Septic Loan Program; and WHEREAS,Section 1.2 of the Interlocal Agreement states that the Interlocal Agreement has no termination date unless funding for the program is fully expended,ends, or is no longer available; and WHEREAS,Section 2.5 of the Interlocal Agreement states that the program shall be terminated only when the legislative authorities of the Parties determine that they no longer wish to participate in the Regional Septic Loan Program; and WHEREAS,the Washington State Department of Ecology has since developed a statewide Regional Septic Loan Program; and WHEREAS,the Interlocal Agreement is no longer necessary to implement the Regional Septic Loan Program after the Centennial Clean Water Program Grant and Clean Water Act Revolving Fund loan ("Revolving Fund Loan"), attached as Exhibit B to the Interlocal Agreement, is fully repaid; and WHEREAS,the Revolving Fund Loan is anticipated to be repaid in full by June 30, 2022; and WHEREAS, no agreement regarding payment of financial responsibilities, collection of loans, division of remaining funds, and ongoing implementation of the program is necessary;and WHEREAS,the parties have now mutually agreed to terminate the Contract prior to its scheduled expiration; KPHD Contract 1511 Page 2 AGREEMENT NOW,THEREFORE,the parties agree that the Interlocal Agreement shall terminate thirty(30) days after the last loan repayment of the Revolving Fund Loan. This request was laid out in a three phase approach. The BOCC approved Phase one which included the creation of the Chief Superior Court Administrator and Juvenile Detention Manager positions. We are currently in Phase 2 which includes analysis of the staffing and leadership roles within the general Superior Court Division. Phase 3 will include a comprehensive look at the Juvenile Court Division. Mason County Superior Court's historical staffing pattern included 3 Judicial Assistants for the two Superior Court Judges and part time Court Commissioner with the Superior Court Administrator position assisting as a "4th Judicial Assistant". Since 1/1/2015 Mason County has added a third Superior Court Judge, increased the Court Commissioner to nearly full time in order to accommodate expanding judicial caseloads, and added multiple additional therapeutic courts. During this timeframe no additional Judicial Assistant/administrative support has been added with the increase in work. Although we are continuing to evaluate the needs in the second phase of the reorganization, we have reached a critical point in the need for additional administrative support to manage the workflow in the Superior Court Administrative office. The new Chief Superior Court Administrator is managing the three departments of the Courts (Juvenile, Therapeutic and Superior Courts) and is unable to regularly assist with Judicial Assistant duties as the previous Superior Court Administrator did. BACKGROUND: The Planning Department, after extending the deadline, reviewed and scored two different proposals in response to the distribution of the SMP Competitive Grant— User Guide Project RFP. The Watershed Company scored higher due to their extensive experience and examples on the subject matter. The County and consultant have drafted a contract, with a Scope of Work outlined in Exhibit A. The contract has been reviewed by the County PA and the Planning Department is now requesting the Board of County Commissioners approve the contract by allowing the Chair to sign. RECOMMENDED ACTION: Board of County Commissioners shall approve the request for the chair to sign the contract between the County and The Watershed Company in order to employ the services of Watershed to complete the work outlined in the contract under Exhibit A— Scope of Work. ATTACHMENT(S): Professional Services Contract between the County and The Watershed Company. 5/17/2022 Agreement for Professional Services This Agreement, dated as of , is entered into by and between Mason County ("client")and The Watershed Company, ("consultant"). Section 1. The Services 1.1 Consultant shall perform the services described in the attached Scope of Work (Exhibit A),which is incorporated herein by this reference. 1.2 Except as otherwise specifically provided in this Agreement, consultant shall furnish the following, all as the same may be required to perform the services described in paragraph 1.1 in accordance with this Agreement; personnel, labor and supervision; technical, professional and other services. All such services, property and other items furnished or required to be furnished, together with all other obligations performed or required to be performed, by the consultant under this Agreement are sometime collectively referred to in this Agreement as"Services". 1.3 All provisions of this Agreement are intended to be complementary, and any services required by one and not mentioned in another shall be performed, to the same extent as though required by all. Details of the Services are not necessary to carry out the intent of this Agreement, but that are not expressly required, shall be performed or furnished by consultant as part of the Services, without any increase in the compensation otherwise payable under this Agreement. Section 2. Schedule 2.1 Consultants shall commence, prosecute and complete such Services on a schedule as directed by client. Section 3. Compensation 3.1 As full compensation for satisfaction performance of the Services, Client shall pay Consultant$50,000. This compensation is described in Exhibit B. 3.2 Consultant shall submit each calendar month; invoice for the compensation payable under this Agreement for the Services performed during the preceding period. Each of Consultant's invoices shall set forth a detailed description of Services performed during the applicable month, the number of hours spent performing such Services and any reimbursable costs and expenses incurred in connection with such Services. 3.3 Client shall pay each of consultant's invoices within thirty (30)days. Performance by Consultant 4.1 Consultant shall not (by contract, operation of law or otherwise) delegate or subcontract performance of any Services to any other person or entity without the prior written consent of Client. Any such delegation or subcontracting without Client's prior written consent shall be voidable at Client's option. 4.2 No delegation of subcontracting of performance of any of the Services, with or without Client's prior written consent, shall relieve Consultant of its responsibility to perform the Services in accordance with this Agreement. Consultant shall be fully responsible for the performance, acts and other omissions of Consultant's employees, Consultant's subcontractors and any other person or furnishes any services (collectively, the "Support"). 4.3 Consultants shall at all times be an independent contractor and not an agent or representative of Client with regard to performance of Services. Consultant shall not represent that it is, or hold itself out as, an agent or representative of Client. In no event shall Consultant be authorized to enter into any agreement or undertaking for or on behalf of Client. 4.4 Consultant shall perform the Services in a timely manner and in accordance with the standards of the profession. At the time of performance, Consultant shall be properly licensed, equipped, organized, and financed to perform the Services in accordance with this Agreement. Subject to compliance with the requirements of this Agreement, Consultant shall perform the Services in accordance with its own methods. 4.5 Consultants shall take all reasonable precautions to protect against any bodily injury (including death)or property damage that may occur in connection with the Services. Section 5. Compliance with Laws 5.1 Consultant shall comply with all applicable laws, ordinances, rules, regulations, orders, licenses, permits, and other requirements, now in effect, of any governmental authority (including, but not limited to, such requirements as may be imposed upon Client and applicable to the Services). Consultant shall furnish such documents as may be required to effect or evidence such compliance. All laws, rules, orders, required to be incorporated in agreement of this character are incorporated in this Agreement by this reference. Section 6. Inspection: Examination of Records 6.1 The services shall, at all times,be subject to inspection by and with the approval of client, but the making of(or failure or delay in making) such inspection or approval shall not relieve Consultant of responsibility for performance of the Services in accordance with Page 2 of 8 The Watershed Company Agreement for Professional Services this Agreement, notwithstanding client's knowledge of defective or noncomplying performance, its substantiality or the ease of its discovery. Consultant shall provide client sufficient, safe, and proper facilities and equipment for such inspection and free access to such facilities. 6.2 Consultant shall promptly furnish client with such information related in Service as may be requested consultant. Section 7. Proprietary and Confidential Information 7.1 Consultant shall not, without the prior written consent of client disclose to third parties any information received in connection with the Services unless: (a) the information is known to Consultant prior to receiving the same directly or indirectly in connection with the Services. (b) the information is in the public domain at the time of disclosure by Consultant; or (c) the information is received by Consultant from a third party who does not have an obligation to keep the same confidence. Section 8.Indemnities and Hold Harmless 8.1 To the fullest extent permitted by law, Consultant agrees to indemnify, defend and hold County and its departments,elected and appointed officials, employees, agents and volunteers,harmless from and against any and all claims,damages, losses and expenses, including but not limited to court costs,reasonable attorney's fees and alternative dispute resolution costs, for any personal injury, for any bodily injury, sickness, disease or death and for any damage to or destruction of any property(including the loss of use resulting therefrom)which 1)are caused in whole or in part by any act or omission,negligent or otherwise,of Consultant, its employees, agents or volunteers or Consultant's subconsultants and their employees, agents or volunteers; or 2)are directly or indirectly arising out of,resulting from, or in connection with performance of this Contract; or 3) are based upon Consultant's or its subconsultants' use of,presence upon or proximity to the property of County for the value of the Contract or$1,000,000,whichever is less. This indemnification obligation of the Provider shall not apply in the limited circumstance where the claim,damage, loss or expense is caused by the sole negligence of County. In the event of the concurrent negligence of Consultant, its subconsultants, employees or agents, and County, its employees or agents,this indemnification obligation of Consultant shall be valid and enforceable only to the extent of the negligence of Consultant, its subconsultants,employees and agents. This indemnification obligation of Consultant shall not be limited in any way by the Washington State Industrial Insurance Act,RCW Title 51,or by application of any other workmen's compensation act, disability benefit act or other employee benefit act, and Consultant hereby expressly waives any immunity afforded by such acts. The foregoing indemnification obligations Page 3 of 8 The Watershed Company Agreement for Professional Services of Consultant are a material inducement to County to enter into this Contract, are reflected in Consultant's compensation, and have been mutually negotiated by the parties. Section 9. Workers' Compensation and Insurance 9.1 Insurance Requirements: At a minimum, Consultant shall provide insurance that meets or exceeds the requirements detailed in "Exhibit C Insurance Requirements." 9.2 Insurance as a Condition of Payment: Payments due to Consultant under this Contract are expressly conditioned upon the Consultant's strict compliance with all insurance requirements under this Contract. Payment to Consultant shall be suspended in the event of non-compliance. Upon receipt of evidence of full compliance, payments not otherwise subject to withholding or set-off will be released to Consultant. 9.3 Proof of Insurance: A Certificate of Insurance naming County as the Certificate Holder must be provided to County within five(5) days of Contract execution. 9.4 Industrial Insurance Waiver: With respect to the performance of this Contract and as to claims against County, its officers, agents and employees, Consultant expressly waives its immunity under Title 51 of the Revised Code of Washington, the Industrial Insurance Act, for injuries to its employees and agrees that the obligations to indemnify, defend and hold harmless provided in this Contract extend to any claim brought by or on behalf of any employee of Consultant. This waiver is mutually negotiated by the parties to this Contract. 9.5 Consultant Commitments, Warranties and Representations: Any written commitment received from Consultant concerning this Contract shall be binding upon Consultant, unless otherwise specifically provided herein with reference to this paragraph. Failure of Consultant to fulfill such a commitment shall render Consultant liable for damages to County. A commitment includes, but is not limited to, any representation made prior to execution of this Contract, whether or not incorporated elsewhere herein by reference, as to performance of services or equipment, prices or options for future acquisition to remain in effect for a fixed period, or warranties. Section 10. Changes 10.1 Client may, at any time by written notice thereof to Consultant, make changes in the Services within the general scope of this Agreement (including, but not limited to, additions to or deletions from any Services, suspension of performance and change in Schedule A and location of performance). Page 4 of 8 The Watershed Company Agreement for Professional Services 10.2 If any changes under paragraph 10.1 causes an increase or decrease in cost of the time required for performance of the Services an equitable adjustment in the compensation and schedules under this Agreement shall be made to reflect such increase or decrease, and this Agreement shall be modified in writing accordingly. Such equitable adjustment shall constitute full compensation to Consultant for such change. If any change under paragraph 10.1 results in a decrease in the Services to be performed, Consultant shall not be entitled to anticipated profit on Services not performed and the loss anticipated profit shall not reduce the decrease in compensation under this Agreement resulting from such exchange. Further, Consultant shall not be entitled to any relocation of cost, profit, or overhead. 10.3 Norwithstanding any dispute or delay in arriving at a mutually acceptable equitable adjustment under paragraph 10.2, Consultant shall immediately proceed with performance of the Services as change pursuant to paragraph 10.1. If Consultant intends to assert a claim for equitable adjustment under paragraph 10.2, Consultant must, within sixty (60) days after Consultant's receipt of any notice under paragraph 10.1 that does not set forth an acceptable adjustment, submit to Client a written statement of the basis and nature of the adjustment claimed. Consultant shall not be entitled to any adjustment unless such written statement is submitted by Consultant to Client within the applicable period. Section 11.Termination 11.1 Client may, by written notice thereof to Consultant, terminate this Agreement as to all or any portion of the Services not performed, whether or not Consultant is in breach or default. Upon receipt of any such notice of termination, Consultant shall, except as otherwise directed by client, immediately stop performance of the Services to the extent specified in such notice. Consultant shall have the same termination rights as Client in Sectionl 1. 11.2 In the event of termination pursuant to paragraph 11.1, an equitable adjustment shall be made in the compensation payable to Consultant under this Agreement, provided that such compensation as so adjusted shall in no event exceed a percentage of the total compensation otherwise payable under this Agreement equal to the percentage of the Services satisfactorily completed at the time of termination. Further, Consultant shall not be entitled to any reallocation of cost, profit or overhead. Consultant shall not in any event be entitled to anticipate profit on Services not performed on account of such termination. Consultant shall use its best efforts to minimize the compensation payable under this Agreement in event of such termination. 11.3 If Client purports to terminate or cancel all or any part of this Agreement for Consultant's breach or default when Consultant is not in breach or default which would permit such termination or cancellation, such termination or cancellation shall be deemed to have been terminated by Client pursuant to paragraph 11.1 and the rights of the parties shall be determined accordingly. For the purposes of the foregoing, any transfer of a controlling interest in Consultant (e.g., by a transfer of Securities or otherwise) shall be deemed an assignment of this Agreement. Any assignment without Client's prior written consent, shall relieve Consultant from its responsibilities to perform the Services in accordance, this Agreement. Subject to the foregoing restriction on assignment by Consultant, this Agreement shall be fully binding upon, and be enforceable by the successors, assigns, and legal representatives of the respective parties to this Agreement. 12.3 The obligation of consultant under Section 6, 7, 8, 11, and 12, and all provisions of this Agreement which may reasonably be interpreted or construed as surviving the completion, termination, or cancellation of this Agreement, shall survive the completion, termination, or cancellation of this Agreement. 12.4 The rights and remedies of the Client or the Consultant set forth in any provision of this Agreement are in addition to and do not in any way limit any other rights or remedies afforded to the Client or the Consultant by any other provision of this Agreement or by law. 12.5 This Agreement sets forth the entire agreement of the parties, and supersedes any and all prior agreements, with respect to the Services. No amendment or modification of any provisions of this Agreement (other than changes pursuant to Section 10) shall be valid unless set forth in a written amendment to this Agreement signed by both parties. 12.6 The invalidity or unenforceability of any provision of this Agreement shall not affect the other provisions hereof, and this Agreement shall be construed in all respects as if such invalid or unenforceable provisions were omitted. The headings of sections of this Agreement are of any weight in the interpretation or construction of the provisions of such sections. Periodic check-ins with County staff will occur after these subsequent deliverables for further discussion and deliverable refinement. 1.2 Draft SMP User Guide and Shoreline Application forms.Watershed will review staff shoreline permitting considerations,while reviewing shoreline permit application forms.This may include an informational workflow diagram describing the SMP permitting process for applicant assistance and education.Watershed will also provide recommended edits to shoreline application forms to incorporate key SMP and related Resource Ordinance requirements, as well as data points to help the County better track no net loss. 1.3 Develop Draft Interactive Website.The Watershed team will produce an interactive website utilizing the Squarespace website builder platform to provide a visually-engaging resource for applicants and staff. Watershed will also ensure this website is compatible with Web Content Accessibility Guidelines Level AA and Section 508 of the Americans with Disabilities Act of 1990. This site will utilize Watershed illustrations and SMP Appendix B Common Line Mitigation Manual graphics wrapped in an intuitive and user-friendly format. Revised shoreline permit forms will also be built into this platform. Initial comments from the County can be incorporated to facilitate stakeholder discussion described in task 1.4 below. Finally, Watershed will investigate (for up to two hours)Squarespace's capabilities to audit site changes. 1.4 Public Outreach.Watershed will support the County's outreach efforts to Stakeholders, including Tribes, elected officials,agencies, and the public starting with a virtual flier and social media blast notifying the public of the SMP User Guide and Draft interactive website drafts.The County can take this flyer to post on the County Department of Community Services homepage, public notice posting sites and County social media platforms. Workers' Compensation on a state-approved policy form providing statutory benefits as required by law with employer's liability limits for CONTRACTOR's, with two (2) or more employees and/or volunteers, no less than $1,000,000 per accident for all covered losses. 3. Business Auto Coverage on ISO Business Auto Coverage form CA 00 01 including owned, non-owned and hired autos, or the exact equivalent. Limits shall be no less than $1,000,000 per accident, combined single limit. If CONTRACTOR owns no vehicles, this requirement may be satisfied by a non-owned auto endorsement to the general liability policy described above. If CONTRACTOR or CONTRACTOR's employees will use personal autos in any way on this project, CONTRACTOR shall obtain evidence of personal auto liability coverage for each such person. 4. Professional liability (errors & omissions) insurance. CONTRACTOR shall maintain professional liability insurance that covers the services to be performed in connection with this CONTRACT, in the minimum amount of$1,000,000 per claim and in the aggregate. Any policy inception date, continuity date, or retroactive date must be before the effective date of this CONTRACT and Consultant agrees to maintain continuous coverage through a period no less than three years after completion of the services required by this CONTRACT. 5. Excess or Umbrella Liability Insurance (Over Primary) if used to meet limit requirements, shall provide coverage at least as broad as specified for the underlying coverages. Such policy or policies shall include as insureds those covered by the underlying policies, including additional insureds. Coverage shall be "pay on behalf', with defense costs payable in addition to policy limits. There shall be no cross liability exclusion precluding coverage for claims or suits by one insured against another. Coverage shall be applicable to COUNTY for injury to employees of CONTRACTOR, subcontractors or others involved in the Work. The scope of coverage provided is subject to approval of COUNTY following receipt of proof of insurance as required herein. B. Certificate of Insurance: A Certificate of Insurance naming COUNTY as the Certificate Holder must be provided to COUNTY within five (5) days of CONTRACT execution. C. Basic Stipulations: 1. CONTRACTOR agrees to endorse third party liability coverage required herein to include as additional insureds COUNTY, its officials, employees and agents, using ISO endorsement CG 20 10 with an edition date prior to 2004. CONTRACTOR also agrees to require all subcontractors, and anyone else involved in this CONTRACT on behalf of the CONTRACTOR (hereinafter"indemnifying parties") to comply with these provisions. 15 2. CONTRACTOR agrees to waive rights of recovery against COUNTY regardless of the applicability of any insurance proceeds, and to require all indemnifying parties to do likewise. 3. All insurance coverage maintained or procured by CONTRACTOR or required of others by CONTRACTOR pursuant to this CONTRACT shall be endorsed to delete the subrogation condition as to COUNTY, or must specifically allow the named insured to waive subrogation prior to a loss. 4. All coverage types and limits required are subject to approval, modification and additional requirements by COUNTY. CONTRACTOR shall not make any reductions in scope or limits of coverage that may affect COUNTY's protection without COUNTY's prior written consent. 5 CONTRACTOR agrees upon request by COUNTY to provide complete, certified copies of any policies required within 10 days of such request. COUNTY has the right, but not the duty, to obtain any insurance it deems necessary to protect its interests. Any premium so paid by COUNTY shall be charged to and promptly paid by CONTRACTOR or deducted from sums due CONTRACTOR. Any actual or alleged failure on the part of COUNTY or any other additional insured under these requirements to obtain proof of insurance required under this CONTRACT in no way waives any right or remedy of COUNTY or any additional insured, in this or in any other regard. 6. It is acknowledged by the parties of this CONTRACT that all insurance coverage required to be provided by CONTRACTOR or indemnifying party, is intended to apply first and on a primary non-contributing basis in relation to any other insurance or self-insurance available to COUNTY. 7. CONTRACTOR agrees not to self-insure or to use any self-insured retentions on any portion of the insurance required herein and further agrees that it will not allow any indemnifying party to self- insure its obligations to COUNTY. If CONTRACTOR's existing coverage includes a self- insured retention, the self-insured retention must be declared to the COUNTY. The COUNTY may review options with CONTRACTOR, which may include reduction or elimination of the self- insured retention, substitution of other coverage, or other solutions. 8. CONTRACTOR will renew the required coverage annually as long as COUNTY, or its employees or agents face an exposure from operations of any type pursuant to this CONTRACT. This obligation applies whether or not the CONTRACT is canceled or terminated for any reason. Termination of this obligation is not effective until COUNTY executes a written statement to that effect. 9. The limits of insurance as described above shall be considered as minimum requirements. Should any coverage carried by CONTRACTOR or a subcontractor of any tier maintain insurance with limits of liability that exceed the required limits or coverage that is broader than as outlined above, those higher limits and broader coverage shall be deemed to apply for the benefit of any person or organization included as an additional insured and those limits shall become the required minimum limits of insurance in all Paragraphs and Sections of this CONTRACT. 10. None of the policies required herein shall be in compliance with these requirements if they include any limiting endorsement that has not been first submitted to COUNTY and approved of in writing. 16 11. The requirements in this Exhibit supersede all other sections and provisions of this CONTRACT to the extent that any other section or provision conflicts with or impairs the provisions of this Exhibit. 12. Unless otherwise approved by COUNTY, insurance provided pursuant to these requirements shall be by insurers authorized to do business in Washington and with a minimum A.M. Best rating of A-:VII. 13. All insurance coverage and limits provided by CONTRACTOR and available or applicable to this CONTRACT are intended to apply to the full extent of the policies. Nothing contained in this CONTRACT limits the application of such insurance coverage. 14. CONTRACTOR agrees to provide prompt notice to COUNTY of any notice of cancellation of any required policy or of any material alteration or non-renewal of any such policy, other than for non-payment of premium. CONTRACTOR shall assure that this provision also applies to any of its employees, agents or subcontractors engaged by or on behalf of CONTRACTOR in relation to this CONTRACT. 15. COUNTY reserves the right at any time during the term of the CONTRACT to change the amounts and types of insurance required by giving the CONTRACTOR ninety (90) days advance written notice of such change. If such change results in substantial additional cost to the CONTRACTOR, the COUNTY and CONTRACTOR may renegotiate CONTRACTOR's compensation. 16. Requirements of specific coverage features are not intended as limitation on other requirements or as waiver of any coverage normally provided by any given policy. Specific reference to a coverage feature is for purposes of clarification only as it pertains to a given issue and is not intended by any party or insured to be all-inclusive. 17. CONTRACTOR agrees to provide immediate notice to COUNTY of any claim or loss against CONTRACTOR arising out of the work performed under this CONTRACT. Cabot Dow is a small sole-proprietor that has extensive experience specializing in representing public sector clients in the full spectrum of compensation studies,collective bargaining matters including negotiations,mediation,and inter arbitration proceedings. Cabot Down has relevant experience working with the following Counties:Jefferson,Kitsap,Yakima, Snohomish,Thurston,Grays Harbor,Pierce,Island, Clark,and Cowlitz. Cabot Dow's fee for negotiation services is$186 per hour not to exceed$30,000 for work performed on behalf of the County negotiating union contracts on issues open for negotiations. The fee for consultation for a salary comparison study of all non-represented staff is$175 per hour not to exceed$20,000 for work performed on behalf of the County. The maximum cost under the agreement shall not exceed$50,000 unless expressly authorized by the County. Mason County has not performed a compensation study in over two decades. Many of the represented positions are evaluated against Mason County's comparable counties as part of the union negotiation process,however the non- represented positions tend to only be reviewed when there is a difficulty filling a vacancy or a high turnover rate is being experienced. The result is that many non-represented positions have not been reviewed to ensure internal equity and external competitiveness. The result of a comprehensive compensation study may assist the County in achieving success with employee recruitment,retention,pay satisfaction, and containing labor costs. Attachment(s)• Professional Services Agreement PROFESSIONAL SERVICES AGREEMENT BY AND BETWEEN MASON COUNTY,WASHINGTON AND "Cabot Dow Associates Inc" This Agreement is entered into by and between Mason County, Washington, hereinafter referred to as "the COUNTY," and Cabot Dow Inc, 2712 94t' Ave NE, Clyde Hill, WA 98004 a consultant providing labor relations services,hereinafter referred to as the "CONSULTANT." WHEREAS, the COUNTY is required by Ch. 41.56 RCW to negotiate in good faith with regard to the terms and conditions of successor labor contracts with a bargaining units of COUNTY employees; WHEREAS, the COUNTY is desirous of obtaining the services of a labor consultant to assist in negotiations involving the labor agreement covering its bargaining units; WHEREAS,the CONSULTANT has the knowledge and experience to assist and represent the COUNTY in said negotiations; NOW, THEREFORE, in consideration of the mutual benefits and conditions hereinafter contained,the parties hereto agree as follows: 1. SCOPE AND SCHEDULE OF SERVICES TO BE PERFORMED BY CONSULTANT. The CONSULTANT shall perform those services described on Exhibit A attached hereto and incorporated herein by this reference as if fully set forth. In performing such services, the CONSULTANT shall at all times comply with all Federal, State, and local statutes, rules and ordinances required of the CONSULTANT in the performance of such services and the handling of any funds used in connection therewith. The CONSULTANT shall request and obtain prior written approval from the COUNTY if the scope or schedule is to be modified in any way. 2. COMPENSATION AND METHOD OF PAYMENT. The COUNTY shall pay the CONSULTANT for negotiation services at the rate of one-hundred eighty-five dollars ($185.00) per hour not to exceed $30,000 for work performed on behalf of the COUNTY negotiating union contracts on issues open for negotiations. The COUNTY shall pay the CONSULTANT for a salary comparison study of all non-represented staff (approx. 75 classifications)at the rate of one-hundred seventy-five dollars($175.00)not to exceed$20,000 for work performed on behalf of the COUNTY. The CONSULTANT will bill the COUNTY for time spent when traveling from Clyde Hill to Mason but not for time returning to Clyde Hill. The maximum cost under this Agreement shall not exceed$50,000,unless expressly authorized by the COUNTY. The COUNTY agrees to pay the CONSULTANT monthly upon appropriate billings, which will be itemized as to date services are performed and description of services provided. 3. DURATION OF AGREEMENT.This Agreement shall be in full force and effect for a period of one year commencing upon mutual execution of this Agreement, unless sooner terminated under the provisions hereinafter specified. 4. INDEPENDENT CONSULTANT. CONSULTANT and COUNTY agree that CONSULTANT is an independent CONSULTANT with respect to the services provided pursuant 1 to this Agreement. Nothing in this Agreement shall be considered to create the relationship of employer and employee between the parties hereto.Neither CONSULTANT nor any employee of CONSULTANT shall be entitled to any benefits accorded COUNTY employees by virtue of the services provided under this Agreement. The COUNTY shall not be responsible for withholding or otherwise deducting federal income tax or social security or contributing to the State Industrial Insurance Program, or otherwise assuming the duties of an employer with respect to the CONSULTANT, or any employee of the CONSULTANT. 5. INDEMNIFICATIONIHOLD HARMLESS. CONSULTANT shall protect, indemnify, and save harmless the COUNTY, its officers, elected officials, agents, and employees from any and all costs, claims,judgments, or awards of damages (including costs and all attorney fees), arising out of or in any way resulting from the negligent acts, errors, or omissions of CONSULTANT, its officers, employees, and agents in performing this Agreement. In the event of liability for damages arising out of bodily injury to persons or damages to property caused by or resulting from the concurrent negligence of the CONSULTANT and the COUNTY,its officers, officials,employees,and volunteers,the CONSULTANT'S liability hereunder shall be only to the extent of the CONSULTANT's negligence. The provisions of this section shall survive the expiration or termination of this Agreement. 6. INSURANCE.The CONSULTANT shall procure and maintain for the duration of the Agreement, insurance against legitimate claims for injuries to persons or damage to property which may arise from or in connection with the performance of the work hereunder by the CONSULTANT, their agents, representatives, employees or sub-consultants. CONSULTANT's maintenance of insurance,its scope of coverage and limits as required herein shall not be construed to limit the liability of the CONSULTANT to the coverage provided by such insurance, or otherwise limit the COUNTY's recourse to any applicable remedy available at law or in equity. A. Minimum Scope of Insurance. CONSULTANT shall obtain insurance of the types and with the limits described below: 1. Automobile Liability insurance with a minimum combined single limit for bodily injury and property damage of $1,000,000 per accident for all activities of the CONSULTANT arising out of or in connection with Work to be performed under this Agreement. Automobile liability insurance shall cover all owned, non-owned, hired and leased vehicles. Coverage shall be written on Insurance Services Office (ISO) form CA 00 01 or a substitute form providing equivalent liability coverage. If necessary, the policy shall be endorsed to provide contractual liability coverage. 2. Commercial General Liability insurance with limits no less than $1,000,000 each occurrence, $2,000,000 general aggregate and $2,000,000 products-completed operations aggregate limit. Commercial General Liability insurance shall be written on ISO occurrence form CG 00 01 and shall cover liability arising from premises, operations, independent CONSULTANTs, products-completed operations, stop gap liability, personal injury and advertising injury, and liability assumed under an insured contract. The Commercial General Liability insurance shall be endorsed to provide the Aggregate Per Project Endorsement ISO form CG 25 03 1185 or an equivalent endorsement. There shall 2 be no endorsement or modification of the Commercial General Liability Insurance for liability arising from explosion, collapse or underground property damage. The COUNTY shall be named as an insured under the CONSULTANT's Commercial General Liability insurance policy with respect to the work performed for the COUNTY using ISO Additional Insured endorsement CG 20 10 10 01 and Additional Insured-Completed Operations endorsement CG 20 37 10 01 or substitute endorsements providing equivalent coverage. 3. Professional liability insurance appropriate for CONSULTANT's scope of work. (Waived) B. Other Insurance Provision. The CONSULTANT's Automobile Liability and Commercial General Liability insurance policies are to contain, or be endorsed to contain that they shall be primary insurance with respect to the COUNTY. Any insurance, self-insurance, or insurance pool coverage maintained by the COUNTY shall be excess of the CONSULTANT's insurance and shall not contribute with it. C. Acceptability of Insurers. Insurance is to be placed with insurers with a current A.M.Best rating of not less than A:VII.(COUNTY accepts Farmers Insurance and Hiscox) D. Verification of Coverage. CONSULTANT shall furnish the COUNTY with a copy of original certificates and a copy of the amendatory endorsements, including but not necessarily limited to the additional insured endorsement, evidencing the insurance requirements of the CONSULTANT before commencement of the work. E. Notice of Cancellation. The CONSULTANT shall provide the COUNTY and all Additional Insureds for this work with written notice of any policy cancellation, within two business days of their receipt of such notice. G. Failure to Maintain Insurance. Failure on the part of the CONSULTANT to maintain the insurance as required shall constitute a material breach of contract, upon which the COUNTY may, after giving five business days' notice to the CONSULTANT to correct the breach, immediately terminate the contract or, at its discretion, procure or renew such insurance and pay any and all premiums in connection therewith, with any sums so expended to be repaid to the COUNTY on demand, or at the sole discretion of the COUNTY, offset against funds due the CONSULTANT from the COUNTY. F. Waiver of subrogation. All insurance coverage maintained or procured pursuant to this agreement shall be endorsed to waive subrogation against COUNTY, its elected or appointed officers, agents, officials, employees and volunteers or shall specifically allow CONSULTANT or others providing insurance evidence in compliance with these specifications to waive their right of recovery prior to a loss. CONSULTANT hereby waives its own right of recovery against COUNTY,and shall require similar written express waivers and insurance clauses from each of its subcontractors. 7. RECORD KEEPING. 3 A. The CONSULTANT shall maintain accounts and records, including personnel, property, financial and programmatic records which sufficiently and properly reflect all direct and indirect costs of any nature expended and services performed in the performance of this Agreement and other such records as may be deemed necessary by the COUNTY to ensure the performance of this Agreement. B. These records shall be returned to the COUNTY once the project is completed. . 8. AUDITS AND INSPECTIONS. The records and documents with respect to all matters covered by this Agreement shall be subject at all times to inspection, review or audit by law during the performance of this Agreement. 9. TERMINATION. This Agreement may be terminated by either party upon thirty (30) days written notice. 10. DISCRIMINATION PROHIBITED. The CONSULTANT, with regard to the work performed by it under this Agreement,will not discriminate on the grounds of race, religion, creed, color, national origin, age, veteran status, sex, sexual orientation, gender identity, marital status, political affiliation or the presence of any disability in the selection and retention of employees or procurement of materials or supplies. 11. ASSIGNMENT AND SUBCONTRACT. The CONSULTANT shall not assign or subcontract any portion of the services contemplated by this Agreement without the written consent of the COUNTY. 12. ENTIRE AGREEMENT; MODIFICATION. This Agreement, together with attachments or addenda, represents the entire and integrated Agreement between the COUNTY and the CONSULTANT and supersedes all prior negotiations, representations, or agreements written or oral. No amendment or modification of this Agreement shall be of any force or effect unless it is in writing and signed by the parties. 13. SEVERABILITY AND SURVIVAL. If any term, condition or provision of this Agreement is declared void or unenforceable or limited in its application or effect,such event shall not affect any other provisions hereof and all other provisions shall remain fully enforceable. The provisions of this Agreement,which by their sense and context are reasonably intended to survive the completion, expiration or cancellation of this Agreement, shall survive termination of this Agreement. 14. (6) Any division of land that can be described by a legal subdivision of a section of not less than 1/128th of a section; (7) Any division for the purpose of leasing land for facilities providing personal wireless services while used for that purpose in accordance with 58.17.040(8) RCW. (8) Land divisions of record in the auditor's office on the effective date of this chapter; (9) Property line adjustments wherein the result does not adversely affect access or reduce the lot size below the minimum requirements; (10) Divisions which are solely for use as a private right-of-way; (11) Divisions of platted lots, which by deed restriction are made a part of an adjoining lot and which will not permit a separate building site for human occupancy or habitation, provided the divisions are approved in writing by the administrator on the legal conveyance. Dimensional requirements differ between specified zoning, each application for boundary line adjustment will be reviewed and required to meet the dimensional requirements as approved by the most recently adopted zoning ordinance at the time of review or determination of complete application. Most current code language specifies that during review,part of the criteria of review is that no approval will be given to any permit or application proposing a lot, use, or structure to be made nonconforming or more nonconforming than already existing. 8.52.210—Nonconforming uses. 17.05 Article 11. —Nonconforming Buildings and Uses ll Will not diminish or impair existing or future drainage,water supply, sanitary sewage disposal (including on-site sewage disposal) or legal access.
