ITEM : Lake Management District for Spencer Lake .
EXECUTIVE SUMMARY :
A petition was received by the County with 35 % of Spencer Lake property owners
signing in favor of creating the LMD for a 10 -year period . There are a total of 185
parcels in the LMD .
The petition states the formula of rates and charges that is to be used to establish the
2020 assessment for the LMD is 23 (twenty-three) cents per thousand valuation .
Ballots were mailed to all landowners in the LMD boundary and due by July 17 , 2019 .
There were 185 parcel ballots mailed and 112 ballots were returned by the due date .
The majority are in the affirmative to form a 10 year LMD for Spencer Lake for 2020-
2030 .
The next step is to adopt an ordinance officially creating the LMD and set a public
hearing on September 17 to hear objections . Notice of the hearing will be sent to all
landowners with instructions on how to file an objection . Objections must be in writing
and are due by September 6, 2019 .
The process to form a LMD is lengthy and in a nutshell — Commissioners determine
petition is sufficient, hold 2 hearings, adopt 3 resolutions, adopt 1 ordinance, mail and
process 1 ballot to each land owner, 3 mailings to all property owners that can include
multiple documents, 3 legal notices published .
BUDGET IMPACTS : The hard costs for the process will be paid by the Spencer Lake
Steering Committee . Staff time is not reimbursed
RECOMMENDED OR REQUESTED ACTION : On the August 13 agenda , place the
Ordinance creating Mason County Lake Management District No . 3 for Spencer Lake
and set a public hearing on Tuesday, September 17, 2019 at 9115 a . m . to hear
objections to the roll of rates and charges .

ORDINANCE NO .
AN ORDINANCE creating a Lake Management District for Spencer Lake pursuant to Chapters 36. 61 RCW, to be designated
Mason County Lake Management District No. 3 for Spencer Lake.
WHEREAS, Chapter 36 . 61 RCW authorized the Board of Mason County Commissioners to initiate the creation of lake
management districts;
WHEREAS, the Board of Mason County Commissioners found creation of a lake management district for Spencer Lake
to be in the public interest through adoption of Resolution 55- 19 ; and
WHEREAS, the proposal to create the lake management district received a majority of the votes cast by property owners
within the proposed district pursuant to RCW 36 . 61 .080 . 100 .
NOW, THEREFORE BE IT ORDAINED by the Board of County Commissioners of Mason County as follows .
Creation of District
Mason County Lake Management District No . 3 for Spencer Lake, as proposed in Resolution No . 37 - 19 adopted on May 7 , 2019 ,
is hereby created.
Conditions for District Operation
The conditions for the operation of Lake Management District No . 3 are set forth in Resolution 5549, Exhibit A hereto, which
resolution is incorporated by reference as though set forth in full. The conditions for operation set forth in Exhibit A include the
findings and determinations, with district purposes, district boundaries, duration ( 10 years) ; annual rates and charges and
provision for a steering committee.
Rates and Charges - Collection
1 . Rates and charges for Lake Management District No. 3 shall be included in Mason County' s annual property tax
statements. Properties, which do not receive a property tax statement, will receive a separate billing statement for these
rates and charges .
2 The total amount of the Lake Management District No . 3 rate and charge shall be due and payable on or before the 30th
day of April and shall be delinquent after that date; however, if one-half of such rate and charge is paid on or before the
said 3001 of April the remainder shall be due and payable on or before the 31 " day of October and shall be delinquent
after that date.
3 . If a payment is received in conjunction with a combined property tax and Lake Management District No. 3 rate and
charge, and the payment is less than the amount due, the payment shall be applied first to the annual property tax of the
parcel and any remaining due amount to the Lake Management District No . 3 rate and charge .
Severability
If any clause, sentence, paragraph, section, or provision of this Ordinance or the application thereof to any person or
circumstances shall be found to be invalid, the validity of the remaining provisions shall not be affected, and the Ordinance shall
be construed or enforced as if it did not contain the particular provision held to be invalid.

The Lodging Tax Advisory Committee ( LTAC) met on July 25 to consider the one proposal
received for Visitor Information Centers (VIC) from the North Mason Chamber of Commerce .
The request was for $ 40, 600 .
EXECUTIVE SUMMARY :
LTAC recommended awarding the $40, 600 to the North Mason Chamber for 2020 VIC services
with the option to renew the contract for an additional year . The total 2021 award for VIC's will
be up to 30 % of 2019 lodging tax revenues received .
LTAC also recommended to call for proposals for additional services that support tourism to
include Visitor Information Centers, support of tourism related facilities [as defined RCW
67 . 28 . 080 ( 7)] and activities designed to attract and welcome tourists [as defined RCW
67 . 28 . 080 (6)] . The award for Visitor Information Centers is up to $ 102, 000 and up to $ 50, 000
for other activities .
RECOMMENDED OR REQUESTED ACTION :
Award $40, 600 to the North Mason Chamber of Commerce for VIC services and call for
proposals for additional services that support tourism .

Located on busy Highway 3 in the heart of Belfair ( next to Harrison Medical Center ) , our prime location
serves as the gateway to the Olympic Peninsula for those traveling both from the North and the South . We are
within blocks of the plentiful services and businesses Belfair has to offer and are just 4 miles from Allyn to our
South and only a mile from the entry highways to both South and North shores of Hood Canal .
Our state -of-the - art, accessible facility offers plenty of parking and a clean and professional office
environment — the perfect setting for welcoming visitors, whether traveling by motorcycle , bicycle or RVs . Our
visitors enjoy clean and secure restrooms ( with entrance inside the building ) and a private conference room ,
which provides welcome comfort to those who need added assistance or a place to sit down with maps and
directories to plan their itineraries .
We house three offices in one - the Chamber, the VIC and Belfair Licensing, a wholly owned subsidiary of the
Chamber, and sub - agent of the Washington State Dept . of Licensing . We serve as a well - known clearinghouse
of information for both tourism and our local communities, county and state . Please see traffic counts below;
please note that the figures do not include other services Belfair Licensing provides, such as notary services,
nor does it include the number of guests that accompanied each customer, or those specifically going into our
dedicated VIC area . Dedicated staff: Our entire staff ( 4 full -time employees and 1 , 32 - hr/week employee )

The VIC at Hunter Farms in Union provides an invaluable service at a remote location . Since 2016, our
Chamber has partnered with Hunter Farms to offer staffed service , now open Friday-Sunday, May through
October . Hunter Farms keeps the center open year- round as well . We are proud to offer the personalized
service of two local residents — Nancy Johnson and Camas Baugh . Camas now staffs the center on Fridays . In
addition to providing guest services, Camas utilizes this time to Facebook and communicate via social media to
help draw visitors to the area . Camas also works at our Chamber office in Belfair .

3 . STATEMENT OF QUALIFICATIONS : We are uniquely positioned to serve a vast audience at
our locations . In addition to our years of experience as a JAC Mason County VIC ( since 2008 ) , and
Union ( since 2016 ) , our 4 . 5 employees ( plus part-time in Union ) are all from this area , and offer
assistance based on their personal experience . The knowledge necessary to operate Belfair Licensing
also lends itself to unique visitor information ; e . g . , our staff is proficient in all things hunting, fishing,
shellfish , Discover passes , national park passes, and more — such as vehicle and vessel licensing which
also comes in handy when it comes to those visiting our area . We also have experience in the following
areas :
a ) Providing expert personal , telephone and computer assistance in answering questions, providing
recommendations, giving directions and contact information on everything from festivals and events to
locations of parks, businesses, highways, helping educate guests about our area and its abundant
resources, attractions and recreational activities .
b ) Securing and utilizing a wide variety of printed materials including maps, pamphlets, ferry schedules
and business brochures .
c ) Assisting visitors with immediate computer searches for further information and access to our Mason
County tourism website www . ExploreHoodCanal . com .
d ) Helping our visitors locate businesses and contacts for local services and businesses through both
our Chamber and the Shelton - Mason County Chamber of Commerce .
e ) Communicating VIC information through Chamber communication tools, including email newsletters ,
handouts , website , Facebook and more , include responding to requests for information through our
ChamberMaster/website connection , which enables visitors to request maps , brochures, etc . via one -
on - one email and U . S . Mail through our office .
f) Ability to deliver maps and needed tourism brochures to local organizations, parks or business for
distribution to the public, such as the North Precinct of the Mason County Sheriff' s Office .
g ) Network of community leaders and volunteers . Our Chamber is considered a " hub " of
communication . In addition to our membership ( 320 members strong ) , the community looks to us for
information on everything from the upcoming freight highway project to inquiring whether the
beaches are open for harvesting oysters . We live here . We work here . And we all love it here . That' s
what makes our community strong .
h ) Chamber President & CEO has extensive hotel , marketing and communication experience in several
areas, including group and corporate sales, convention services, guest services , and meeting
management . She has worked for companies such as Sheraton , Weyerhaeuser, WA State Employees
Credit Union , KIN &TV, KXLY-TV and the Kitsap Sun . She holds a certification in International Business
Etiquette from the Protocol School of Washington , D . C . She is a speaker in matters of customer service ,
professional etiquette, and server training .
i ) Our Trustees and Members of our Chamber are active community leaders who also serve as
important ambassadors for our area on tourism and economic development .

4 . STRATEGY FOR MAINTAINING FAMILIARIZATION : Our training for maintaining a high
level of knowledge is ONGOING and is considered part of everyone ' s job . Information is shared as soon
as it becomes available . Our entire staff is required to know how to access information — from general
web searches to www . explorehoodcanal . com , and all state and park information , etc . Inherent in the
role of a chamber of commerce is keeping abreast of local resources, from business to recreation . In
fact, as a Chamber and VIC, we are usually the "first call " for information , making it critical for us to
stay current with what' s happening in the community . As many of our visitors are specifically
interested in festivals and events , we pride ourselves on keeping up -to - date . We list the events on our
website and promote them on both our weekly e - newsletter and reader board on Hwy 3 , and
Facebook . We seek information from Chamber members and the community through networking both
within and outside of Chamber activities . As host of our two VICs, local businesses and organizations
are invited and encouraged to communicate with us as well , providing information on events, sites,
accommodations, recreation , attractions, etc . , for dissemination through both Chamber
network/communications and the VICs . Event planners and local businesses are invited to display
posters and flyers in both our VIC and Belfair Licensing ( bulletin boards and handouts ) .

6 . MEASURES TO ASSESS IMPACT OF CONTRACT PERFORMANCE .
The Chamber has several systems in place to track visitor information and analyze the services we provide . With
regard to measuring economic impact, many of our visitors, both inhouse and over the phone , have questions about
our local businesses; i . e . , retail shops, services, etc . , as well as vacation information . We see many people who are
planning to move here as well as job seekers . Often those who come here for business ask questions about tourism ,
and those who are here on vacation seek information on moving here . We also refer requests regarding new
businesses to the Economic Development Council of Mason County, who we worked with on a county-wide Business
Builder Course for entrepreneurs in 20017 - 2018 . We have just learned that Mason County has received this federal
CDBG grant again , and we will be applying to partner again with the EDC, WSU , Enterprise for Equity, and of course ,
Mason County . While it is difficult to measure exactly how our services impact our local economy, we view every
customer/visitor encounter as an opportunity to contribute to our local economy . Once visitors see how many
services our small community offers, it inevitably helps with the overall positive impression possible investors and
future citizens experience . We pride ourselves on exposing/ promoting as many of these businesses and services as
possible through all three of our offices — Chamber, VIC and Belfair Licensing . We track activity through all of these
means --
Staff Hours — In Belfair, we are staffed Monday through Friday, 9-5 , and Saturday, 9 - 1, for a total of 44 hours a
week . Our staff includes 4 full -time and 1 part-time employee . In Union , the VIC is open 7 days a week May through
October, staffed Friday through Sunday, 12 - 5, for a total of 15 hours . Visitors are welcome all 7 days .
Phone , email , packets, walk-in traffic — Are all tracked manually daily, including home city and state and
reported to LTAC and the Mason County Commissioners quarterly — for both Union and Belfair VICs .
Website — Our website also tracks web traffic including data for page views, duration , new v . returning visitors,
geography, international visitors, and more .
Belfair Licensing - In addition , traffic is calculated by transaction in our Belfair Licensing office , which is part of
the Chamber and VIC . It offers a unique opportunity for us to promote county-wide tourism and business referrals
daily . While not every customer requests tourism information personally, often the people accompanying them do .
Dept . of Revenue Rooms Report : We also review the Department of Revenue' s Rooms Report annually to measure
the status of lodging facilities county-wide .

County Code to regulate the camping and other activities on County owned real
property including parks and property held in trust .
In the current County Code Chapter 2 . 51 there is an allowance for Special Permit for
overnight camping in Foothills and Truman Glick Parks with a limit of 2 nights . In
Resolution 65- 05, a special permit for overnight camping is allowed in Walker Park
which should be added to Chapter 2 . 51 . The special permits also have several
stipulations for health & safety guidelines .
Chapter 9 . 44 originally indicated it was for County Parks and Fairgrounds . This
chapter needed to be expanded to include County owned real property, parks and
County property held in trust . Since Mason County does not have a fairground that
wording will need to be removed . Also added in the draft of Chapter 9 . 44 is
stipulations reference Park Hosts .
The drafts of Chapter 2 . 51 and Chapter 9 . 44 were reviewed by both Deputy
Prosecutor Tim Whitehead and MCSO Chief Ryan Spurling finding no major concerns
on their part .

existing conditions, times and periods when it will be open ( usually dawn ) or closed ( usually dusk ) to the
public. Such times and periods shall be posted at the entrance to the area affected and at the facility
office . No person shall enter or be present in a county park area ^ ` the `^ ^ty faiFgFe nds after closing
time_except with specific permission of the park eF faiFgFGHRd6 manager, or a county parks eF

( a ) No person shall possess, discharge , set off or cause to be discharged , in or into any county

firecrackers, torpedoes, rockets, fireworks, explosives or substance harmful to the life or safety
of persons or property .
( b ) Provided , however, that fireworks may be permitted as a part of a professionally conducted
display by competent, licensed , bonded pyro technicians, subject to the approval of the local fire
district and the county fire marshal .

( a ) No person shall leave, deposit, drop or scatter bottles, broken glass, ashes, waste paper,
cans or other rubbish , in a county park area, eF the faiFgFewnds on county owned real property,
or on property held in trust except in a garbage can or other receptacle designed for such
purpose .
( b ) No person shall deposit any household or commercial garbage, refuse, waste or rubbish ,
which is brought as such from any private property, in any county park area,. erthe county
faiFgFOURGIs owned real property , or property held in trust garbage can designed for such
purpose .

9 .44 . 080 - Sanitation .
No person shall , in any county park area, eF the Geunty `aiFgFOURd on county owned real property or
property held in trust:
( 1 ) Drain or dump refuse or waste from any trailer, camper, automobile or other vehicle, except
in designated disposal areas or receptacles ;
( 2 ) Clean fish or other food, or wash any clothing or other article for personal household use or
any dog or other animal, except at designated areas ;
( 3 ) Clean or wash any automobile or other vehicle;
(4 ) Pollute , or in any way contaminate by dumping or otherwise depositing therein any waste or
refuse of any nature , kind or description, including human or animal bodily waste, the soil , any
stream , river, lake or other body of water running in, or adjacent to, any county park area , o+

9 .44. 090 - Firearms and/or other weapons.
No person shall possess a firearm with a cartridge in any portion of the mechanism within any county

person discharge or propel across, in or into any county park area , er the faiFgrvmivs county owned real
property, or property held in trust , a firearm , bow and arrow, spear, spear gun , harpoon or air or gas
weapon, or any device capable of injuring or killing any person or animal , or damaging or destroying any
public or private property, except where the county for good cause has authorized a special recreational

( a ) All county employees shall be encouraged to help educate the public about the sFAekiag aed
tobacco free zone policies in this chapter by reminding violators not to sraeke use tobacco
products on the property and by adding the guidelines to all use agreements and event
publications . Violators, who refuse to comply with the SMGkiRg tobacco free zone policies,
may be asked to leave the county park, of fairgFes county owned real property, or property
held in trust area .
( b ) In addition to the penalty provided in any other existing or future ordinance of the county,
failure to comply with this chapter, or any other rule or regulation of the county parks, of
faifgFee+ads county owned real property, property held in trust or with any other federal, state,
or local law, rule, regulation applicable under the circumstances, shall subject the person so
failing to comply to ejection from any county park area, er county owned real property, or
property held in trust t44s shall be guilty of a misdemeanor trespassing in the second
degree ( RCW 9A . 52 . 080) . and subject to a fine of fi4y dellaFs.

2 . 51 . 010 - Purpose .
This policy sets forth terms and conditions for the use of Foothills Park and Truman
Glick Park for overnight camping in conjunction with a special event or gathering , and ..
Walker Park for non - motorized boating around South Pudget Sound overnight
camping .

2 . 51 . 020 - Termination .
This policy shall be effective upon adoption by the board of county commissioners and
shall remain in effect unless the board of county commissioners terminates the policy
at any time with a motion of the board at any regular or special meeting .

2 . 51 . 030 - Policy .
It shall be the policy of the Mason County board of county commissioners and Mason
County parks and trails department to allow overnight camping at Foothills Park and
Truman Glick Park under the following terms and conditions :
( 1 ) Camping shall be allowed in the park only via special permit to groups
conducting a special event at the park . Camping shall be allowed only during
that portion of the year the park is open for day- use .
( 2 ) A camping permit does not provide exclusive use of the park , the general
public will still have access for the park .
( 3 ) An overnight stay permit must be obtained from the parks and trails office
in advance of arriving at the park . The group leader or event sponsor must
submit a roster with names and addresses of all individuals registered for an
overnight stay .
( 4 ) All campers must sign a liability waiver. Adult or guardian must sign for
children under eighteen .
( 5 ) Campers must camp in tents or self-contained camping units only Truman
Glick Park and Foothills Park .
( 6 ) The maximum number of individuals , tents , or self contained camping units
allowed on - site at each park site will be determined on a case by case basis by
the parks and trails department staff.
( 7 ) There is no electrical service , hookups , or sewer dump service for any
camping .

( 8 ) Overnight stays shall be limited to two consecutive nights .
( 9 ) Fee for camping at Truman Glick and Foothills Park is five dollars per
person , per night payable in advance at the parks and trails office .
( 10 ) Campers must observe all park rules governing day- use patrons , to
include no open fires , alcoholic beverages , no smoking , or firearms . Anyone
possessing alcoholic beverages , firearms , smoking or starting an open fire may
be asked to leave and /or may be subject to arrest .
( 11 ) Disruptive individuals will be asked to leave the park and/or may be
subject to arrest .
( 12 ) Quiet time at the park shall be nine p . m . through eight a . m . Campers are
expected to restrict activities to their tents or self contained camping units and
refrain from making noise during that time .
( 13 ) Tents shall be placed only in areas approved by the parks and trails staff
at Truman Glick Park and Foothills Park .
( 14 ) A damage/cleanup deposit in the amount of one hundred fifty dollars may
be required depending on the special event .
( 15 ) The responsible adult group leader shall ensure that all camp areas are
kept clean and in good condition during occupancy , and upon leaving the park ,
in order to receive a refund of the damage/cleanup deposit . An adult must be
present at all times .
( 16 ) Campers staying at Mason County parks under an overnight stay permit
shall use the facilities at their own risk . Mason County shall not be liable for
personal injuries or damages to equipment or personal property .
( 17 ) Camping at the park sites will be reserved on a first-come , first- served
basis .
( 18 ) No commercial use of the park associated with camping is allowed .
( 19 ) No amplified sound is allowed during the park quiet time ( nine p . m . to
eight a . m . )
( 20 ) Only smaller two to eight person tents are allowed . No large group tents .
( 21 ) Future camping use will be denied for failure to follow rules and
regulations .
( 22 ) Camping activities at the park sites shall be carried out to minimize the
impact to day-use patrons and scheduled use of other park facilities .

The Mason County Board of County Commissioners adopted Resolution # 5& 17 setting a
reserve and contingency policy for the County's General Fund . The attached draft proposes
revising this resolution to include Special and Other County Fund reserves, which include the
following changes and additions :
• Increase the General Fund Operating Reserve from 1245 % to 15- 20 % of the prior
year's expenditures
• Sales & Use Tax Fund Reserve
• County Road New Road Projects Fund Reserve
• County Road Fund Operating Reserve
• REET 2 Fund Reserve
• Equipment Rental & Revolving Fund Reserve
Making these changes to the original Resolution adopted in 2017 will help the County to better
account for cash flows in both the General Fund and certain Special Funds as well .

AMENDING RESOLUTION 5847
IN THE MATTER OF ESTABLISHING A FINANCIAL RESERVE AND CONTINGENCY POLICY
FOR MASON COUNTY, WASHINGTON
WHEREAS , the Mason County Board of County Commissioners , as the county
legislative authority and the Mason County Finance Committee deem it to be fiscally
responsible to maintain cash flow reserves in the County Funds and to provide sufficient
reserve funds as required by law to cover bond covenants , the smooth running of the County
and pay current obligations ;
NOW THEREFORE BE IT RESOLVED by the Mason County Board of County
Commissioners that the Financial Reserve and Contingency Policy be adopted as part of the
County Budget process to achieve the goals outlined . These goals were established by the
Mason County Board of County Commissioners beginning in 2018 over a five year period
for all reserves except the Contingency Reserve which was established beginning in 2019
over the successive next five years .
A . General Policy
The County shall maintain reserves required by law, ordinance and/or bond covenants . All
expenditures drawn from reserve accounts shall require prior Board approval unless
previously authorized by the Board for expenditure within the County' s annual budget .
The County Finance Committee will review annually the required reserve levels necessary
to meet the reserves established herein . If it is determined that the reserves should be
adjusted, the County Finance Committee shall propose an amendment to these policies .
If reserves and/or fund balances fall below required levels as set by this policy, the County
shall include within its annual budget a plan to restore reserves and/or fund balance to the
required levels .
The County ' s annual general fund budget will be adopted in the positive with expenditures
not exceeding revenues , excluding beginning and ending fund balances unless the Mason
County Board of County Commissioners develop a plan to restore the shortfall to the
reserve balances within one calendar year .
The County will allocate any funds from unanticipated excess revenues and/or unexpended
budget authority in the year following the actual recognition of these funds first to funding
reserves as set out in this policy then to other unanticipated expenditures .
All reserves will be presented in the County' s annual budget .
Be General Fund Operating Reserves
The County will maintain a General Fund Operating Reserve to provide for adequate cash
flow, budget contingencies , and insurance reserves . Under this policy, General Operating
Reserves will be budgeted in the range of 15 % - 20 % of the prior year ' s actual expenditures ,
excluding beginning and ending fund balances .
C . General Fund Contingency Reserve
The County will maintain a Contingency Fund and shall maintain a reserve equal to
$ 1 , 000 , 000 to provide a financial cushion to cover revenue shortfalls resulting from
unexpected economic changes or recessionary periods or to provide funds in the event of
major unplanned expenditures the County could face .
D . General Fund Technology Replacement Reserves
The County will maintain a Technology Replacement Reserve for replacement of costs
entity wide to cover computer hardware , software, or telephone equipment identified in the
County' s Technology Replacement listing . The required level of reserve will equal each
year' s scheduled costs . For example, if the 2019 equipment costs are budgeted at $ 100 , 000
the fund reserve balance must equal or exceed $ 100 , 000 . Contributions will be made
through assessments to the using funds and departments and maintained on a per asset basis .
E . General Fund Equipment and Vehicle Replacement Reserves
The County will maintain a General Fund reserve for the replacement of vehicles and
equipment identified on the County' s equipment replacement listing . The required level of
reserves will equal each year' s scheduled replacement costs . For example , if the 2019
equipment replacement costs are budgeted at $ 100 , 000 , the fund reserve balance must equal
or exceed $ 100, 000 . Contributions will be made through assessments to the using funds and

F . General Fund Accrued Leave Reserve
The County will maintain an Accrued Leave Reserve to cover the cost of the liability in its
Accrued Leave Account . The reserve will be at least sufficient to cover one years estimated
accrued leave payout as well as any accrued leave payouts known and required to be paid
out in future years .
G . Sales and Use Tax Fund Reserve
The County will maintain a Sales and Use Tax Fund Reserve equal to 15 % to 20 % of the
prior year ' s actual expenditures , excluding beginning and ending fund balances .
H . County Road Fund Operating Reserves
The County will maintain a County Road Fund Operating Reserve to provide for adequate
cash flow . Under this policy, General Operating Reserves will be budgeted in the range of
15 % - 20 % of the prior year ' s actual expenditures , excluding beginning and ending fund
balances .
I . County Road New Road Projects Fund Reserve
The County will maintain a County Road New Road Projects Fund Reserve equal to
$ 4 , 000 , 000 , or other amount set by the Board and adopted during the annual budget process .
J . REET 2 Fund Reserve
The County will maintain a REET 2 Fund Reserve to provide for future debt payments
within the Belfair Wastewater & Water Reclamation Fund . The reserve will increase each
year, economic conditions permitting, by up to one-half of the scheduled transfer amount
from the REET 2 Fund into the Belfair Sewer Fund until the reserve is equal to $ 3 , 000 , 000 ,
or other amount set by the Board and adopted during the annual budget process .
K . Equipment Rental & Revolving Fund Reserve
The County will maintain an Equipment Rental & Revolving Fund Balance Reserve equal
to 15 % - 20 % of the prior year ' s actual expenditures , excluding beginning and ending fund
balances .

EXECUTIVE SUMMARY.
Washington counties have three options to use county road funds to pay for traffic policing in
unincorporated areas .
1 . Divert a portion of county road property taxes into a separate and identifiable account within
the county's general fund ( RCW 36 . 82 . 040)
2 . Direct Transfer of funds from county road to the general fund
3 . Reimbursement of funds from county road to the general fund
Mason County currently uses option 1 , the diversion method , as a means to pay for traffic
policing expenditures . This method , on the surface , appears to be the most convenient .
However, there are several downsides .
1 . Causes undue hardship on the Treasurer's Office in collecting the funds
2 . Generally, there is an over-collection of diversion each year, which creates a temporary
inflated cash balance in the general fund , cash shortage in the road fund , and complicated
reversal transactions at year-end
3 . There is risk of under-collecting diversion and if under- collected , a transfer of funds may not
be done from the road fund to the general fund while using this method
The Mason County Treasurer and Budget Manager recommend the method of paying for traffic
policing change to a quarterly direct transfer method in the 2020 budget . The direct transfer
method is more transparent, less complicated , and less risky than the diversion method .

INTERAGENCY AGREEMENT

AND ITS AGENT
MASON COUNTY NOXIOUS WEED CONTROL BOARD
THIS AGREEMENT is made and entered into by and between the Washington State
Department of Agriculture (WSDA) and Mason County and its agent , Mason County Noxious
Weed Control Board ,
IT IS THE PURPOSE OF THIS AGREEMENT to provide Mason County and its agent ,
Mason County Noxious Weed Control Board , funding for a project to control invasive knotweed
species within the riparian corridors of Mason County .
THEREFORE, IT IS MUTUALLY AGREED THAT .
STATEMENT OF WORK
Mason County through its agent , Mason County Noxious Weed Control Board , shall furnish the
necessary personnel , equipment , material and/or service (s) and otherwise do all things
necessary for or incidental to the performance of the work set forth in Attachment "A" which is
attached hereto and incorporated herein .
PERIOD OF PERFORMANCE
Regardless of the date of signature and subject to its other provisions , this Agreement shall
begin on July 1 , 2019 and end on June 30 , 2021 , unless terminated sooner or extended by
WSDA as provided herein through a properly executed amendment.
PAYMENT
Compensation for the work provided in accordance with this Agreement has been established
under the terms of RCW 39 . 34 . 130 . The parties have determined that the cost of accomplishing
the work herein will not exceed $ 15 , 000 . 00 . Only reasonable costs identified in Attachment "A" ,
incurred directly related to the Mason County Knotweed Control and Eradication Program , will
be reimbursed to Mason County under this Agreement .
Payment for satisfactory performance of the work shall not exceed this amount unless the
parties mutually agree in writing to a higher amount prior to the commencement of any work that
will cause the maximum payment to be exceeded . Compensation for service (s) shall be as set
forth in accordance with the budget in Attachment " B " which is attached hereto and incorporated
herein .
Projects in riparian habitats will begin at the farthest upstream infestation and continue
downstream . This funding may not be used downstream of a landowner that has not
given written permission for entry and treatment (Attachment C ) . Any deviation requires
prior written permission from WSDA .
BILLING PROCEDURE
Mason County shall submit properly completed invoices quarterly to the WSDA Agreement
administrator. Reference WSDA Contract Number K2827 on all invoices . Payment to Mason

County for approved and completed work will be made by warrant or account transfer by WSDA
within 30 days of receipt of the properly completed invoice . If Contractor does not have an
invoice template to request payment , Contractor can request a copy of a Certified State Invoice
Voucher ( Form A- 19 ) from WS DA . Upon expiration of the Agreement , any claim for payment not
already made shall be submitted within 30 days after the expiration date or the end of the fiscal
year, whichever is earlier. In no case can this be more than 10 days past the end of the
biennium .
DUPLICATION OF BILLED COSTS
The Contractor shall not bill the Agency for services performed under this contract , and the
Agency shall not pay the Contractor, if the Contractor has been or will be paid by any other
source , including grants , for that service .
FUNDING CONTINGENCY
In the event funding from state , federal , or other sources is withdrawn , reduced , or limited in any
way after the effective date of this Agreement and prior to completion of the work in this
Agreement , the Agency may:
a . Terminate this Agreement with 10 days advance notice . If this Agreement is terminated ,
the parties shall be liable only for performance rendered or costs incurred in accordance
with the terms of this Agreement prior to the effective date of termination .
b . Renegotiate the terms of the Agreement under those new funding limitations and
conditions .
c . After a review of project expenditures and deliverable status , extend the end date of this
Agreement and postpone deliverables or portions of deliverables . Or,
d . Pursue such other alternative as the parties mutually agree to writing .
RECORDS MAINTENANCE
The parties to this Agreement shall each maintain books , records , documents and other
evidence that sufficiently and properly reflect all direct and indirect costs expended by either
party in the performance of the services described herein . Documents must also support
performance and costs of any nature expended in the performance of this Agreement . These
records shall be subject to inspection , review or audit by personnel of both parties , other
personnel duly authorized by either party , the Office of the State Auditor, and federal officials so
authorized by law. All books , records , documents and other material relevant to this Agreement
will be retained for six years after expiration of the Agreement and the Office of the State
Auditor, federal auditors and any persons duly authorized by the parties shall have full access
and the right to examine any of these materials during this period .
If any litigation , claim or audit is started before the expiration of the six (6 ) year period , the
records shall be retained until all litigation , claims , or audit findings involving the records have
been resolved .
Records and other documents , in any medium , furnished by one party to this Agreement to the
other party , will remain the property of the furnishing party , unless otherwise agreed . The
receiving party will not disclose or make available this material to any third parties without first
giving notice to the furnishing party and giving it a reasonable opportunity to respond , consistent

with applicable laws . Each party will utilize reasonable security procedures and protections to
assure that records and documents provided by the other party are not erroneously disclosed to
third parties .
RIGHTS IN DATA
Unless otherwise provided , data that originates from this Agreement shall be "works for hire" as
defined by the U . S . Copyright Act of 1976 and shall be owned by WSDA . Data shall include ,
but not be limited to , reports , documents , pamphlets , advertisements , books , magazines ,
surveys , studies , computer programs , films , tapes and /or sound reproductions . Ownership
includes the right to copyright , patent , register, and the ability to transfer these rights .
INDEPENDENT CAPACITY
The employees or agents of each party who are engaged in the performance of this Agreement
shall continue to be employees or agents of that party and shall not be considered for any
purpose to be employees or agents of the other party.
AGREEMENT ALTERATIONS AND AMENDMENTS
This Agreement may be amended by mutual agreement of the parties . Such amendments shall
not be binding unless they are in writing and signed by personnel authorized to bind each of the
parties .
SUBCONTRACTING
" Subcontractor" means one not in the employment of a party to this Agreement , who is
performing all or part of those services under this Agreement under a separate contract with a
party to this Agreement . The terms "subcontractor" and "subcontractors" mean subcontractor(s )
in any tier.
Except as otherwise provided in the Agreement , the Contractor shall not subcontract any of the
contracted services without the prior approval of the Agency . The Contractor is responsible to
ensure that all terms , conditions , assurances and certifications set forth in this Agreement are
included in any and all Subcontracts . Any failure of Contractor or its Subcontractors to perform
the obligations of this Agreement shall not discharge Contractor from its obligations under this
Agreement .
TERMINATION FOR CONVENIENCE
Either party may terminate this Agreement upon 30 days' prior written notification to the other
party . If this Agreement is so terminated , the parties shall be liable only for performance
rendered or costs incurred in accordance with the terms of the Agreement prior to the effective
date of termination .
TERMINATION FOR CAUSE
If for any cause , either party does not fulfill in a timely and proper manner its obligations under
this Agreement , or if either party violates any of these terms and conditions , the aggrieved party
will give the other party written notice of such failure or violation . The responsible party will be
given the opportunity to correct the violation or failure within 15 working days of receipt of
written notice . If the failure or violation is not corrected , this Agreement may be terminated
immediately upon receipt of written notice of the aggrieved party to the other.
CONFLICT OF INTEREST
WSDA may , by written notice to Mason County , terminate this Agreement if it is found after due
notice and examination by the Director of the Department of Agriculture , and/or the designee

authorized in writing to act on the Director' s behalf, that there is a violation of the State Ethics
Law , chapter 42 . 52 RCW; chapter 42 . 23 RCW; or any similar statute involving Mason County in
the procurement of or performance under this Agreement . Unless stated otherwise , the
signatory of this Agreement is the Director' s designee .
In the event this Agreement is terminated as provided above , WSDA shall be entitled to pursue
the same remedies against Mason County and its agent , Mason County Noxious Weed Control
Board , as it could pursue in the event of a breach of the Agreement by Mason County or its
agent , Mason County Noxious Weed Control Board . The rights and remedies of WSDA
provided for in this clause shall not be exclusive and are in addition to any other rights and
remedies provided by law . The existence of facts upon which the Director of the Department of
Agriculture , and /or the designee authorized in writing to act on the Director' s behalf, makes any
determination under this clause shall be an issue and may be reviewed as provided in the
" Disputes" clause of this Agreement .
DISPUTES
In the event that a dispute arises under this Agreement , it shall be determined by a Dispute
Board in the following manner: Each party to this Agreement shall appoint one member to the
Dispute Board . The members so appointed shall jointly appoint an additional member to the
Dispute Board . The Dispute Board shall review the facts , agreement terms and applicable
statutes and rules and make a determination of the dispute . The determination of the Dispute
Board shall be final and binding on the parties hereto .
GOVERNING LAW AND VENUE
This Agreement shall be construed and interpreted in accordance with the laws of the state of
Washington and the venue of any action brought under this Agreement shall be in Superior
Court for Thurston County .
ASSURANCES
The parties agree that all activity pursuant to this Agreement shall be in accordance with all
applicable federal , state and local laws , rules , and regulations as they currently exist or as
amended .
LICENSING BONDING INDUSTRIAL INSURANCE AND OTHER INSURANCE COVERAGE
Mason County and its agent , Mason County Noxious Weed Control Board , shall ensure that all
contractors hired to perform services under this Agreement shall comply with all applicable
licensing and bonding requirements for the type of service to be performed , and with the
provisions of Title 51 , Industrial Insurance . Mason County and its agent , Mason County
Noxious Weed Control Board , shall also ensure that all contractors provide proof of an adequate
amount of commercial general liability insurance coverage for the activities to be performed
under any subcontract.
ORDER OF PRECEDENCE
In the event of an inconsistency in the terms of this Agreement , or between its terms and any
applicable statute or rule , the inconsistency shall be resolved by giving precedence in the
following order:
a . Applicable state and federal statutes and rules ;
b . Terms and conditions contained within this Contract ;
c . Plan of Work (Attachment A) ;
d . Budget (Attachment B ) ;

e . Permission to Enter Private Land and Waiver of Liability (Attachment C) ; and
f. Any other provisions of the Agreement , including material incorporated by
reference .
ASSIGNMENT
Mason County and its agent , Mason County Noxious Weed Control Board , are responsible for
ensuring that all terms , conditions , assurances and certifications set forth in this Agreement are
carried forward to any subcontracts . In no event shall the existence of any subcontract operate
to release or reduce the liability of Mason County and its agent , Mason County Noxious Weed
Control Board , to WSDA for any breach in the performance of Mason County and its agent
Mason County Noxious Weed Control Board ' s duties .
WAIVER
A failure by either party to exercise its rights under this Agreement shall not preclude that party
from subsequent exercise of such rights and shall not constitute a waiver of any other rights
under this Agreement . Waiver of any default or breach shall not be deemed to be a waiver of
any subsequent default or breach . Any waiver shall not be construed to be a modification of the
terms of this Agreement unless stated to be such in writing signed by an authorized
representative of the party and attached to the original Agreement .
SEVERABILITY
If any term or condition of this Agreement is held invalid , such invalidity shall not affect the
validity of the other terms or conditions of this Agreement .

ALL WRITINGS CONTAINED HEREIN
This Agreement contains all the terms and conditions agreed upon by the parties . No other
understandings , oral or otherwise , regarding the subject matter of this Agreement shall be
deemed to exist or to bind any of the parties hereto .

Project for Knotweed Control
July 1 , 2019 to June 30 , 2021
County Knotweed Control Criteria :
Mason County through its agent, Mason County Noxious Weed Control Board , will conduct
control work on knotweed infestations located within the riparian corridors of Mason County .
The control of any knotweed species not located in a riparian corridor requires written
permission from the WSDA knotweed coordinator prior to any treatments or work completed .
Treatment of these areas will utilize funding allotted by the state legislature for control of
knotweed species during the 2020-2021 state fiscal biennium . Control shall include field survey
directly associated with areas to be treated .
Minimum work specifications : workers will be hired or contracted to treat knotweed infestations
known or discovered in the area identified above . Mason County knotweed control employees
or contractors will use an integrated weed management approach , in conjunction with the best
management practice for the control of invasive knotweed species . Projects in riparian habitats
will begin at the farthest upstream infestation and continue downstream . This funding may not
be used downstream of a landowner that has not given written permission for entry and
treatment (Attachment C) . Funding stops where permission stops . All control methods will
be employed consistent with the laws , rules and regulations of Washington State , Mason
County , the Noxious Emergent Plant Management Environmental Impact Statement ( EIS ) first
published in November 1993 , and all subsequent amendments to the EIS .
Mason County , or subcontractors to Mason County , must enter into a contract with WSDA
under which Mason County , or subcontractors to Mason County , act as limited agents to carry
out noxious and quarantine weed control for WSDA under the "Aquatic Noxious Weed Control
National Pollutant Discharge Elimination System Waste Discharge General Permit" ( NPDES
permit) prior to the performance of any activity pursuant to this Agreement that discharges
herbicides directly into streams or rivers , or indirectly into streams , rivers , estuaries , wetlands ,
along lake shorelines , or in other wet areas . Herbicide treatments may only occur at times
allowed under provisions of the NPDES permit and must comply with conditions specified in
such permit .
The crew will work closely with the county noxious weed coordinator and the WSDA Knotweed
Control Coordinator, and be active in the field from July 1 , 2019 to June 30 , 2021 , as allowed by
the variable growth season of knotweed and any required preparation or conclusion times .
Work will only take place on property for which the Mason County Noxious Weed Control Board
has obtained prior written permission for entry and treatment , utilizing the permission form
provided by WSDA (Attachment C ) or any applicable permission form approved by WSDA, from
the landowner or tenant . Mason County Noxious Weed Control Board will also provide access
to these properties for the WSDA Knotweed Control Coordinator. Changes made to any
permission form must be approved by WSDA prior to the performance of any work on that
property undertaken under terms of this Agreement .

Work Crew and Work Hours :
The knotweed control crew will work or be under contract with the county noxious weed control
board during the specified period , dedicating their time to controlling knotweed in the project
area .
The control crew will have one crew leader who will be responsible for coordinating the crew' s
work , and who will maintain ongoing contact with the county noxious weed coordinator and the
WSDA Knotweed Control Coordinator.
Equipment:
The knotweed control crew will use all available tools for control , including manual controls and
herbicide applications , to control knotweed infestations in Mason County . The control crew may
use equipment provided by other agencies , provided the county noxious weed coordinator and
the WSDA Knotweed Control Coordinator agree to the usage of the equipment and materials .
Program Needs Provided by WSDA :
WSDA may furnish the knotweed control crew with herbicide , public information fliers , public
notification signs , and other equipment as the WSDA Knotweed Control Coordinator deems
necessary . All unexpended items remain the property of WSDA .
Expenditures :
The funds provided for the county knotweed control crew will primarily go towards salaries and
benefits , travel , supplies and equipment expenses for the crewmembers . All supplies furnished
by WSDA will be used in Washington State and under the supervision of county personnel . An
inventory list will be furnished to WSDA upon request . Items such as computer programs ,
models , food and beverage , or other costs not specified in this document will not be reimbursed
unless the expenditure is specifically authorized in advance in writing by WSDA .
Coordination :
The Mason County Knotweed Control Program will be coordinated with state , local and private
control efforts .
Deliverables :
The county noxious weed coordinator will submit a written report to the WSDA Agreement
administrator, documenting the work conducted in Mason County , as follows : A season ending
report is due December 1 , 2019 and December 1 , 2020 , which will include the following : date (s )
of control activities , map of project area (s ) , the type of control conducted , difficulties
encountered , solid acres of knotweed treated , acres of knotweed protected , number of river
miles worked , number of landowners assisted , and photo documentation of selected sites ,
including before and after treatment photos . The county noxious weed coordinator will supply
WSDA with all geographic information system data that is generated as a result of this
Agreement. Final payment under this Agreement will not be made until the season ending report
is accepted by WSDA .
These deliverables are separate from and in addition to any reporting requirements associated
with limited agent status under WSDA's Aquatic Noxious Weed Control NPDES General Permit
coverage .

PERMISSION TO ENTER PRIVATE LAND AND WAIVER OF LIABILITY
THIS AGREEMENT INCLUDES PERMISSION TO ENTER PRIVATE PROPERTY AND A WAIVER
OF CERTAIN CLAIMS OF LIABILITY . READ CAREFULLY BEFORE SIGNING .
This Permission to Enter Private Land and Waiver of Liability is made between the Mason County Noxious
Weed Control Board, hereafter referred to as "the Board, " and
hereafter referred to individually or collectively as "the property owner(s ) . "
INTRODUCTION
1 . The control and eradication of noxious weeds on public and private lands is in the public interest and the
presence of invasive knotweeds (Polygonum spp . ) on private lands threatens wildlife habitat and provides
a source for renewed infestation of other private and public lands . Effective eradication of knotweeds
requires concerted effort on both public and private lands to protect our natural resources .
2 . The Board and its agents desire to perform activities to eradicate and/or control knotweed on public and
private lands within Mason County . These activities are authorized and carried out under one or more of
the following chapters : 17 . 04 RCW, 17 . 06 RCW, 17 . 10 RCW, and 17 .24 RCW.
3 . The property owner(s) is/are the sole owner of property located at
in Mason County, Washington, hereafter referred to as "the property . "
4 . The property owner(s) is/are interested in and benefited by the eradication and/or control of knotweed on
the property .
5 . The property owner(s) and the Board desire to memorialize an agreement for the purpose of eradication
and/or control of knotweed on the property .
AGREEMENT
L Permission . In consideration of the benefits described above, the property owner(s) grant permission to
the Board and its agents , contractors , cooperators and employees to enter onto the property from July 1 ,
2019 to December 31 , 2023 to perform activities to eradicate and/or control knotweed on the property .
The property owner(s) acknowledge and agree that these activities may include the application of
herbicide to the property .
The property owner(s) also grant permission to agents , contractors , cooperators and employees of the
Washington State University and/or the Washington State Department of Agriculture to enter onto the
property from July 1 , 2019 to December 31 , 2023 for the purpose of monitoring and evaluating the
success of knotweed eradication and/or control activities .
2 . Expiration and Revocation . The Board and its agents , contractors , cooperators and employees are
permitted to enter the property on all of the above dates and until December 31 , 2023 , or until this
permission is revoked, whichever occurs first. The property owner(s) may revoke this permission by

presenting a written letter of revocation to the Board. The revocation is effective five (5) business days
after receipt by the Board.
3 . Liability Waiver. The purpose of entry onto the property is to perform activities to eradicate and/or control
knotweed. The property owner(s) expressly agree to hold harmless the Board, the Washington Department of
Agriculture (WSDA), and the agents, contractors, cooperators and employees of the Board, or WSDA, and to
waive any claim of liability against the Board, WSDA, and the agents, contractors, cooperators and
employees of the Board, or WSDA, for any injury, damage, or harm which is the logical and intended
consequence of activities properly performed to eradicate and/or control knotweed.
The Board and its agents, contractors, cooperators and employees agree to waive any claim of liability against
the landowner for any injury, damage, or harm which is not the consequence of the landowner' s negligence.
As to any other act or omission of either party under this agreement, each party shall be responsible for its
own acts or omissions and those of its officers, employees and agents under this agreement. No party to this
agreement shall be responsible to the other for the acts or omissions of entities or individuals not a party to
this agreement.
4 . Entire Aureement. This Permission to Enter Private Land and Waiver of Liability contains the entire
agreement between the parties with regard to the matters set forth herein.
5 . Applicable Law. This Permission to Enter Private Land and Waiver of Liability shall be construed and
interpreted according to the laws of the State of Washington.
BY THE SIGNATURE BELOW, THE PROPERTY OWNER(S) DECLARE THAT THE TERMS OF
THIS PERMISSION TO ENTER PRIVATE LAND AND WAIVER OF LIABILITY HAVE BEEN

RE : 2019 United Ways Day of Caring — Free Dump Day
In partnership with Mason County Public Works and Republic Services, United Way of Mason
County will be handing out vouchers for the final Mason County free dump day of this year .
Vouchers will be handed out to 300 Mason County residents, on a first-come first-serve basis
to be redeemable on September 6 , 2019 at the Mason County Landfill at 501 E Eells Hill
Road , Shelton , WA .
Starting August 1 , 2019 vouchers will be available Monday- Friday 10am - 2pm at the United
Way of Mason County's office located at 536 W Railroad Ave, Shelton WA . To receive a
voucher you must fill out the required paper work, have a valid ID and proof of Mason County
address . Vouchers will only cover 1 , 000lbs of household garbage, tires and appliances
anything over will be charged to customer .
For any questions, please contact United Way of Mason County at ( 360 ) 426 - 4999 and for
rules and restrictions for household garbage ( 360 ) 427- 5271 . More information regarding the
voucher process and items covered and not covered by the voucher is available on the Mason

ITEM : Skokomish Ecosystem Restoration - Project Partnership Agreement
EXECUTIVE SUMMARY :
This briefing is to provide an advance review of a construction project partnership agreement
( PPA) for ecosystem restoration work in the Skokomish valley . Additionally, the Seattle
District Army Corps of Engineers requests return of the three attached certifications by
August 6th in preparation for executing an agreement in early September, 2019 . Executing
the PPA will obligate Mason County to the following :
■ Continuing staff support through construction (finance, engineering , O&M ) .
■ Providing real property interests necessary for project construction .
■ Conducting investigations to identify hazardous substances that may exist on real
property and notify if found .
■ Submitting real estate documentation for review and crediting .
■ 35 % of construction costs ( less real estate crediting ) .
■ Post-construction project operation , maintenance, repair, rehab and replacement .
■ Preventing encroachments or obstructions on the project after construction .
Executing the PPA prohibits the county from using any of the real property interests for
wetland banks or mitigation crediting . Non - Federal sponsors are also generally prohibited
from using federal program funds to meet the 35 % financial obligation .
BUDGET IMPACT :
Executing this PPA in September will commit Non - Federal sponsors Mason County, the
Skokomish Indian Tribe and State Department of Natural Resources to a 35 % contribution
towards project construction . Estimated project costs at this time are approximately $ 22
million based on 65 % design completion . As the design moves to 100 % completion project
costs are anticipated to be $ 20 million . The local share will be met with grant funds, most of
which have been awarded to the Mason Conservation District .
PUBLIC OUTREACH :
Public outreach has been on -going and in several ways throughout the many years of this
planned project . A signing ceremony is planned for PPA execution .

FOR
SKOKOMISH RIVER BASIN ECOSYSTEM RESTORATION PROJECT
THIS AGREEMENT is entered into this day of , by and between the
Department of the Army (hereinafter the "Government"), represented by the U. S . ARMY
ENGINEER, SEATTLE DISTRICT (hereinafter the "District Engineer") and MASON
COUNTY„ THE SKOKOMISH INDIAN TRIBE (hereinafter the "Non-Federal Sponsors") ,
represented by its Chair, Mason County Board of Commissioners and the Chair, Skokomish
Tribal Council , and the STATE OF WASHINGTON, DEPARTMENT OF NATURAL
RESOURCES (hereinafter "DNR"), represented by the Commissioner of Public Lands
respectively.
WITNESSETH, THAT :
WHEREAS , construction of the Skokomish River Basin Ecosystem Restoration
Project (hereinafter the "Project", as defined in Article I.A. of this Agreement) was authorized
by Congress in Section 1401 of the Water Infrastructure Improvements for the Nation Act
of 2016 (Public Law 114-322 , December 16, 2016).
WHEREAS , Section 103 of the Water Resources Development Act of 1986 , Public Law
99-662, as amended (33 U. S . C. 2213 ), specifies the cost-sharing requirements applicable to the
Project;
WHEREAS , the Non-Federal Sponsors have waived reimbursement for the value of real
property interests and relocations that exceed 35 percent of construction costs ; and
WHEREAS , the Government and the Non-Federal Sponsors have the full authority and
capability to perform in accordance with the terms of this Agreement and acknowledge that
Section 221 of the Flood Control Act of 1970 , as amended (42 U. S . C . 1962d-5b), provides that
this Agreement shall be enforceable in the appropriate district court of the United States ; and
WHEREAS , the Government and the DNR have the full authority and capability to
perform in accordance with the terms of this Agreement provided the responsibility of the DNR
shall be limited to providing certain lands, easements, and rights-of--way for the Project that are
owned by the State of Washington and administered by DNR.
NOW , THEREFORE, the parties agree as follows :
ARTICLE I - DEFINITIONS
A. The term "Project" means the Skokomish Project including a levee removal, a side
channel reconnection, placement of large woody debris in the upstream reaches of the
river, and wetland restoration at two sites as generally described in the Skokomish River
Basin Ecosystem Restoration Integrated Feasibility Report and Environmental Impact
Statement dated April, 2015 and approved by the Chief of Engineers, on December 14, 2015
(hereinafter the "Decision Document") .
B . The term "construction costs" means all costs incurred by the Government and Non-
Federal Sponsors in accordance with the terms of this Agreement that are directly related to
design and construction of the Project and cost shared. The term includes, but is not necessarily
limited to : the Government' s costs and the Non-Federal Sponsors ' creditable contributions
pursuant to the terms of the Design Agreement executed on August 12, 2016; the costs of
historic preservation activities except for data recovery for historic properties ; the Government' s
costs of engineering, design, and construction, including cost shared monitoring and adaptive
management, if any; the Government' s supervision and administration costs ; the Non-Federal
Sponsors ' creditable costs for providing real property interests and relocations and for providing
in-kind contributions, if any. The term does not include any costs for operation, maintenance,
repair, rehabilitation, or replacement; dispute resolution; participation by the Government and
the Non-Federal Sponsors in the Project Coordination Team to discuss significant issues and
actions ; or audits ; or the Non-Federal Sponsors ' cost of negotiating this Agreement.
C. The term "real property interests" means lands, easements, and rights-of-way,
including those required for relocations and borrow and dredged material placement areas .
Acquisition of real property interests may require the performance of relocations .
D . The term "relocation" means the provision of a functionally equivalent facility to the
owner of a utility, cemetery, highway, railroad, or public facility when such action is required in
accordance with applicable legal principles of just compensation. Providing a functionally
equivalent facility may include the alteration, lowering, raising, or replacement and attendant
demolition of the affected facility or part thereof.
E. The term "functional portion thereof' means a portion of the Project that has been
completed and that can function independently, as determined in writing by the District
Commander for Seattle District (hereinafter the "District Commander"), although the remainder
of the Project is not yet complete.
F . The term "cost shared monitoring" means those activities, including the collection and
analysis of data, for a period not to exceed 10 years, that the Government identifies as necessary
to determine if predicted outputs of the Project are being achieved and to determine if adaptive
management is necessary, as generally described in the Decision Document. The term does not
include monitoring after the Division Commander for Northwestern Division (hereinafter the

"Division Commander") has determined that ecological success has been achieved or monitoring
beyond the 10-year period, with any such monitoring the responsibility of the Non-Federal
Sponsors, at no cost to the Government.
G. The term "cost shared adaptive management" means physical modifications to the
Project, in response to the cost shared monitoring results to ensure the functionality and benefits of
the Project are garnered, as explicitly described in the performance standards section of the adaptive
management plan or other sections in the Decision Document. The term does not include
operational changes, which are the responsibility of the Non-Federal Sponsors, at no cost to the
Government, as part of operation and maintenance of the Project.
H. The term "in-kind contributions" means those materials or services provided by the
Non-Federal Sponsors that are identified as being integral to the Project by the Division
Commander. To be integral to the Project, the material or service must be part of the work that
the Government would otherwise have undertaken for design and construction of the Project.
The in-kind contributions also include any investigations performed by the Non-Federal
Sponsors to identify the existence and extent of any hazardous substances that may exist in, on,
or under real property interests required for the Project.
I. The term "fiscal year" means one year beginning on October 1St and ending on
September 30th of the following year.
J. The term "Maximum Cost Limit" means the statutory limitation on the total cost of the
Project, as determined by the Government in accordance with Section 902 of the Water
Resources Development Act of 1986, as amended, if applicable to the Project, and Government
regulations issued thereto .
K. The term "DNR Parcel" means aquatic lands owned by the State of Washington and
administered by DNR that are located along the Skokomish River from River Mile 3 to River
Mile 11 within the project footprint, approximately on, in or adjacent to Sections 7, 8 , 9 , 13 , 14,
15 , 16, 17, and 18 , Township 21 North, Range 4 West, and Sections 1 , 12, and 13 , Township 21
North, Range 5 West, in Mason County, Washington.
ARTICLE 11 - OBLIGATIONS OF THE PARTIES
A. In accordance with Federal laws, regulations, and policies, the Government shall
undertake construction of the Project using funds appropriated by the Congress and funds
provided by the Non-Federal Sponsors .
B . The Non-Federal Sponsors shall contribute 35 percent of construction costs , as
follows :

1 . In accordance with Article III, the Non-Federal Sponsors and DNR shall
provide the real property interests and relocations required for construction, operation, and
maintenance of the Project.
2 . In providing in-kind contributions, if any, the Non-Federal Sponsors shall
obtain all applicable licenses and permits necessary for such work. As functional portions of the
work are completed, the Non-Federal Sponsors shall begin operation and maintenance of such
work. Upon completion of the work, the Non-Federal Sponsors shall so notify the Government
within 30 calendar days and provide the Government with a copy of as-built drawings for the
work.
3 . After considering the estimated amount of credit that will be afforded to the
Non-Federal Sponsors pursuant to paragraphs B . 1 . and B .2 . , above, the Government shall
determine the estimated amount of funds required from the Non-Federal Sponsors to meet its 35
percent cost share for the then-current fiscal year. No later than 60 calendar days after receipt of
notification from the Government, the Non-Federal Sponsors shall provide the full amount of
such required funds to the Government in accordance with Article VI.
4 . No later than August 1St prior to each subsequent fiscal year, the Government
shall provide the Non-Federal Sponsors with a written estimate of the full amount of funds
required from the Non-Federal Sponsors during that fiscal year to meet their cost share . Not
later than September 1St prior to that fiscal year, the Non-Federal Sponsors shall provide the full
amount of such required funds to the Government in accordance with Article VI.
C . To the extent practicable and in accordance with Federal law, regulations, and
policies, the Government shall afford the Non-Federal Sponsors the opportunity to review and
comment on solicitations for contracts, including relevant plans and specifications, prior to the
Government' s issuance of such solicitations ; proposed contract modifications, including change
orders; and contract claims prior to resolution thereof. Ultimately, the contents of solicitations,
award of contracts, execution of contract modifications, and resolution of contract claims shall
be exclusively within the control of the Government.
D . The Government, as it determines necessary, shall undertake actions associated with
historic preservation, including, but not limited to, the identification and treatment of historic
properties as those properties are defined in the National Historic Preservation Act (NHPA) of
1966, as amended. All costs incurred by the Government for such work (including the
mitigation of adverse effects other than data recovery) shall be included in construction costs and
shared in accordance with the provisions of this Agreement. If historic properties are discovered
during construction and the effect(s) of construction are determined to be adverse, strategies shall
be developed to avoid, minimize or mitigate these adverse effects. In accordance with 54 U. S . C .
312507, up to 1 percent of the total amount authorized to be appropriated for the Project may be
applied toward data recovery of historic properties and such costs shall be borne entirely by the
Government. In the event that costs associated with data recovery of historic properties exceed 1
percent of the total amount authorized to be appropriated for the Project, in accordance with 54
U . S . C . 312508 , the Government will seek a waiver from the 1 percent limitation under 54 U. S . C .
312507 and upon receiving the waiver, will proceed with data recovery at full federal expense.

Nothing in this Agreement shall limit or otherwise prevent the Non-Federal Sponsors from
voluntarily contributing costs associated with data recovery that exceed 1 percent.
E . When the District Commander determines that construction of the Project, excluding
cost shared monitoring and adaptive management, or a functional portion thereof, is complete,
within 30 calendar days of such determination, the District Commander shall so notify the Non-
Federal Sponsors in writing and the Non-Federal Sponsors , at no cost to the Government, shall
operate, maintain, repair, rehabilitate, and replace the Project, or such functional portion thereof.
The Government shall furnish the Non-Federal Sponsors with an Operation, Maintenance,
Repair, Rehabilitation, and Replacement Manual (hereinafter the "OMRR&R Manual") and
copies of all as-built drawings for the completed work. The Government shall provide the Non-
Federal Sponsors with an updated OMRR&R Manual and as-built drawings , as necessary, based
on the cost shared monitoring and adaptive management.
1 . The Non-Federal Sponsors shall conduct operation, maintenance, repair,
rehabilitation, and replacement responsibilities in a manner compatible with the authorized
purpose of the Project and in accordance with applicable Federal laws and specific directions
prescribed by the Government in the OMRR&R Manual. The Government and the Non-Federal
Sponsors shall consult on any subsequent updates or amendments to the OMRR&R Manual .
2 . The Government may enter, at reasonable times and in a reasonable manner,
upon real property interests that the Non-Federal Sponsors now or hereafter owns or controls to
inspect the Project, and, if necessary, to undertake any work necessary to the functioning of the
Project for its authorized purpose. If the Government determines that the Non-Federal Sponsors
are failing to perform their obligations under this Agreement and the Non-Federal Sponsors do
not correct such failures within a reasonable time after notification by the Government, the
Government, at its sole discretion, may undertake any operation, maintenance, repair,
rehabilitation, or replacement of the Project. No operation, maintenance, repair, rehabilitation, or
replacement by the Government shall relieve the Non-Federal Sponsors of their obligations
under this Agreement or preclude the Government from pursuing any other remedy at law or
equity to ensure faithful performance of this Agreement.
F . The Non-Federal Sponsors shall prevent obstructions or encroachments on the Project
(including prescribing and enforcing regulations to prevent such obstructions or encroachments)
that might reduce the outputs produced, hinder operation and maintenance, or interfere with the
proper function of the Project.
G . The Non-Federal Sponsors shall not use the Project, or real property interests required
for construction, operation, and maintenance of the Project, as a wetlands bank or mitigation
credit for any other project.
H. The Non-Federal Sponsors shall not use Federal program funds to meet any of its
obligations under this Agreement unless the Federal agency providing the funds verifies in
writing that the funds are authorized to be used for the Project. Federal program funds are those
funds provided by a Federal agency, plus any non-Federal contribution required as a matching
share therefor.

I. In carrying out its obligations under this Agreement, the Non-Federal Sponsors shall
comply with all the requirements of applicable Federal laws and implementing regulations,
including, but not limited to : Section 601 of the Civil Rights Act of 1964 (P .L . 88 -352), as
amended (42 U. S . C . 2000d) , and Department of Defense Directive 5500 . 11 issued pursuant
thereto ; the Age Discrimination Act of 1975 (42 U . S . C . 6102) ; and the Rehabilitation Act of
1973 , as amended (29 U. S . C . 794) , and Army Regulation 600-7 issued pursuant thereto .
J . In addition to the ongoing, regular discussions of the parties in the delivery of the
Project, the Government and the Non-Federal Sponsors may establish a Project Coordination
Team to discuss significant issues or actions . The Government' s costs for participation on the
Project Coordination Team shall not be included in construction costs that are cost shared but
shall be included in calculating the Maximum Cost Limit. The Non-Federal Sponsors ' costs for
participation on the Project Coordination Team shall not be included in construction costs that
are cost shared and shall be paid solely by the Non-Federal Sponsors without reimbursement or
credit by the Government.
K. The parties to this Agreement acknowledge and agree that the obligations and
responsibilities of DNR under the . provisions of this Agreement are limited to providing the
DNR Parcel for the construction, operation, maintenance, repair, rehabilitation, and
replacement of the Project in accordance with the provisions of this Agreement.
ARTICLE III - REAL PROPERTY INTERESTS , RELOCATIONS , AND COMPLIANCE
WITH PUBLIC LAW 91 - 646, AS AMENDED
A. The Government, after consultation with the Non-Federal Sponsors, shall determine the real
property interests needed for construction, operation, and maintenance of the Project. The
Government shall provide the Non-Federal Sponsors with general written descriptions, including
maps as appropriate, of the real property interests that the Government determines the Non-
Federal Sponsors must provide for construction, operation, and maintenance of the Project, and
shall provide the Non-Federal Sponsors with a written notice to proceed with acquisition. The
Non-Federal Sponsors shall acquire the real property interests and shall provide the Government
with authorization for entry thereto in accordance with the Government' s schedule for
construction of the Project. The Non-Federal Sponsors shall ensure that real property interests
provided for the Project are retained in public ownership for uses compatible with the authorized
purposes of the Project.
1 . Prior to the issuance of the solicitation for a Government contract for construction of
the Project, or prior to the Government incurring any financial obligations for construction of a
portion of the Project using the Government's own forces, for which the Government determines
that the DNR Parcel is required, DNR shall provide the Government and the Non-Federal
Sponsors with an authorization to enter onto the DNR Parcel for the purposes set forth in this
Agreement. DNR shall ensure that the DNR Parcel that the Government determines to be

required for the Project and that was provided by DNR is retained in public ownership for uses
compatible with the authorized purposes of the Project.
B . The Government, after consultation with the Non-Federal Sponsors, shall determine
the relocations necessary for construction, operation, and maintenance of the Project, and shall
provide the Non-Federal Sponsors with general written descriptions, including maps as
appropriate, of such relocations and shall provide the Non-Federal Sponsors with a written notice
to proceed with such relocations . The Non-Federal Sponsors shall perform or ensure the
performance of these relocations in accordance with the Government' s construction schedule for
the Project.
C . To the maximum extent practicable, not later than 30 calendar days after the
Government provides to the Non-Federal Sponsors written descriptions and maps of the real
property interests and relocations required for construction, operation, and maintenance of the
Project, the Non-Federal Sponsors may request in writing that the Government acquire all or
specified portions of such real property interests, or perform the necessary relocations . If the
Government agrees to such a request, the Non-Federal Sponsors, in accordance with Article
VI .F . , must provide funds sufficient to cover the costs of the acquisitions, or relocations in
advance of the Government performing the work. The Government shall acquire the real
property interests, and perform the relocations, applying Federal laws, policies, and procedures .
The Government shall acquire real property interests in the name of the Non-Federal Sponsors
except, if acquired by eminent domain, the Government shall convey all of its right, title and
interest to the Non-Federal Sponsors by quitclaim deed or deeds . The Non-Federal Sponsors
shall accept delivery of such deed or deeds . The Government' s providing real property interests
or performing relocations on behalf of the Non-Federal Sponsors does not alter the Non-Federal
Sponsors ' responsibility under Article IV for the costs of any cleanup and response related
thereto .
D . As required by Sections 210 and 305 of the Uniform Relocation Assistance and Real
Property Acquisition Policies Act of 1970 , Public Law 91 -646 , as amended (42 U. S . C . 4630 and
4655), and Section 24 .4 of the Uniform Regulations contained in 49 C .F .R. Part 24, the Non-
Federal Sponsors assure that ( 1 ) fair and reasonable relocation payments and assistance shall be
provided to or for displaced persons, as are required to be provided by a Federal agency under
Sections 4622, 4623 and 4624 of Title 42 of the U. S . Code ; (2) relocation assistance programs
offering the services described in Section 4625 of Title 42 of the U . S . Code shall be provided to
such displaced persons ; (3 ) within a reasonable period of time prior to displacement, comparable
replacement dwellings will be available to displaced persons in accordance with Section
4625 (c)(3 ) of Title 42 of the U. S . Code; (4) in acquiring real property, the Non-Federal Sponsors
will beguided, to the greatest extent practicable under State law, by the land acquisition policies
in Section 4651 and the provision of Section 4652 of Title 42 of the U . S . Code ; and (5) property
owners will be paid or reimbursed for necessary expenses as specified in Sections 4653 and 4654
of Title 42 of the U. S . Code.
ARTICLE IV - HAZARDOUS SUBSTANCES

A. The Non-Federal Sponsors shall be responsible for undertaking any investigations to
identify the existence and extent of any hazardous substances regulated under the
Comprehensive Environmental Response, Compensation, and Liability Act (hereinafter
"CERCLA") (42 U. S . C . 9601 -9675) , that may exist in, on, or under real property interests
required for construction, operation, and maintenance of the Project. However, for real property
interests that the Government determines to be subject to the navigation servitude, only the
Government shall perform such investigations unless the District Commander provides the Non-
Federal Sponsors with prior specific written direction, in which case the Non-Federal Sponsors
shall perform such investigations in accordance with such written direction.
B . In the event it is discovered that hazardous substances regulated under CERCLA exist
in, on, or under any of the required real property interests, within 15 calendar days of such
discovery, the Non-Federal Sponsors and the Government, in addition to providing any other
notice required by applicable law, shall provide written notice to each other, and the Non-Federal
Sponsors shall not proceed with the acquisition of such real property interests until the parties
agree that the Non-Federal Sponsors should proceed.
C . If hazardous substances regulated under CERCLA are found to exist in, on, or under
any required real property interests, the parties shall consider any liability that might arise under
CERCLA and determine whether to initiate construction, or if already initiated, whether to
continue construction, suspend construction, or terminate construction.
1 . Should the parties initiate or continue construction, the Non-Federal Sponsors
shall be responsible, as between the Government and the Non-Federal Sponsors, for the costs of
cleanup and response, including the costs of any studies and investigations necessary to
determine an appropriate response to the contamination. Such costs shall be paid solely by the
Non-Federal Sponsors without reimbursement or credit by the Government.
2 . In the event the parties cannot reach agreement on how to proceed or the Non-
Federal Sponsors fails to provide any funds necessary to pay for cleanup and response costs or to
otherwise discharge the Non-Federal Sponsors ' responsibilities under this Article upon direction
by the Government, the Government may suspend or terminate construction, but may undertake
any actions it determines necessary to avoid a release of such hazardous substances .
D . In the event of a discovery, the Non-Federal Sponsors and the Government shall
initiate consultation with each other within 15 calendar days in an effort to ensure that
responsible parties bear any necessary cleanup and response costs as defined in CERCLA. Any
decision made pursuant to this Article shall not relieve any third party from any liability that may
arise under CERCLA.
E. As between the Government and the Non-Federal Sponsors, the Non-Federal
Sponsors shall be considered the operator of the Project for purposes of CERCLA liability. To
the maximum extent practicable, the Non-Federal Sponsors shall operate, maintain, repair,
rehabilitate, and replace the Project in a manner that will not cause liability to arise under
CERCLA.

ARTICLE V - CREDIT FOR REAL PROPERTY INTERESTS , RELOCATIONS , AND IN-
KIND CONTRIBUTIONS
A. The Government shall include in construction costs, and credit towards the Non-
Federal Sponsors share of such costs, the value of Non-Federal Sponsors provided real property
interests and relocations, and the costs of in-kind contributions determined by the Government to
be required for the Project.
B . To the maximum extent practicable, no later than 3 months after it provides the
Government with authorization for entry onto a real property interest or pays compensation to
the owner, whichever occurs later, the Non-Federal Sponsors shall provide the Government with
documents sufficient to determine the amount of credit to be provided for the real property
interest in accordance with paragraphs C . 1 . of this Article. To the maximum extent practicable,
no less frequently than on a quarterly basis, the Non-Federal Sponsors shall provide the
Government with documentation sufficient for the Government to determine the amount of credit
to be provided for other creditable items in accordance with paragraph C . of this Article.
C . The Government and the Non-Federal Sponsors agree that the amount of costs
eligible for credit that are allocated by the Government to construction costs shall be determined
and credited in accordance with the following procedures, requirements, and conditions . Such
costs shall be subject to audit in accordance with Article X.B . to determine reasonableness,
allocability, and allowability of costs .
1 . Real Property Interests .
a. General Procedure. The Non-Federal Sponsors shall obtain, for each
real property interest, an appraisal of the fair market value of such interest that is prepared by a
qualified appraiser who is acceptable to the parties . Subject to valid jurisdictional exceptions,
the appraisal shall conform to the Uniform Standards of Professional Appraisal Practice. The
appraisal must be prepared in accordance with the applicable rules of just compensation, as
specified by the Government.
( 1 ) Date of Valuation. For any real property interests owned by
the Non-Federal Sponsors on the effective date of this Agreement and required for construction
performed after the effective date of this Agreement, the date the Non-Federal Sponsors provide
the Government with authorization for entry thereto shall be used to determine the fair market
value. For any real property interests required for in-kind contributions covered by an In-Kind
Memorandum of Understanding, the date of initiation of construction shall be used to determine
the fair market value. The fair market value of real property interests acquired by the Non-
Federal Sponsors after the effective date of this Agreement shall be the fair market value of such
real property interests at the time the interests are acquired. The fair market value of the DNR
Parcel provided by DNR shall be the fair market value of such parcel as of the date that DNR
provides the Government with authorization for entry thereto .

(2) Except for real property interests acquired through eminent
domain proceedings instituted after the effective date of this Agreement, the Non-Federal
Sponsors shall submit an appraisal for each real property interest to the Government for review
and approval no later than, to the maximum extent practicable, 60 calendar days after the Non-
Federal Sponsors provide the Government with an authorization for entry for such interest or
concludes the acquisition of the interest through negotiation or eminent domain proceedings,
whichever occurs later. If, after coordination and consultation with the Government, the Non-
Federal Sponsors are unable to provide an appraisal that is acceptable to the Government, the
Government shall obtain an appraisal to determine the fair market value of the real property
interest for crediting purposes .
(3 ) The Government shall credit the Non-Federal Sponsors the
appraised amount approved by the Government. Where the amount paid or proposed to be paid
by the Non-Federal Sponsors exceed the approved appraised amount, the Government, at the
request of the Non-Federal Sponsors, shall consider all factors relevant to determining fair
market value and, in its sole discretion, after consultation with the Non-Federal Sponsors, may
approve in writing an amount greater than the appraised amount for crediting purposes.
b . Eminent Domain Procedure . For real property interests acquired by
eminent domain proceedings instituted after the effective date of this Agreement, the Non-
Federal Sponsors shall notify the Government in writing of its intent to institute such
proceedings and submit the appraisals of the specific real property interests to be acquired for
review and approval by the Government. If the Government provides written approval of the
appraisals, the Non-Federal Sponsors shall use the amount set forth in such appraisals as the
estimate of just compensation for the purpose of instituting the eminent domain proceeding. If
the Government provides written disapproval of the appraisals, the Government and the Non-
Federal Sponsors shall consult to promptly resolve the issues that are identified in the
Government' s written disapproval . In the event the issues cannot be resolved, the Non-Federal
Sponsors may use the amount set forth in its appraisal as the estimate of just compensation for
purpose of instituting the eminent domain proceeding. The fair market value for crediting
purposes shall be either the amount of the court award for the real property interests taken or the
amount of any stipulated settlement or portion thereof that the Government approves in writing.
C. Waiver of Appraisal. Except as required by paragraph C . Lb. of this
Article, the Government may waive the requirement for an appraisal pursuant to this paragraph
if, in accordance with 49 C .F .R. Section 24 . 102(c) (2) :
( 1 ) the owner is donating the real property interest to the Non-
Federal Sponsors and release the Non-Federal Sponsors in writing from its obligation to appraise
the real property interest, and the Non-Federal Sponsors submit to the Government a copy of the
owner' s written release; or
(2) the Non-Federal Sponsors determine that an appraisal is
unnecessary because the valuation problem is uncomplicated and the anticipated value of the real
property interest proposed for acquisition is estimated at $25 , 000 or less, based on a review of
available data. When the Non-Federal Sponsors determine that an appraisal is unnecessary, the

Non-Federal Sponsors shall prepare the written waiver valuation required by 49 C .F .R. Section
24 . 102(c)(2) and submit a copy thereof to the Government for approval . When the anticipated
value of the real property interest exceeds $ 10,000 , the Non-Federal Sponsors must offer the
owner the option of having the Non-Federal Sponsors appraise the real property interest.
d. Incidental Costs . The Government shall include in construction costs
and credit towards the Non-Federal Sponsors ' share of such costs, the incidental costs the Non-
Federal Sponsors incurred in acquiring any real property interests required pursuant to Article III
for the Project within a five-year period preceding the effective date of this Agreement, or at any
time after the effective date of this Agreement, that are documented to the satisfaction of the
Government. Such incidental costs shall include closing and title costs, appraisal costs, survey
costs, attorney' s fees, plat maps, mapping costs, actual amounts expended for payment of any
relocation assistance benefits provided in accordance with Article III.D . , and other payments by
the Non-Federal Sponsors for items that are generally recognized as compensable, and required
to be paid, by applicable state law due to the acquisition of a real property interest pursuant to
Article III .
2 . Relocations. The Government shall include in construction costs and credit
towards the Non-Federal Sponsors ' share of such costs, the value of any relocations performed
by the Non-Federal Sponsors that are directly related to construction, operation, and maintenance
of the Project.
a. For a relocation other than a highway, the value shall be only that
portion of relocation costs that the Government determines is necessary to provide a functionally
equivalent facility, reduced by depreciation, as applicable, and by the salvage value of any
removed items .
b . For a relocation of a highway, which is any highway, roadway, or
street, including any bridge thereof, that is owned by a public entity, the value shall be only that
portion of relocation costs that would be necessary to accomplish the relocation in accordance
with the design standard that the State of Washington would apply under similar conditions of
geography and traffic load, reduced by the salvage value of any removed items .
c. Relocation costs include actual costs of performing the relocation;
planning, engineering, and design costs ; supervision and administration costs ; and documented
incidental costs associated with performance of the relocation, as determined by the Government.
Relocation costs do not include any costs associated with betterments, as determined by the
Government, nor any additional cost of using new material when suitable used material is
available.
3 . In-Kind Contributions . The Government shall include in construction costs
and credit towards the Non-Federal Sponsors ' share of such costs, the value of in-kind
contributions that are integral to the Project.
a. The value shall be equivalent to the costs, documented to the
satisfaction of the Government, that the Non-Federal Sponsors incurred to provide the in-kind

contributions . Such costs shall include, but not necessarily be limited to , actual costs of
constructing the in-kind contributions ; engineering and design costs ; supervision and
administration costs ; and documented incidental costs associated with providing the in-kind
contributions, but shall not include any costs associated with betterments, as determined by the
Government. Appropriate documentation includes invoices and certification of specific
payments to contractors, suppliers, and the Non-Federal Sponsors ' employees .
b . No credit shall be afforded for interest charges, or any adjustment to
reflect changes in price levels between the time the in-kind contributions are completed and
credit is afforded; for the value of in-kind contributions obtained at no cost to the Non-Federal
Sponsors; for any in-kind contributions performed prior to the effective date of this Agreement
unless covered by an In-Kind Memorandum of Understanding between the Government and
Non-Federal Sponsors ; or for costs that exceed the Government ' s estimate of the cost for such
in-kind contributions if they had been provided by the Government.
4 . Compliance with Federal Labor Laws . Any credit afforded under the terms of
this Agreement is subject to satisfactory compliance with applicable Federal labor laws covering
non-Federal construction, including, but not limited to, 40 U. S . C . 3141 -3148 and 40 U. S . C .
3701 -3708 (labor standards originally enacted as the Davis-Bacon Act, the Contract Work Hours
and Safety Standards Act, and the Copeland Anti-Kickback Act) , and credit may be withheld, in
whole or in part, as a result of the Non-Federal Sponsors ' failure to comply with its obligations
under these laws .
D . Notwithstanding any other provision of this Agreement, the Non-Federal Sponsors
shall not be entitled to credit for real property interests and relocations that exceed 35 percent of
construction costs or real property interests that were previously provided as an item of local
cooperation for another Federal project.
ARTICLE VI — PAYMENT OF FUNDS
A. As of the effective date of this Agreement, construction costs, excluding cost shared
monitoring and adaptive management, are projected to be $ , with the
Government' s share of such costs projected to be $ and the Non-Federal
Sponsors ' share of such costs projected to be $ , which includes creditable real
property interests and relocations projected to be $ , creditable in-kind
contributions projected to be $ , and the amount of funds required to meet its 35
percent cost share projected to be $ Construction costs for cost shared monitoring
and adaptive management are projected to be $ , with the Government' s share
of such costs projected to be $ and the Non-Federal Sponsors ' share of such
costs projected to be $ These amounts are estimates only that are subject to
adjustment by the Government and are not to be construed as the total financial responsibilities
of the Government and the Non-Federal Sponsors .
B . The Government shall provide the Non-Federal Sponsors with monthly reports setting
forth the estimated construction costs and the Government' s and Non-Federal Sponsors '

estimated shares of such costs ; costs incurred by the Government, using both Federal and Non-
Federal Sponsors ' funds, to date ; the amount of funds provided by the Non-Federal Sponsors to
date ; the estimated amount of any creditable real property interests and relocations ; the estimated
amount of any creditable in-kind contributions ; and the estimated amount of funds required from
the Non-Federal Sponsors during the upcoming fiscal year.
C . The Non-Federal Sponsors shall provide the funds required to meet its share of
construction costs by delivering a check payable to "FAO, USAED , Seattle G3" to the District
Commander, or verifying to the satisfaction of the Government that the Non-Federal Sponsors
have deposited such required funds in an escrow or other account acceptable to the Government,
with interest accruing to the Non-Federal Sponsors, or by providing an Electronic Funds Transfer
of such required funds in accordance with procedures established by the Government.
D . The Government shall draw from the funds provided by the Non-Federal Sponsors to
cover the non-Federal share of construction costs as those costs are incurred. If the Government
determines at any time that additional funds are needed from the Non-Federal Sponsors to cover
the Non-Federal Sponsors ' required share of such construction costs, the Government shall
provide the Non-Federal Sponsors with written notice of the amount of additional funds required.
Within 60 calendar days from receipt of such notice, the Non-Federal Sponsors shall provide the
Government with the full amount of such additional required funds .
E. Upon completion of construction, except for cost shared monitoring and adaptive
management, and resolution of all relevant claims and appeals and eminent domain proceedings,
the Government shall conduct a final accounting and furnish the Non-Federal Sponsors with the
written results of such final accounting. The Government shall conduct another final accounting
after completion of cost shared monitoring and adaptive management and furnish the Non-
Federal Sponsors with the written results of such final accounting. Should either final
accounting determine that additional funds are required from the Non-Federal Sponsors, the
Non-Federal Sponsors, within 60 calendar days of receipt of written notice from the
Government, shall provide the Government with the full amount of such additional required
funds . A final accounting does not limit the Non-Federal Sponsors ' responsibility to pay its
share of construction costs, including contract claims or any other liability that may become
known after the final accounting. If the final accounting after cost shared monitoring and
adaptive management determines that funds provided by the Non-Federal Sponsors exceed the
amount of funds required to meet its share of construction costs , the Government shall refund
such excess amount, subject to the availability of funds for the refund. In addition, if that final
accounting determines that the Non-Federal Sponsors ' credit for real property interests and
relocations combined with credit for in-kind contributions exceed its share of construction costs
for the Project, the Government, subject to the availability of funds for the reimbursement, shall
enter into a separate agreement to reimburse the difference to the Non-Federal Sponsors .
F . If there are real property interests or relocations, provided on behalf of the Non.
Federal Sponsors, the Government shall provide written notice to the Non-Federal Sponsors of
the amount of funds required to cover such costs . No later than 60 calendar days of receipt of
such written notice, the Non-Federal Sponsors shall make the full amount of such required funds
available to the Government by delivering a check payable to "FAO , USAED, Seattle G3" to the

District Commander, or by providing an Electronic Funds Transfer of such funds in accordance
with procedures established by the Government. If at any time the Government determines that
additional funds are required to cover such costs, the Non-Federal Sponsors shall provide those
funds within 30 calendar days from receipt of written notice from the Government.
ARTICLE VII - TERMINATION OR SUSPENSION
A. If at any time the Non-Federal Sponsors fail to fulfill their obligations under this
Agreement, the Government may suspend or terminate construction of the Project unless the
Assistant Secretary of the Army (Civil Works) determines that continuation of such work is in
the interest of the United States or is necessary in order to satisfy agreements with other
non-Federal interests .
B . If the Government determines at any time that the Federal funds made available for
construction of the Project are not sufficient to complete such work, the Government shall so
notify the Non-Federal Sponsors in writing within 30 calendar days, and upon exhaustion of such
funds, the Government shall suspend construction until there are sufficient funds appropriated by
the Congress and funds provided by the Non-Federal Sponsors to allow construction to resume.
In addition, the Government may suspend construction if the Maximum Cost Limit is exceeded.
C . If hazardous substances regulated under CERCLA are found to exist in, on, or under
any required real property interests, the parties shall follow the procedures set forth in Article IV.
D . In the event of termination, the parties shall conclude their activities relating to
construction of the Project. To provide for this eventuality, the Government may reserve a
percentage of available funds as a contingency to pay the costs of termination, including any
costs of resolution of real property acquisition, resolution of contract claims, and resolution of
contract modifications .
E. Any suspension or termination shall not relieve the parties of liability for any
obligation incurred. Any delinquent payment owed by the Non-Federal Sponsors pursuant to
this Agreement shall be charged interest at a rate, to be determined by the Secretary of the
Treasury, equal to 150 per centum of the average bond equivalent rate of the 13 week Treasury
bills auctioned immediately prior to the date on which such payment became delinquent, or
auctioned immediately prior to the beginning of each additional 3 month period if the period of
delinquency exceeds 3 months .
F . Upon termination in accordance with this Article, DNR shall be released of any further
obligations under this agreement
ARTICLE VIII - HOLD AND SAVE
A. The Non-Federal Sponsors shall hold and save the Government free from all damages
arising from design, construction, operation, maintenance, repair, rehabilitation, and replacement

of the Project, except for damages due to the fault or negligence of the Govermilent or its
contractors .
B . The Non-Federal Sponsors shall hold and save DNR free from all damages arising
from design, construction, operation, maintenance, repair, rehabilitation, and replacement of the
Project, except for damages due to the fault or negligence of DNR.
ARTICLE IX - DISPUTE RESOLUTION
As a condition precedent to a party bringing any suit for breach of this Agreement, that
parry must first notify the other parry in writing of the nature of the purported breach and seek in
good faith to resolve the dispute through negotiation. If the parties cannot resolve the dispute
through negotiation, they may agree to a mutually acceptable method of non-binding alternative
dispute resolution with a qualified third party acceptable to the parties . Each party shall pay an
equal share of any costs for the services provided by such a third party as such costs are incurred .
The existence of a dispute shall not excuse the parties from performance pursuant to this
Agreement.
ARTICLE X - MAINTENANCE OF RECORDS AND AUDITS
A. The parties shall develop procedures for the maintenance by the Non-Federal
Sponsors of books , records, documents, or other evidence pertaining to costs and expenses for a
minimum of three years after the final accounting. The Non-Federal Sponsors shall assure that
such materials are reasonably available for examination, audit, or reproduction by the
Government.
B . The Government may conduct, or arrange for the conduct of, audits of the Project.
Government audits shall be conducted in accordance with applicable Government cost principles
and regulations . The Government' s costs of audits shall not be included in construction costs ,
but shall be included in calculating the Maximum Cost Limit.
C . To the extent permitted under applicable Federal laws and regulations, the
Government shall allow the Non-Federal Sponsors to inspect books, records , documents, or other
evidence pertaining to costs and expenses maintained by the Government, or at the request of the
Non-Federal Sponsors, provide to the Non-Federal Sponsors or independent auditors any such
information necessary to enable an audit of the Non-Federal Sponsors ' activities under this
Agreement. The costs of non-Federal audits shall be paid solely by the Non-Federal Sponsors
without reimbursement or credit by the Government.
ARTICLE XI - RELATIONSHIP OF PARTIES
In the exercise of their respective rights and obligations under this Agreement, the
Government and the Non-Federal Sponsors each act in an independent capacity, and neither is to
be considered the officer, agent, or employee of the other. Neither party shall provide, without

the consent of the other party, any contractor with a release that waives or purports to waive any
rights a parry may have to seek relief or redress against that contractor.
ARTICLE XII - NOTICES
A. Any notice, request, demand, or other communication required or permitted to be
given under this Agreement shall be deemed to have been duly given if in writing and delivered
personally or mailed by registered or certified mail, with return receipt, as follows :

ARTICLE XIV - THIRD PARTY RIGHTS , BENEFITS , OR LIABILITIES

Nothing in this Agreement is intended, nor may be construed, to create any rights, confer
any benefits, or relieve any liability, of any kind whatsoever in any third person not a party to
this Agreement.
ARTICLE XV — JOINT AND SEVERAL RESPONSIBILITY OF THE
NON-FEDERAL SPONSORS
The obligations and responsibilities of the Non-Federal Sponsors shall be joint and several,
such that each Non-Federal Sponsor shall be liable for the whole performance of the obligations and
responsibilities of the Non-Federal Sponsors under the terms and provisions of this Agreement. The
Government may demand the whole performance of said obligations and responsibilities from any
of the entities designated herein as one of the Non-Federal Sponsors .

This provision shall apply to employees who are required to attend Employer scheduled meetings on
their regularly scheduled day(s) off.
10 .2 WORK INA HIGHER CLASSIFICATION
No employee shall be reduced in salary or benefits because of being assigned by the Employer to
perform the work of a lower classification, except in the situation of lay off.
A supervisor may assign an employee to perform the primary duties of a higher classification, when
those duties are not part of the employee ' s current job classification, for the purpose of:
A. Providing work coverage during an authorized vacation period;
B . Providing work coverage during an authorized sick leave;
C . Providing work coverage for an authorized leave of absence; or
D . Providing work coverage for a currently vacant position.
Employee(s) assigned to work at least three (3 ), eight (8) hour days within a twenty-one (2 1 ) calendar
day period, in a higher classification will receive the fust step salary of the appropriate classification
that provides at least a five percent (5%) increase for all time spent in that higher classification. The
employee must be performing most of the essential functions of the higher classification to have that
time count toward the additional compensation. This section is not applicable to employees who are
being trained to perform the work of the higher classification.
10 .3 MILEAGE REIMBURSEMENT
All bargaining unit employees who are required to use their own vehicles for Employer business
shall be reimbursed at the mileage rate set by the current policy for all miles driven on such business.
10. 4 LONGEVITY
The County shall provide additional compensation above each eligible, regular full-time employee ' s
base salary (or base hourly rate, if applicable) to recognize continuous length of service as a County
employee . Eligible, regular part-time employees shall receive pro-rated longevity benefit in
proportion to the number of hours the regular part-time employee is in pay status during the month
as compared to that required of full-time employment. The longevity benefit will be implemented in
accordance with the following schedule .
Beginning in 11th and continuing thru 15' years 1 . 5 % above base
Beginning in 161 and continuing thru 201h years 3 . 0% above base
Beginning in 21St and continuing thru 251h years 4 . 5 % above base
Beginning in 26' year and continuing thereafter 6 . 0% above base
10 . 5 CLOTMNG ALLOWANCE
The County shall provide an annual clothing allowance to each bargaining unit employee in the
amount of Two Hundred Dollars ($200) , payable by the second payday in July.

Summary ,
Under general supervision , incumbents perform senior level field work . An employee in this
classification is responsible for gathering detailed information on property characteristics that are
pertinent to the final determination of value . Employees at this level are accountable for the accuracy
and consistency of property values and must exercise independent judgement with regard to appraisal .
The Appraiser is the second of the Appraiser series . This position is distinguished from the Appraiser
Trainee position by an increased amount of appraisal experience , certification as a Real Property
Appraiser by the Department of Revenue , and a greater depth of responsibility required in appraisal .
Essential Job Functions .
• Inspects and appraises all categories of real property .
• Conducts property site visits for the purpose of gathering characteristic data .
• Verifies , collects , and records land and building characteristics utilizing the prescribed
checklists , including quality of workmanship and materials .
• Measures improvements . Draws buildings to scale using the current office sketch program .
• Records data accurately on the Field Review Sheets .
• Prepares and presents evidence of fair market value for hearings before the Board of
Equalization ( BOE ) .
• Performs extensive research and analysis of sales .

The incumbent in this position performs a variety of technical duties , including researching and
analyzing sales . Incumbent acts as the lead in preparing , presenting , assigning , and reviewing
materials for Board of Equalization hearings . This position is distinguished from the Appraiser
Trainee , Appraiser and Senior Appraiser series by requiring a higher level of understanding
and ability in math , statistics, market modeling , and computer operation , as well as
