HomeMy WebLinkAbout37-97 - Res. Agreement with Mason County Historical Society to Operate the Shelton and Fairgrounds Museums RESOLUTION NO. AGREEMENT This agreement between Mason County, hereinafter referred to as"COUNTY" and the Mason County Historical Society, a nonprofit organization, hereinafter referred to as the "HISTORICAL SOCIETY." WITNESSETH That in consideration of the terms and conditions contained herein, the parties hereto covenant and agree as follows: I. The HISTORICAL SOCIETY agrees to provide the following services to the COUNTY: Operation of the Shelton (downtown) and Mason County Fairgrounds Museums including but not limited to the following: Dissemination of tourist information and advertising to promote tourism, Collecting and cataloging artifacts and materials of historical interest belonging to or on loan to the HISTORICAL SOCIETY. II. The HISTORICAL SOCIETY will hold the COUNTY harmless from all claims of every kind and character arising out of/or in anyway connected with services provided for the COUNTY. The HISTORICAL SOCIETY will provide $1,000,000 of general liability insurance and name the COUNTY as additional insured. 111. It is understood that the HISTORICAL SOCIETY is an independent contractor and is not an agent of the COUNTY, and any and all personnel used by the HISTORICAL SOCIETY in connection with the rendering of services contemplated by this contract shall be employees of the HISTORICAL SOCIETY and not the COUNTY, and shall have no claim against the COUNTY for compensation or other benefits available to the employees of said COUNTY. IV. This agreement shall be for a term of one (1) year, beginning January 1, 1997. V. The COUNTY will pay the HISTORICAL SOCIETY a sum not to exceed Four Thousand Dollars ($4,000.00)for the services to be performed under this contract. Funds paid by the COUNTY will be used to furnish only the services contemplated by this contract and will not be diverted by the HISTORICAL SOCIETY to any other person or used for any other purpose. Mason County Historical Society Page 2 HISTORICAL SOCIETY records of receipt and expenditure of these funds will be made available on request to County officials and the State Auditor for review. VI. The HISTORICAL SOCIETY shall submit an annual report and financial statement to the COUNTY by February 28, 1998, documenting all revenues and expenditures relating to the operating of the museums for the year 1997.
